ON AMENDMENTS TO ARTICLES OF CIRCULAR NO. 91/2020/TT-BTC ON
FINANCIAL SAFETY INDICATORS AND MEASURES FOR HANDLING SECURITIES BUSINESS
INSTITUTIONS THAT FAIL TO MEET FINANCIAL SAFETY INDICATORS
Pursuant to the Law on
Securities No. 54/2019/QH14, amended by Law No. 56/2024/QH15;
Pursuant to the Law on
Enterprise No. 59/2020/QH14, amended by Law No. 03/2022/QH15 and Law No.
76/2025/QH15;
Pursuant to Decree No.
29/2025/ND-CP of the Government on functions, duties, powers, and
organizational structure of the Ministry of Finance amended by Decree No.
166/2025/ND-CP;
At the request of the President
of the State Securities Commission;
The Minister of Finance
promulgates this Circular on amendments to articles of Circular No.
91/2020/TT-BTC on financial safety indicators and measures for handling
securities business institutions that fail to meet financial safety indicators.

Article 2.
Amendments to Points and Clauses of Article 5
1. Amendments to Clause 2 are as
follows:
“2. The value of assets used to
secure obligations of the securities business institution and other
organizations and individuals with a remaining term of more than 90 days. Where
the collateral is used for multiple obligations of the securities business
institution, the deduction shall be calculated proportionately for each
obligation of the securities business institution (Remaining value of the
obligation/collateral). The asset value shall be determined in accordance with
Clause 6 Article 10 of this Circular.”.
2. Clause 8 is added after Clause 7
as follows:
“8. Deduction as prescribed in
Clause 9 Article 10 of this Circular.”.

Article 4.
Amendments to Point a Clause 2 Article 7
“a) Convertible bonds, except those
already counted as eligible capital under Point c Clause 1 Article 4 of this
Circular, and redeemable preference shares issued by the securities business
institution that satisfy all of the following conditions:
- Having an initial maturity of at
least 5 years;
- Not secured by the assets of the
securities business institution itself;
- Convertible bonds may not be
redeemed before maturity or may only be redeemed before maturity where the bond
terms provide that the issuer may redeem the bonds before maturity at the request
of the bondholders or repurchase them on the secondary market, and such
redemption of convertible bonds is carried out in accordance with Clause 5 of
this Article after the securities business institution reports to the State
Securities Commission as prescribed in Clause 6 of this Article;
- The securities business
institution may suspend interest payments and carry forward accrued interest to
the following year if interest payment would result in a loss for the year;
- In the event of dissolution of
the securities business institution, the holders shall be paid only after the
institution has settled all obligations to secured and unsecured creditors;
- Any upward adjustment of the
interest rate, including the upward adjustment of the margin added to the
reference interest rate, shall only be made after 5 years from the issuance
date and may be adjusted 1 time during the entire period before conversion into
common shares;

Article 5.
Amendments to Points and Clauses of Article 8
1. Points h, i, and k are added
after Point g Clause 2 as follows:
“h) Differences arising from
revaluation of outstanding warrants payable;
i) Unrealized foreign exchange gain
or loss;
k) Financial expenses and other
non-cash expenses in the business activities of the securities company.”.
2. Points dd and e are added after
Point d Clause 3 as follows:
“dd) Unrealized foreign exchange
gain or loss;
e) Other non-cash expenses in the
business activities of the fund management company.”.

a) Increased by 10% where the total
investment value in securities or contributed capital of an organization
accounts for more than 10% to 15% of the equity of the securities business
institution;
b) Increased by 20% where the total
investment value in securities or contributed capital of an organization accounts
for more than 15% to 25% of the equity of the securities business institution;
c) Increased by 30% where the total
investment value in securities or contributed capital of an organization
accounts for more than 25% or more of the equity of the securities business
institution.”.
Article 7.
Amendments to a number of Clauses of Article 10
1. Amendments to Point a, Point g,
and Point k Clause 1 are as follows:
“a) Term deposits at credit
institutions, certificates of deposit issued by credit institutions, and funds
on the securities trading accounts of fund management companies opened at
securities companies;
g) Receivables arising from
securities business activities in accordance with law, and receivables from the
sale of listed securities in financial investment activities of fund management
companies;
k) Contracts, transactions, and
uses of funds other than those recorded under Points a, b, c, d, dd, e, and g
of this Clause; repurchase and resale agreements of securities or similar
agreements, except those prescribed under Points c and d of this Clause;
receivables from debt trading transactions with counterparties other than the
Vietnam Asset Management Company (VAMC) and the Vietnam Debt and Asset Trading
Corporation (DATC).”.

a) For contracts and transactions
prescribed under Point k Clause 1 of this Article, calculated using the
following formula:
- Deposit agreements or agreements for
purchasing real estate, and economic agreements of similar nature: Payment risk
value = Deposit amount × 150%
- Loans or receivables from
customers not falling under Points dd and g Clause 1 of this Article: Payment
risk value = Loan or receivable amount × 150%
- Other contracts or transactions:
Payment risk value = Total value of assets potentially exposed to payment

b) For advances whose remaining

Article 9.
Entry into force
This Circular comes into force as
of December 15, 2025.
Article 10.
Transitional provisions
1. Within 6 months from the
effective date of this Circular, securities business institutions must take
remedial measures where the eligible capital ratio falls below 180% due to
changes in calculation methods under this Circular for investments, contracts,
or agreements arising before the effective date of this Circular. Upon
expiration of this period, securities business institutions that fail to comply
shall be subject to handling measures under Chapter III of Circular No.
91/2020/TT-BTC.
2. The market risk factor
applicable to common shares and preference shares of organizations listed on
the Hanoi Stock Exchange before being transferred for listing from the Hanoi
Stock Exchange to the Ho Chi Minh City Stock Exchange shall continue to be
applied in accordance with Appendix I of Circular No. 91/2020/TT-BTC.

- An additional 5% risk factor
shall apply to bonds or issuing organizations rated from BBB to below AA by
international credit rating agencies (Standard & Poor’s, Fitch Ratings,
Moody’s), or assigned an equivalent rating scale by a domestic credit rating
agency licensed by the Ministry of Finance. The corresponding rating scale shall
be determined based on one of the following criteria: having a relatively
good to good capacity to meet debt obligations but subject to potential
adverse impacts from unfavorable economic conditions or significant changes
in the business environment; or having an above-average credit rating; or
having a moderate to relatively high ability to fulfill financial
obligations, yet this ability ranges from vulnerable to potentially
vulnerable to adverse changes in the business environment and economic conditions;
or having a relatively low to low level of default risk and moderate to high
credit quality; or having a level of protection that ranges from adequate to
susceptible to the effects of changes in circumstances and economic
conditions.
- An additional 10% risk factor
shall apply to bonds or issuing organizations rated below BBB or without
rating information by international credit rating agencies (Standard &
Poor’s, Fitch Ratings, Moody’s), or assigned an equivalent rating scale by a
domestic credit rating agency licensed by the Ministry of Finance. The
corresponding rating scale shall be determined based on one of the following
criteria: having an average-to-below-average capacity to meet debt
obligations, speculative-grade credit rating; or having below-average or
lower credit rating; or increasingly exposed to instability in business
operations, adverse economic or financial conditions that may impair the
organization’s ability to fulfill financial obligations; or having a high or
higher level of default risk and low or lower credit quality; or having a
likelihood of insolvency ranging from possible to already insolvent.
2. Securities business
institutions shall use the most recently published credit rating report for
the bonds or for the issuing organization, published within 1 year from the
date of preparing the financial safety ratio report, to determine the risk
factor. Where the credit rating report is published more than 1 year
earlier, the case shall be treated as if no rating information is available.
3. Where both bond credit rating
and issuer credit rating are available based on the same financial statements
of the issuer at the same point in time, the securities business institution
shall use the bond credit rating report to determine the risk factor.
Where 2 or more credit rating
results from different independent credit rating agencies exist for the same
bond or the same issuing organization, the securities business institution
shall use the lower rating to determine the risk factor.
