Nội dung giám sát, kiểm tra doanh nghiệp nhà nước, người đại diện phần vốn nhà nước

Ngày 31/12/2025, Chính phủ ban hành Nghị định 365/2025/NĐ-CP quy định về giám sát, kiểm tra, đánh giá, xếp loại, báo cáo và công khai thông tin trong quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

Nội dung giám sát, kiểm tra doanh nghiệp nhà nước, người đại diện phần vốn nhà nước

Theo đó, nội dung giám sát, kiểm tra doanh nghiệp nhà nước, người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước như sau:

- Đầu tư bổ sung vốn nhà nước tại doanh nghiệp.

- Quản lý vốn nhà nước tại doanh nghiệp; hiệu quả hoạt động sản xuất, kinh doanh, bảo toàn và phát triển vốn nhà nước tại doanh nghiệp, bao gồm:

+ Việc thực hiện chiến lược phát triển, kế hoạch kinh doanh hằng năm của doanh nghiệp; thực hiện nhiệm vụ cung ứng sản phẩm, dịch vụ công ích do Nhà nước đặt hàng, giao kế hoạch; thực hiện nhiệm vụ chính trị do cơ quan có thẩm quyền giao, nhiệm vụ quốc phòng, an ninh;

+ Việc huy động và sử dụng vốn huy động; cho vay, cho thuê, thuê mua, thế chấp, cầm cố, mua, bán tài sản cố định, quản lý nợ phải thu, nợ phải trả, bảo toàn và phát triển vốn của doanh nghiệp;

+ Việc ban hành quy chế tài chính, quy chế nội bộ và quy chế khác của doanh nghiệp;

+ Hoạt động đầu tư của doanh nghiệp;

+ Việc chuyển nhượng dự án đầu tư, chuyển nhượng vốn đầu tư, thu lợi nhuận, cổ tức được chia từ hoạt động đầu tư của doanh nghiệp;

+ Quản lý vốn của doanh nghiệp đầu tư tại công ty cổ phần, công ty trách nhiệm hữu hạn.

- Việc thực hiện quyền, trách nhiệm của Hội đồng thành viên, Hội đồng quản trị, Kiểm soát viên, người đại diện phần vốn nhà nước.

- Việc chuyển nhượng, thu hồi vốn, thu lợi nhuận, cổ tức được chia tại công ty cổ phần, công ty trách nhiệm hữu hạn.

- Việc thực hiện kiến nghị, cảnh báo của cơ quan quản lý nhà nước, cơ quan thanh tra, kiểm toán, cơ quan đại diện chủ sở hữu về quản lý và đầu tư vốn nhà nước tại doanh nghiệp và tiếp nhận, xử lý đối với các báo cáo của Kiểm soát viên, người đại diện phần vốn của doanh nghiệp theo quy định pháp luật về quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

- Việc tuyển dụng, bổ nhiệm, bổ nhiệm lại, chấp thuận từ chức, miễn nhiệm, khen thưởng, kỷ luật, chấm dứt hợp đồng thuê đối với người quản lý doanh nghiệp.

- Việc thực hiện chế độ tiền lương, thù lao, tiền thưởng và quyền lợi khác của doanh nghiệp.

- Việc thực hiện nghĩa vụ đối với ngân sách nhà nước, phân phối lợi nhuận sau thuế, trích lập và sử dụng các quỹ của doanh nghiệp.

- Việc xây dựng và tổ chức thực hiện cơ cấu lại vốn nhà nước tại doanh nghiệp.

- Việc thực hiện trách nhiệm của người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước trong công tác chỉ đạo xây dựng các báo cáo theo quy định tại khoản 1 Điều 54 Luật Quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

- Nội dung khác có liên quan đến hoạt động quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

NGHỊ ĐỊNH

VỀ GIÁM SÁT, KIỂM TRA, ĐÁNH GIÁ, XẾP LOẠI, BÁO CÁO VÀ CÔNG KHAI THÔNG TIN TRONG QUẢN LÝ VÀ ĐẦU TƯ VỐN NHÀ NƯỚC TẠI DOANH NGHIỆP

Căn cứ Luật Tổ chức Chính phủ số 63/2025/QH15;

Căn cứ Luật Quản lý và đầu tư vốn nhà nước tại doanh nghiệp số 68/2025/QH15;

Căn cứ Luật Doanh nghiệp số 59/2020/QH14;

Căn cứ Luật Đầu tư số 61/2020/QH14;

Căn cứ Luật Đầu tư công số 58/2024/QH15;

Căn cứ Luật sửa đổi, bổ sung một số điều của Luật Doanh nghiệp số 76/2025/QH15;

Căn cứ Luật sửa đổi, bổ sung một số điều của Luật Đấu thầu, Luật Đầu tư theo phương thức đối tác công tư, Luật Hải quan, Luật Thuế giá trị gia tăng, Luật Thuế xuất khẩu, thuế nhập khẩu, Luật Đầu tư, Luật Đầu tư công, Luật Quản lý, sử dụng tài sản công số 90/2025/QH15;

Theo đề nghị của Bộ trưởng Bộ Tài chính;

Chính phủ ban hành Nghị định về giám sát, kiểm tra, đánh giá, xếp loại, báo cáo và công khai thông tin trong quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

Chương I

NHỮNG QUY ĐỊNH CHUNG

Điều 1. Phạm vi điều chỉnh

Nghị định này quy định chi tiết về giám sát, kiểm tra, đánh giá hiệu quả hoạt động đầu tư và quản lý vốn nhà nước tại doanh nghiệp; đánh giá, xếp loại; báo cáo và công khai thông tin, bao gồm: Khoản 3 Điều 8, khoản 3 Điều 35, khoản 4 Điều 50, khoản 3 Điều 51, khoản 6 Điều 53, khoản 6 Điều 54, khoản 4 Điều 55 Luật Quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

Điều 2. Đối tượng áp dụng

1. Cơ quan đại diện chủ sở hữu.

2. Người đại diện chủ sở hữu trực tiếp; người đại diện phần vốn nhà nước.

3. Doanh nghiệp nhà nước theo quy định của Luật Doanh nghiệp; tổ chức tín dụng do Nhà nước nắm giữ trên 50% vốn điều lệ theo quy định của Luật Các tổ chức tín dụng, trừ ngân hàng chính sách.

4. Kiểm soát viên tại doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ.

5. Cơ quan, tổ chức, cá nhân khác có liên quan đến hoạt động quản lý, đầu tư vốn nhà nước tại doanh nghiệp.

Điều 3. Áp dụng pháp luật liên quan

Các doanh nghiệp hoạt động trong lĩnh vực tài chính, ngân hàng, xổ số, chứng khoán thực hiện giám sát, kiểm tra, đánh giá hiệu quả hoạt động đầu tư và quản lý vốn nhà nước tại doanh nghiệp; đánh giá, xếp loại; báo cáo và công khai thông tin theo quy định tại Nghị định này và quy định của pháp luật về tài chính, ngân hàng, xổ số, chứng khoán. Trường hợp quy định của pháp luật về tài chính, ngân hàng, xổ số, chứng khoán khác quy định tại Nghị định này thì thực hiện theo quy định của pháp luật về tài chính, ngân hàng, xổ số, chứng khoán.

Điều 4. Giải thích từ ngữ

Trong Nghị định này, từ ngữ dưới đây được hiểu như sau:

1. Giám sát là hoạt động theo dõi, tổng hợp và phân tích, đánh giá, cảnh báo, kiến nghị của chủ thể giám sát đối với việc thực hiện chức năng, nhiệm vụ và quyền hạn của đối tượng giám sát trong hoạt động quản lý và đầu tư vốn nhà nước tại doanh nghiệp, bao gồm bảo toàn, phát triển vốn nhà nước tại doanh nghiệp và vốn của doanh nghiệp theo quy định của pháp luật về quản lý và đầu tư vốn nhà nước tại doanh nghiệp và pháp luật có liên quan.

2. Kiểm tra là hoạt động xem xét, phân tích, đánh giá, kết luận, kiến nghị xử lý vi phạm của chủ thể kiểm tra đối với việc thực hiện chức năng, nhiệm vụ và quyền hạn của đối tượng kiểm tra trong hoạt động quản lý và đầu tư vốn nhà nước tại doanh nghiệp, bao gồm bảo toàn, phát triển vốn nhà nước tại doanh nghiệp và vốn của doanh nghiệp theo quy định của pháp luật về quản lý và đầu tư vốn nhà nước tại doanh nghiệp và pháp luật có liên quan.

3. Chủ thể giám sát, kiểm tra là cơ quan, tổ chức có thẩm quyền, trách nhiệm thực hiện hoạt động giám sát, kiểm tra đối với đối tượng giám sát, kiểm tra.

4. Đối tượng giám sát, kiểm tra là cơ quan, tổ chức, cá nhân chịu sự giám sát, kiểm tra của chủ thể giám sát, kiểm tra.

5. Giám sát nội bộ là hoạt động chủ động theo dõi, phân tích, đánh giá việc thực hiện quy định nội bộ, chức năng, nhiệm vụ, quyền hạn của doanh nghiệp trong hoạt động quản lý và đầu tư vốn nhà nước tại doanh nghiệp, bao gồm bảo toàn, phát triển vốn nhà nước tại doanh nghiệp và vốn của doanh nghiệp theo quy định của pháp luật về quản lý và đầu tư vốn nhà nước tại doanh nghiệp và pháp luật có liên quan.

6. Giám sát tài chính đặc biệt là thực hiện giám sát của cơ quan đại diện chủ sở hữu đối với doanh nghiệp nhà nước có dấu hiệu mất an toàn về tài chính cần được cơ quan có thẩm quyền theo dõi, chấn chỉnh.

7. Kế hoạch giám sát, kiểm tra là văn bản xác định cụ thể nội dung, đối tượng, thời kỳ và phương thức, mục tiêu, thời hạn, địa điểm giám sát, kiểm tra (nếu có) được người ra quyết định giám sát, kiểm tra phê duyệt.

8. Phạm vi giám sát, kiểm tra là giới hạn cụ thể về nội dung, đối tượng, không gian và thời kỳ giám sát, kiểm tra được xác định trong quyết định giám sát, kiểm tra.

9. Thời kỳ giám sát, kiểm tra là khoảng thời gian xem xét, đánh giá việc thực hiện chức năng, nhiệm vụ và quyền hạn của đối tượng giám sát, kiểm tra được xác định trong quyết định giám sát, kiểm tra.

10. Thời hạn giám sát, kiểm tra là khoảng thời gian được tính từ ngày công bố quyết định giám sát, kiểm tra đến ngày kết thúc việc giám sát, kiểm tra.

11. Kết luận kiểm tra là văn bản do người ra quyết định kiểm tra ký ban hành để đánh giá, kết luận và kiến nghị về nội dung đã kiểm tra.

12. Báo cáo kết quả giám sát, kiểm tra về hoạt động quản lý và đầu tư vốn nhà nước tại doanh nghiệp được giao quản lý là báo cáo tổng hợp kết quả giám sát, kiểm tra của cơ quan đại diện chủ sở hữu đối với các doanh nghiệp được giao quản lý.

13. Báo cáo tình hình quản lý và đầu tư vốn nhà nước tại doanh nghiệp là báo cáo đánh giá, tổng hợp các vấn đề về tình hình quản lý và đầu tư vốn nhà nước tại doanh nghiệp do doanh nghiệp, người đại diện lập và gửi cơ quan đại diện chủ sở hữu.

14. Chỉ tiêu định hướng là các chỉ tiêu do cơ quan đại diện chủ sở hữu giao, làm cơ sở cho doanh nghiệp xây dựng và ban hành kế hoạch kinh doanh năm tiếp theo.

Chương II

GIÁM SÁT, KIỂM TRA

Mục 1. QUY ĐỊNH CHUNG

Điều 5. Căn cứ và hồ sơ, tài liệu thực hiện giám sát, kiểm tra

1. Quy định của pháp luật hiện hành về quản lý và đầu tư vốn nhà nước tại doanh nghiệp và quy định pháp luật khác có liên quan; theo yêu cầu, chỉ đạo của Chính phủ, Thủ tướng Chính phủ.

2. Điều lệ tổ chức và hoạt động, Quy chế tài chính của doanh nghiệp; Quy chế nội bộ của doanh nghiệp; Quy chế hoạt động của Kiểm soát viên, Quy chế hoạt động của người đại diện phần vốn nhà nước; Quy chế hoạt động của người đại diện phần vốn của doanh nghiệp; Quy chế quản lý, sử dụng quỹ của doanh nghiệp; Quy chế tiền lương, thù lao, tiền thưởng của doanh nghiệp.

3. Chiến lược phát triển, kế hoạch kinh doanh hằng năm của doanh nghiệp, mục tiêu giám sát trong từng thời kỳ do cơ quan đại diện chủ sở hữu xây dựng đối với từng doanh nghiệp; báo cáo của doanh nghiệp theo quy định tại khoản 1 Điều 54 Luật Quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

4. Báo cáo tài chính năm của doanh nghiệp đã được kiểm toán bởi đơn vị kiểm toán độc lập và Hội đồng thành viên, Chủ tịch công ty, Đại hội đồng cổ đông thông qua; báo cáo tài chính năm của doanh nghiệp hoạt động trong lĩnh vực thuộc bí mật nhà nước theo quy định của pháp luật được Hội đồng thành viên, Chủ tịch công ty thông qua và được kiểm toán bởi Kiểm toán nhà nước (nếu có); báo cáo tài chính 06 tháng, báo cáo tài chính quý, báo cáo nghiệp vụ định kỳ; báo cáo đột xuất theo yêu cầu của cơ quan đại diện chủ sở hữu hoặc cơ quan quản lý nhà nước.

5. Kết quả thanh tra; giám sát, kiểm tra; kiểm toán tại doanh nghiệp do cơ quan chức năng công bố theo quy định hoặc gửi bằng văn bản đến cơ quan đại diện chủ sở hữu.

6. Báo cáo giám sát, đánh giá, kiến nghị, ý kiến của Ban kiểm soát, Kiểm soát viên đối với những nội dung thuộc quyền và trách nhiệm của Ban kiểm soát, Kiểm soát viên theo Quy chế hoạt động của Kiểm soát viên và quy định pháp luật có liên quan.

7. Hồ sơ, tài liệu liên quan đến việc thực hiện quyền, trách nhiệm của cơ quan đại diện chủ sở hữu trong hoạt động đầu tư vốn nhà nước vào doanh nghiệp, quản lý vốn nhà nước tại doanh nghiệp, cơ cấu lại vốn nhà nước tại doanh nghiệp.

8. Báo cáo của người đại diện phần vốn nhà nước và người đại diện phần vốn của doanh nghiệp theo quy định tại Điều 39, Điều 40 Luật Quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

9. Báo cáo về các nội dung vượt thẩm quyền và nội dung khác mà người đại diện phần vốn nhà nước, Hội đồng thành viên, Chủ tịch công ty phải báo cáo cơ quan đại diện chủ sở hữu để giám sát theo quy định tại Luật Quản lý và đầu tư vốn nhà nước tại doanh nghiệp và các văn bản quy định chi tiết, hướng dẫn thi hành.

10. Thông tin, hồ sơ, tài liệu, báo cáo khác có liên quan.

Điều 6. Phương thức giám sát, kiểm tra

1. Giám sát gián tiếp cơ quan đại diện chủ sở hữu; doanh nghiệp nhà nước, người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước tại doanh nghiệp có vốn nhà nước được thực hiện thông qua các báo cáo do đối tượng giám sát gửi chủ thể giám sát.

Kết quả giám sát gián tiếp cơ quan đại diện chủ sở hữu được báo cáo định kỳ hằng năm. Kết quả giám sát gián tiếp doanh nghiệp nhà nước, người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước được báo cáo định kỳ hằng quý và tổng hợp chung vào báo cáo giám sát, kiểm tra hằng năm.

2. Giám sát trực tiếp cơ quan đại diện chủ sở hữu; doanh nghiệp nhà nước, người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước tại doanh nghiệp do Nhà nước nắm giữ trên 50% đến dưới 100% vốn điều lệ được thực hiện thông qua quá trình làm việc trực tiếp với nội dung, địa điểm, thời gian theo kế hoạch được công bố.

Kết quả giám sát trực tiếp được ban hành sau khi kết thúc mỗi cuộc giám sát và tổng hợp chung vào báo cáo giám sát, kiểm tra hằng năm.

3. Kiểm tra cơ quan đại diện chủ sở hữu; doanh nghiệp nhà nước, người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước tại doanh nghiệp do Nhà nước nắm giữ trên 50% đến dưới 100% vốn điều lệ được thực hiện thông qua quá trình làm việc trực tiếp với nội dung, địa điểm, thời gian theo kế hoạch được công bố.

Kết quả kiểm tra được ban hành sau khi kết thúc cuộc kiểm tra; báo cáo theo yêu cầu (nếu có) và tổng hợp chung vào báo cáo giám sát, kiểm tra hằng năm.

Điều 7. Mục tiêu giám sát, kiểm tra

1. Mục tiêu giám sát

a) Xem xét, đánh giá về việc chấp hành pháp luật về quản lý và đầu tư vốn nhà nước tại doanh nghiệp, việc tuân thủ quyết định của cơ quan có thẩm quyền của đối tượng giám sát; bảo đảm hiệu quả, bảo toàn và phát triển vốn nhà nước tại doanh nghiệp và vốn của doanh nghiệp; phòng, chống dàn trải, lãng phí, thất thoát vốn, tài sản của Nhà nước và doanh nghiệp; kết quả thực hiện nhiệm vụ chính trị, quốc phòng, an ninh được cấp có thẩm quyền giao; qua đó kịp thời phát hiện, ngăn chặn, phòng ngừa, chấn chỉnh hoặc áp dụng biện pháp phù hợp, khắc phục những tồn tại, hạn chế, nâng cao hiệu quả quản lý và đầu tư vốn nhà nước tại doanh nghiệp, hiệu quả hoạt động sản xuất, kinh doanh, bảo toàn và phát triển vốn nhà nước tại doanh nghiệp, vốn của doanh nghiệp.

b) Nhận diện tồn tại, hạn chế trong hoạt động quản lý và đầu tư vốn nhà nước tại doanh nghiệp để kiến nghị cấp có thẩm quyền xem xét, xử lý.

c) Kịp thời phát hiện những sơ hở, bất cập trong chính sách, pháp luật và cơ chế quản lý đối với doanh nghiệp nhà nước để kiến nghị cơ quan có thẩm quyền biện pháp khắc phục, hoàn thiện.

d) Tăng cường thực hiện công khai, minh bạch thông tin trong hoạt động quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

2. Mục tiêu kiểm tra

a) Nâng cao ý thức chấp hành pháp luật về quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

b) Chấn chỉnh, xử lý kịp thời hành vi vi phạm, góp phần nâng cao hiệu quả quản lý và đầu tư vốn nhà nước tại doanh nghiệp; hiệu quả hoạt động sản xuất, kinh doanh, bảo toàn và phát triển vốn nhà nước tại doanh nghiệp, vốn của doanh nghiệp.

Điều 8. Nguyên tắc giám sát, kiểm tra

1. Tuân thủ quy định pháp luật về quản lý và đầu tư vốn nhà nước tại doanh nghiệp và pháp luật có liên quan; bảo đảm tính khách quan, chính xác, kịp thời, công khai, minh bạch.

2. Tăng cường phối hợp có hiệu quả giữa cơ quan, tổ chức, cá nhân được giao nhiệm vụ giám sát, kiểm tra và cơ quan, tổ chức, cá nhân khác có liên quan trong công tác giám sát, kiểm tra.

3. Không làm cản trở hoạt động bình thường của cơ quan đại diện chủ sở hữu, doanh nghiệp là đối tượng giám sát, kiểm tra và cơ quan, tổ chức, cá nhân khác có liên quan trong công tác giám sát, kiểm tra.

4. Bảo đảm không trùng lặp về phạm vi, nội dung, đối tượng, thời gian giữa kiểm toán nhà nước, thanh tra với cơ quan, tổ chức, cá nhân có thẩm quyền giám sát, kiểm tra.

5. Các hành vi bị nghiêm cấm:

a) Đối với cơ quan, tổ chức, cá nhân có thẩm quyền giám sát, kiểm tra: Lạm dụng chức vụ quyền hạn để sách nhiễu, gây phiền hà cho cơ quan, tổ chức, cá nhân là đối tượng giám sát, kiểm tra; can thiệp trái pháp luật vào hoạt động của đối tượng giám sát, đối tượng kiểm tra; sử dụng trái pháp luật thông tin, tài liệu thu thập được trong quá trình giám sát, kiểm tra; lập biên bản giám sát, kết luận kiểm tra sai sự thật; giả mạo hồ sơ, tài liệu.

b) Đối với đối tượng giám sát, đối tượng kiểm tra và cơ quan, tổ chức, cá nhân có liên quan: Cản trở, chống đối, đe dọa, uy hiếp người thi hành công vụ trong quá trình giám sát, kiểm tra; không chấp hành quyết định giám sát, kiểm tra, yêu cầu của đoàn giám sát, kiểm tra; che giấu, tiêu hủy, giả mạo tài liệu, chứng cứ liên quan đến nội dung giám sát, kiểm tra; cung cấp thông tin không đầy đủ, không trung thực, thiếu chính xác.

c) Hành vi bị nghiêm cấm khác theo quy định.

d) Trường hợp vi phạm quy định tại điểm a, b, c khoản này thì tùy theo tính chất, mức độ bị xử lý kỷ luật, xử phạt vi phạm hành chính hoặc truy cứu trách nhiệm hình sự theo quy định của pháp luật; trường hợp gây thiệt hại thì phải bồi thường theo quy định của pháp luật.

6. Thực hiện đúng nhiệm vụ, quyền hạn của trưởng đoàn, thành viên đoàn giám sát trực tiếp, đoàn kiểm tra theo quy định tại Điều 11, 12, 16, 17 và 18 Nghị định này.

7. Thực hiện đúng quyền, nghĩa vụ của đối tượng giám sát, đối tượng kiểm tra theo quy định tại Điều 11, 12, 13, 16, 17 và 18 Nghị định này.

Mục 2. GIÁM SÁT, KIỂM TRA CƠ QUAN ĐẠI DIỆN CHỦ SỞ HỮU

Điều 9. Chủ thể, đối tượng giám sát, kiểm tra

Bộ Tài chính là cơ quan được Chính phủ phân công thực hiện giám sát, kiểm tra việc thực hiện quyền, trách nhiệm của cơ quan đại diện chủ sở hữu trong hoạt động đầu tư vốn nhà nước vào doanh nghiệp, quản lý vốn nhà nước tại doanh nghiệp, cơ cấu lại vốn nhà nước tại doanh nghiệp.

Điều 10. Nội dung giám sát, kiểm tra cơ quan đại diện chủ sở hữu

1. Hoạt động đầu tư vốn nhà nước vào doanh nghiệp của cơ quan đại diện chủ sở hữu

a) Việc tổ chức thực hiện chính sách, pháp luật về đầu tư vốn nhà nước vào doanh nghiệp, quản lý vốn nhà nước tại doanh nghiệp.

b) Việc tuân thủ nguyên tắc, phạm vi đầu tư vốn nhà nước vào doanh nghiệp theo quy định khi quyết định đầu tư vốn nhà nước vào doanh nghiệp.

c) Việc quyết định mức vốn đầu tư, nguồn vốn đầu tư vào doanh nghiệp; hiệu quả kinh tế; hiệu quả xã hội; kết quả thực hiện nhiệm vụ chính trị do cơ quan có thẩm quyền giao; kết quả thực hiện nhiệm vụ quốc phòng, an ninh của việc đầu tư vốn nhà nước vào doanh nghiệp.

d) Việc quyết định chủ trương đầu tư, quyết định đầu tư vốn nhà nước vào doanh nghiệp.

2. Việc thực hiện quyền, trách nhiệm của cơ quan đại diện chủ sở hữu

a) Việc giao chỉ tiêu định hướng, giao chỉ tiêu để đánh giá doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ; việc chỉ đạo người đại diện phần vốn nhà nước tham gia ý kiến, biểu quyết, quyết định tại Đại hội đồng cổ đông, cuộc họp Hội đồng thành viên, Hội đồng quản trị về kế hoạch kinh doanh hằng năm của doanh nghiệp do Nhà nước nắm giữ trên 50% đến dưới 100% vốn điều lệ.

b) Việc bổ nhiệm, bổ nhiệm lại, chấp thuận từ chức, miễn nhiệm, khen thưởng, kỷ luật, chấm dứt hợp đồng thuê đối với người quản lý doanh nghiệp, Kiểm soát viên, cử người đại diện phần vốn nhà nước.

c) Việc tuân thủ quy định trong thực hiện giám sát, kiểm tra của cơ quan đại diện chủ sở hữu.

d) Việc thực hiện quyền, trách nhiệm khác của cơ quan đại diện chủ sở hữu trong đầu tư vốn nhà nước vào doanh nghiệp, quản lý vốn nhà nước tại doanh nghiệp, cơ cấu lại vốn nhà nước tại doanh nghiệp.

Điều 11. Tổ chức thực hiện giám sát

1. Giám sát gián tiếp

a) Cơ quan đại diện chủ sở hữu lập Báo cáo kết quả giám sát, kiểm tra về hoạt động quản lý và đầu tư vốn nhà nước tại doanh nghiệp được giao quản lý của năm trước, các hồ sơ, tài liệu có liên quan gửi Bộ Tài chính trước ngày 31 tháng 7 hằng năm. Nội dung Báo cáo bao gồm: Kết quả thực hiện, tự đánh giá giám sát và kết quả tổ chức thực hiện giám sát, kiểm tra của cơ quan đại diện chủ sở hữu.

b) Căn cứ báo cáo của cơ quan đại diện chủ sở hữu theo quy định tại điểm a khoản 1 Điều này, Bộ Tài chính thực hiện giám sát gián tiếp và lập Báo cáo kết quả giám sát, bao gồm: Kết quả giám sát cơ quan đại diện chủ sở hữu; kiến nghị hoặc đề xuất giải pháp nhằm chấn chỉnh, khắc phục hoặc đề nghị cơ quan nhà nước có thẩm quyền thanh tra, điều tra (nếu có).

c) Trách nhiệm của cơ quan đại diện chủ sở hữu:

c1) Cung cấp Báo cáo kết quả giám sát, kiểm tra về hoạt động quản lý và đầu tư vốn nhà nước tại doanh nghiệp được giao quản lý theo quy định tại điểm a khoản 1 Điều này bảo đảm chất lượng, thời hạn theo quy định;

c2) Yêu cầu doanh nghiệp cung cấp thông tin, tài liệu, báo cáo phục vụ công tác giám sát;

c3) Cung cấp đầy đủ thông tin, hồ sơ, tài liệu theo yêu cầu giám sát;

c4) Thực hiện đầy đủ, kịp thời cảnh báo, kiến nghị tại báo cáo giám sát;

c5) Cơ quan đại diện chủ sở hữu, doanh nghiệp chịu trách nhiệm về thông tin, tài liệu, báo cáo đã cung cấp.

2. Giám sát trực tiếp

a) Căn cứ tình hình thực tiễn quản lý; kiến nghị, dấu hiệu rủi ro nhận diện được trong quá trình giám sát gián tiếp; nguy cơ thất thoát, Bộ Tài chính lập Kế hoạch giám sát trực tiếp và thông báo tới cơ quan đại diện chủ sở hữu để thực hiện. Kế hoạch giám sát phải được lấy ý kiến của Thanh tra Chính phủ, Kiểm toán Nhà nước và bộ, ngành liên quan, công bố trước ngày 31 tháng 01 của năm thực hiện.

Trường hợp cần thiết, căn cứ Kế hoạch giám sát trực tiếp của Bộ Tài chính hoặc trên cơ sở đề nghị của Bộ Tài chính, Thủ tướng Chính phủ chỉ đạo các bộ, ngành liên quan tham gia phối hợp thực hiện Kế hoạch giám sát trực tiếp.

b) Căn cứ vào kế hoạch giám sát đã công bố, người ra quyết định giám sát ban hành quyết định giám sát và gửi cơ quan đại diện chủ sở hữu:

Quyết định giám sát bao gồm: Căn cứ giám sát; đối tượng giám sát; nội dung, phạm vi giám sát; thời hạn giám sát; họ tên, chức vụ, nơi công tác của trưởng đoàn và thành viên đoàn giám sát.

Thời hạn giám sát không quá 15 ngày làm việc, kể từ ngày công bố quyết định giám sát; trường hợp phức tạp hoặc địa bàn đi lại khó khăn thì được gia hạn một lần không quá 07 ngày làm việc.

c) Trách nhiệm của người ra quyết định giám sát, trưởng đoàn giám sát, thành viên đoàn giám sát:

c1) Người ra quyết định giám sát có trách nhiệm tổ chức, chỉ đạo, giám sát hoạt động của đoàn giám sát, bảo đảm nguyên tắc giám sát, bảo đảm cuộc giám sát được thực hiện đúng pháp luật, đúng mục tiêu, yêu cầu; giải quyết kịp thời các kiến nghị của đoàn giám sát và các khiếu nại, tố cáo, kiến nghị, phản ánh liên quan đến hoạt động của đoàn giám sát.

c2) Trưởng đoàn giám sát là người đứng đầu đoàn giám sát, có trách nhiệm tổ chức, chỉ đạo các thành viên đoàn giám sát thực hiện đúng phạm vi, nội dung, tiến độ giám sát theo quyết định giám sát và kế hoạch giám sát; thực hiện chế độ thông tin, báo cáo theo yêu cầu của người ra quyết định giám sát; chịu trách nhiệm trước người ra quyết định giám sát về hoạt động của đoàn giám sát. Trưởng đoàn giám sát phải chấp hành quyết định, chỉ đạo của người ra quyết định giám sát; có quyền bảo lưu ý kiến về kết quả giám sát và chịu trách nhiệm trước người ra quyết định giám sát, trước pháp luật về việc bảo lưu của mình.

c3) Thành viên đoàn giám sát phải chấp hành quyết định, chỉ đạo của trưởng đoàn giám sát, người ra quyết định giám sát; có quyền bảo lưu ý kiến về kết quả giám sát và chịu trách nhiệm trước người ra quyết định giám sát, trước pháp luật về việc bảo lưu của mình.

c4) Trong quá trình giám sát, trưởng đoàn giám sát lập biên bản làm việc liên quan đến nội dung giám sát và việc thu thập, cung cấp thông tin, tài liệu liên quan đến nội dung giám sát. Biên bản bao gồm nội dung sau: Thời gian, địa điểm lập biên bản; thông tin, tài liệu được thu thập, cung cấp; nội dung làm việc; biên bản làm việc được ký giữa trưởng đoàn giám sát và đại diện cơ quan đại diện chủ sở hữu.

d) Nhiệm vụ, quyền hạn của trưởng đoàn, thành viên đoàn giám sát trực tiếp:

d1) Trưởng đoàn tổ chức, chỉ đạo thành viên đoàn thực hiện đúng nội dung quyết định giám sát; thành viên đoàn thực hiện nhiệm vụ theo sự phân công của trưởng đoàn.

d2) Yêu cầu đối tượng giám sát trực tiếp cung cấp thông tin, hồ sơ, tài liệu phục vụ công tác giám sát; yêu cầu giải trình, làm rõ các nội dung có liên quan.

d3) Lập biên bản giám sát trực tiếp theo quy định.

d4) Trưởng đoàn báo cáo người ra quyết định giám sát về kết quả giám sát trực tiếp.

d5) Thực hiện nhiệm vụ, quyền hạn khác theo quy định pháp luật.

đ) Quyền, nghĩa vụ của đối tượng giám sát:

đ1) Được bảo vệ bí mật công nghệ, bí mật kinh doanh, dữ liệu cá nhân theo quy định của pháp luật.

đ2) Từ chối cung cấp thông tin, hồ sơ, tài liệu không liên quan đến nội dung giám sát.

đ3) Được quyền giải trình, khiếu nại, tố cáo, kiến nghị và quyền khác theo quy định của pháp luật.

đ4) Có nghĩa vụ chấp hành yêu cầu phục vụ hoạt động giám sát và thực hiện đầy đủ trách nhiệm, nghĩa vụ khác theo quy định của pháp luật.

e) Thời hạn ban hành Báo cáo kết quả giám sát và nội dung báo cáo kết quả giám sát

e1) Trong thời hạn 15 ngày làm việc kể từ ngày kết thúc giám sát, trưởng đoàn giám sát lập báo cáo kết quả giám sát và gửi người ra quyết định giám sát.

e2) Báo cáo kết quả giám sát gồm: Đánh giá tình hình; kết quả giám sát; kiến nghị hoặc đề xuất giải pháp nhằm chấn chỉnh, khắc phục hoặc đề nghị cơ quan nhà nước có thẩm quyền thanh tra, điều tra (nếu có).

e3) Trong thời hạn 15 ngày làm việc kể từ ngày nhận báo cáo kết quả giám sát, người ra quyết định giám sát phê duyệt kết quả giám sát và chỉ đạo nội dung kết luận, kiến nghị. Căn cứ báo cáo về kết quả giám sát, người ra quyết định giám sát có văn bản kiến nghị gửi cơ quan đại diện chủ sở hữu.

g) Trách nhiệm của cơ quan đại diện chủ sở hữu

g1) Cử người có thẩm quyền làm việc với đoàn giám sát.

g2) Yêu cầu doanh nghiệp cử người có thẩm quyền làm việc với đoàn giám sát (nếu cần).

g3) Giải trình và làm rõ những vấn đề liên quan đến nội dung giám sát.

g4) Ký xác nhận biên bản giám sát.

g5) Thực hiện theo nội dung quy định tại điểm c khoản 1 Điều này.

Điều 12. Tổ chức thực hiện kiểm tra

1. Kiểm tra thực hiện trong trường hợp có chỉ đạo của cấp có thẩm quyền hoặc Bộ Tài chính phát hiện dấu hiệu vi phạm nghiêm trọng trong quản lý và đầu tư vốn nhà nước tại doanh nghiệp cần thực hiện kiểm tra. Bộ Tài chính lập Kế hoạch kiểm tra và thông báo tới cơ quan đại diện chủ sở hữu có liên quan chậm nhất là 15 ngày trước ngày thực hiện kiểm tra.

Trường hợp cần thiết hoặc trên cơ sở đề nghị của Bộ Tài chính, Thủ tướng Chính phủ chỉ đạo các bộ, ngành liên quan tham gia phối hợp thực hiện Kế hoạch kiểm tra.

2. Căn cứ kế hoạch kiểm tra đã công bố, người ra quyết định kiểm tra ban hành quyết định kiểm tra và gửi cơ quan đại diện chủ sở hữu.

Quyết định kiểm tra bao gồm: Căn cứ kiểm tra; đối tượng kiểm tra; nội dung, phạm vi kiểm tra; thời hạn kiểm tra; họ, tên, chức vụ, nơi công tác của trưởng đoàn kiểm tra và thành viên đoàn kiểm tra.

Thời hạn kiểm tra không quá 15 ngày làm việc kể từ ngày công bố quyết định kiểm tra; trường hợp phức tạp hoặc địa bàn đi lại khó khăn thì được gia hạn một lần không quá 07 ngày làm việc.

3. Trách nhiệm của người ra quyết định kiểm tra, trưởng đoàn kiểm tra, thành viên đoàn kiểm tra, đối tượng kiểm tra

a) Người ra quyết định kiểm tra có trách nhiệm:

a1) Tổ chức, chỉ đạo, giám sát hoạt động của đoàn kiểm tra, bảo đảm cuộc kiểm tra được thực hiện đúng pháp luật, đúng nguyên tắc, mục tiêu, yêu cầu;

a2) Giải quyết kịp thời các kiến nghị của đoàn kiểm tra và các khiếu nại, tố cáo, kiến nghị, phản ánh liên quan đến hoạt động của đoàn kiểm tra.

Trường hợp đoàn kiểm tra đã phát hiện và báo cáo về vụ việc có dấu hiệu vi phạm pháp luật nhưng người ra quyết định kiểm tra không xử lý hoặc kiến nghị xử lý theo thẩm quyền thì trưởng đoàn kiểm tra, thành viên đoàn kiểm tra không phải chịu trách nhiệm. Trong trường hợp này, người ra quyết định kiểm tra phải chịu trách nhiệm theo quy định của pháp luật.

b) Trưởng đoàn kiểm tra có trách nhiệm:

b1) Tổ chức, chỉ đạo các thành viên đoàn kiểm tra thực hiện đúng phạm vi, nội dung, tiến độ kiểm tra theo quyết định kiểm tra và kế hoạch kiểm tra;

b2) Thực hiện chế độ thông tin, báo cáo theo yêu cầu của người ra quyết định kiểm tra; chịu trách nhiệm trước người ra quyết định kiểm tra về hoạt động của đoàn kiểm tra;

b3) Chấp hành quyết định, chỉ đạo của người ra quyết định kiểm tra; có quyền bảo lưu ý kiến về kết quả kiểm tra và chịu trách nhiệm trước người ra quyết định kiểm tra, trước pháp luật về việc bảo lưu của mình;

b4) Lập biên bản đối với hành vi vi phạm (nếu có) trong quá trình kiểm tra hoặc biên bản xác nhận việc thu thập, cung cấp thông tin, tài liệu liên quan đến nội dung kiểm tra. Biên bản bao gồm nội dung sau: Thời gian, địa điểm lập biên bản; họ tên, chức vụ của trưởng đoàn kiểm tra; họ tên, chức vụ của đại diện cơ quan đại diện chủ sở hữu; thông tin, tài liệu được thu thập, cung cấp; xác nhận của trưởng đoàn kiểm tra và đại diện cơ quan đại diện chủ sở hữu đối với hành vi vi phạm (nếu có);

b5) Thực hiện nhiệm vụ, quyền hạn theo nội dung quy định tại điểm d khoản 2 Điều 11 Nghị định này.

c) Thành viên đoàn kiểm tra có trách nhiệm:

c1) Chấp hành quyết định, chỉ đạo của trưởng đoàn kiểm tra, người ra quyết định kiểm tra; có quyền bảo lưu ý kiến về kết quả kiểm tra và chịu trách nhiệm trước người ra quyết định kiểm tra, trước pháp luật về việc bảo lưu của mình.

c2) Thực hiện nhiệm vụ, quyền hạn theo nội dung quy định tại điểm d khoản 2 Điều 11 Nghị định này.

d) Đối tượng kiểm tra thực hiện quyền, nghĩa vụ theo nội dung quy định tại điểm đ khoản 2 Điều 11 Nghị định này.

4. Kết luận kiểm tra

a) Trong thời hạn 15 ngày làm việc kể từ ngày kết thúc kiểm tra, trưởng đoàn kiểm tra có trách nhiệm lập báo cáo kết quả kiểm tra và gửi người ra quyết định kiểm tra.

Báo cáo kết quả kiểm tra bao gồm nội dung: Đánh giá tình hình; kết quả kiểm tra; kết luận về nội dung kiểm tra; kiến nghị biện pháp xử lý hành vi vi phạm pháp luật và các nội dung khác (nếu có); kiến nghị cơ quan có thẩm quyền thanh tra, điều tra theo quy định (nếu có); giải pháp khắc phục (nếu có).

b) Trong thời hạn 05 ngày làm việc kể từ ngày nhận được báo cáo kết quả kiểm tra, người ra quyết định kiểm tra giao trưởng đoàn kiểm tra xây dựng dự thảo kết luận kiểm tra. Dự thảo kết luận kiểm tra bao gồm các nội dung sau: đánh giá việc thực hiện chức năng, nhiệm vụ, quyền hạn của đối tượng kiểm tra; kết luận về nội dung kiểm tra; kiến nghị biện pháp xử lý hành vi vi phạm pháp luật và các nội dung khác (nếu có); kiến nghị cơ quan có thẩm quyền thanh tra, điều tra theo quy định (nếu có); giải pháp khắc phục (nếu có).

Trong quá trình xây dựng dự thảo kết luận kiểm tra, người ra quyết định kiểm tra có thể quyết định việc xin ý kiến của cơ quan, tổ chức, cá nhân có liên quan về một hoặc một số nội dung của dự thảo kết luận kiểm tra.

c) Trong thời hạn 15 ngày làm việc kể từ ngày nhận được dự thảo kết luận kiểm tra và văn bản giải trình của cơ quan đại diện chủ sở hữu (nếu có), người ra quyết định kiểm tra ban hành kết luận kiểm tra bằng văn bản và gửi cơ quan đại diện chủ sở hữu, cơ quan, tổ chức, cá nhân có liên quan.

5. Tạm dừng kiểm tra

Người ra quyết định kiểm tra quyết định tạm dừng kiểm tra trong trường hợp sau đây:

a) Có sự kiện bất khả kháng ảnh hưởng đến tiến độ thực hiện cuộc kiểm tra;

b) Tình hình thực tế ảnh hưởng đến việc kiểm tra do phải tập trung thực hiện nhiệm vụ quan trọng, cấp thiết theo yêu cầu của cơ quan có thẩm quyền;

c) Đối tượng kiểm tra đề nghị tạm dừng kiểm tra có lý do chính đáng, được người ra quyết định kiểm tra đồng ý. Việc tạm dừng kiểm tra được thực hiện 01 lần và thời hạn tạm dừng không quá 30 ngày kể từ ngày ban hành quyết định tạm dừng kiểm tra.

Người ra quyết định kiểm tra quyết định tiếp tục kiểm tra khi lý do của việc tạm dừng kiểm tra không còn hoặc hết thời hạn tạm dừng kiểm tra. Quyết định tạm dừng kiểm tra, quyết định tiếp tục kiểm tra phải được gửi đến đối tượng kiểm tra.

6. Trách nhiệm của cơ quan đại diện chủ sở hữu

a) Chấp hành quyết định kiểm tra.

b) Thực hiện nghiêm yêu cầu của đoàn kiểm tra; quyết định, kết luận của người ra quyết định kiểm tra.

c) Thực hiện trách nhiệm khác của cơ quan đại diện chủ sở hữu theo nội dung quy định tại điểm g khoản 2 Điều 11 Nghị định này.

Điều 13. Xử lý kết quả giám sát, kiểm tra

Căn cứ kết quả giám sát, kiểm tra:

1. Bộ Tài chính:

a) Thực hiện tổng hợp chung kết quả giám sát, kiểm tra theo quy định tại Điều 11, Điều 12 Nghị định này vào báo cáo giám sát, kiểm tra hằng năm để báo cáo Chính phủ trước ngày 31 tháng 10 hằng năm;

b) Kịp thời có ý kiến với cơ quan đại diện chủ sở hữu đối với những vấn đề ảnh hưởng tiêu cực tới hiệu quả đầu tư vốn nhà nước vào doanh nghiệp và hiệu quả sản xuất, kinh doanh, bảo toàn, phát triển vốn nhà nước tại doanh nghiệp để cơ quan đại diện chủ sở hữu phòng ngừa, khắc phục. Kiến nghị Thủ tướng Chính phủ chỉ đạo xử lý vấn đề vượt thẩm quyền;

c) Báo cáo, kiến nghị Chính phủ, Thủ tướng Chính phủ theo thẩm quyền chỉ đạo tổ chức, cá nhân có liên quan thực hiện kiến nghị, giải pháp khắc phục (nếu có) và báo cáo kết quả;

d) Kiến nghị Chính phủ, Thủ tướng Chính phủ chỉ đạo việc sửa đổi, hoàn thiện các quy định của pháp luật và quy định của cơ quan đại diện chủ sở hữu liên quan công tác quản lý và đầu tư vốn nhà nước tại doanh nghiệp;

đ) Theo dõi, đôn đốc cơ quan đại diện chủ sở hữu thực hiện các kiến nghị, cảnh báo, giải pháp, chỉ đạo của cấp có thẩm quyền.

2. Chính phủ, Thủ tướng Chính phủ theo thẩm quyền chỉ đạo tổ chức, cá nhân có liên quan thực hiện kiến nghị, giải pháp khắc phục (nếu có) và báo cáo kết quả.

3. Cơ quan đại diện chủ sở hữu có trách nhiệm:

a) Xử lý kịp thời vấn đề phát hiện trong quá trình giám sát, kiểm tra;

b) Tổ chức thực hiện các kiến nghị, biện pháp tăng cường theo dõi, giám sát vốn nhà nước tại doanh nghiệp, nâng cao hiệu quả hoạt động quản lý và đầu tư vốn nhà nước;

c) Chủ động thực hiện hoặc phối hợp với cơ quan liên quan thực hiện giải pháp tháo gỡ khó khăn, vướng mắc trong hoạt động quản lý và đầu tư vốn nhà nước tại doanh nghiệp; báo cáo nội dung vượt thẩm quyền theo quy định;

d) Thực hiện đầy đủ, kịp thời kiến nghị, cảnh báo tại báo cáo giám sát, kiểm tra;

đ) Thực hiện quyền khiếu nại, tố cáo, kiến nghị, phản ánh theo quy định của pháp luật.

Mục 3. GIÁM SÁT, KIỂM TRA DOANH NGHIỆP NHÀ NƯỚC, NGƯỜI ĐẠI DIỆN CHỦ SỞ HỮU TRỰC TIẾP, NGƯỜI ĐẠI DIỆN PHẦN VỐN NHÀ NƯỚC

Điều 14. Chủ thể, đối tượng giám sát, kiểm tra

1. Cơ quan đại diện chủ sở hữu giám sát, kiểm tra doanh nghiệp nhà nước, người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước tại doanh nghiệp được giao quản lý.

2. Trường hợp cần thiết, Thủ tướng Chính phủ yêu cầu Bộ Tài chính chủ trì kiểm tra doanh nghiệp nhà nước thuộc cơ quan đại diện chủ sở hữu khác.

Điều 15. Nội dung giám sát, kiểm tra

1. Đầu tư bổ sung vốn nhà nước tại doanh nghiệp.

2. Quản lý vốn nhà nước tại doanh nghiệp; hiệu quả hoạt động sản xuất, kinh doanh, bảo toàn và phát triển vốn nhà nước tại doanh nghiệp, bao gồm:

a) Việc thực hiện chiến lược phát triển, kế hoạch kinh doanh hằng năm của doanh nghiệp; thực hiện nhiệm vụ cung ứng sản phẩm, dịch vụ công ích do Nhà nước đặt hàng, giao kế hoạch; thực hiện nhiệm vụ chính trị do cơ quan có thẩm quyền giao, nhiệm vụ quốc phòng, an ninh;

b) Việc huy động và sử dụng vốn huy động; cho vay, cho thuê, thuê mua, thế chấp, cầm cố, mua, bán tài sản cố định, quản lý nợ phải thu, nợ phải trả, bảo toàn và phát triển vốn của doanh nghiệp;

c) Việc ban hành quy chế tài chính, quy chế nội bộ và quy chế khác của doanh nghiệp;

d) Hoạt động đầu tư của doanh nghiệp;

đ) Việc chuyển nhượng dự án đầu tư, chuyển nhượng vốn đầu tư, thu lợi nhuận, cổ tức được chia từ hoạt động đầu tư của doanh nghiệp;

e) Quản lý vốn của doanh nghiệp đầu tư tại công ty cổ phần, công ty trách nhiệm hữu hạn.

3. Việc thực hiện quyền, trách nhiệm của Hội đồng thành viên, Hội đồng quản trị, Kiểm soát viên, người đại diện phần vốn nhà nước.

4. Việc chuyển nhượng, thu hồi vốn, thu lợi nhuận, cổ tức được chia tại công ty cổ phần, công ty trách nhiệm hữu hạn.

5. Việc thực hiện kiến nghị, cảnh báo của cơ quan quản lý nhà nước, cơ quan thanh tra, kiểm toán, cơ quan đại diện chủ sở hữu về quản lý và đầu tư vốn nhà nước tại doanh nghiệp và tiếp nhận, xử lý đối với các báo cáo của Kiểm soát viên, người đại diện phần vốn của doanh nghiệp theo quy định pháp luật về quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

6. Việc tuyển dụng, bổ nhiệm, bổ nhiệm lại, chấp thuận từ chức, miễn nhiệm, khen thưởng, kỷ luật, chấm dứt hợp đồng thuê đối với người quản lý doanh nghiệp.

7. Việc thực hiện chế độ tiền lương, thù lao, tiền thưởng và quyền lợi khác của doanh nghiệp.

8. Việc thực hiện nghĩa vụ đối với ngân sách nhà nước, phân phối lợi nhuận sau thuế, trích lập và sử dụng các quỹ của doanh nghiệp.

9. Việc xây dựng và tổ chức thực hiện cơ cấu lại vốn nhà nước tại doanh nghiệp.

10. Việc thực hiện trách nhiệm của người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước trong công tác chỉ đạo xây dựng các báo cáo theo quy định tại khoản 1 Điều 54 Luật Quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

11. Nội dung khác có liên quan đến hoạt động quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

Điều 16. Tổ chức thực hiện giám sát

1. Giám sát gián tiếp

a) Người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước chỉ đạo doanh nghiệp nhà nước lập, gửi cơ quan đại diện chủ sở hữu các báo cáo theo quy định tại điểm b, c, e, g khoản 1 Điều 54 Luật Quản lý và đầu tư vốn nhà nước tại doanh nghiệp hằng quý trước ngày 20 của tháng đầu quý sau.

b) Người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước chỉ đạo doanh nghiệp nhà nước, gửi cơ quan đại diện chủ sở hữu Báo cáo tình hình quản lý và đầu tư vốn nhà nước tại doanh nghiệp theo quy định tại điểm d khoản 1 Điều 54 Luật Quản lý và đầu tư vốn nhà nước tại doanh nghiệp trước ngày 30 tháng 4 hằng năm, báo cáo liên quan khác (nếu cần).

c) Người đại diện phần vốn nhà nước tại công ty cổ phần, công ty trách nhiệm hữu hạn hai thành viên trở lên do Nhà nước nắm giữ từ 50% vốn điều lệ trở xuống lập, gửi cơ quan đại diện chủ sở hữu Báo cáo tình hình quản lý và đầu tư vốn nhà nước tại doanh nghiệp theo quy định tại khoản 3 Điều 54 Luật Quản lý và đầu tư vốn nhà nước tại doanh nghiệp trước ngày 30 tháng 4 hằng năm, báo cáo liên quan khác (nếu cần).

d) Đối với doanh nghiệp do Nhà nước nắm giữ trên 50% vốn điều lệ, cơ quan đại diện chủ sở hữu thực hiện giám sát gián tiếp hằng quý, lập báo cáo kết quả giám sát quý.

Căn cứ báo cáo tại điểm a, b, c khoản 1 Điều này, báo cáo của Kiểm soát viên, báo cáo kết quả giám sát quý và các báo cáo liên quan, cơ quan đại diện chủ sở hữu đánh giá tình hình thực hiện cả năm.

đ) Trách nhiệm của người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước:

đ1) Cung cấp đầy đủ thông tin, hồ sơ, tài liệu theo yêu cầu giám sát;

đ2) Thực hiện đầy đủ, kịp thời cảnh báo, kiến nghị tại báo cáo giám sát;

đ3) Chịu trách nhiệm về tính chính xác, trung thực của thông tin, tài liệu, báo cáo đã cung cấp.

2. Giám sát trực tiếp

a) Căn cứ tình hình thực tiễn quản lý; kiến nghị, dấu hiệu rủi ro nhận diện được trong quá trình giám sát gián tiếp; nguy cơ dẫn đến thất thoát, hoạt động thua lỗ, không bảo đảm khả năng thanh toán, cơ quan đại diện chủ sở hữu lập Kế hoạch giám sát trực tiếp và thông báo tới người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước để thực hiện. Kế hoạch giám sát phải được lấy ý kiến của Thanh tra Chính phủ, Kiểm toán Nhà nước và bộ, ngành liên quan, công bố trước ngày 31 tháng 01 của năm thực hiện.

b) Cơ quan đại diện chủ sở hữu căn cứ quy định tại điểm a, b, c, d, đ, e khoản 2 Điều 11 Nghị định này để tổ chức đoàn giám sát trực tiếp tại doanh nghiệp nhà nước và báo cáo kết quả thực hiện.

c) Trách nhiệm của doanh nghiệp, người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước:

c1) Cử người có thẩm quyền làm việc với đoàn giám sát;

c2) Giải trình và làm rõ những vấn đề liên quan đến nội dung giám sát;

c3) Ký xác nhận biên bản giám sát;

c4) Thực hiện theo nội dung quy định tại điểm đ khoản 1 Điều này.

3. Trách nhiệm của cơ quan đại diện chủ sở hữu

a) Phân công, tổ chức thực hiện công tác giám sát quản lý và đầu tư vốn nhà nước tại doanh nghiệp; tổ chức giám sát theo quy định tại khoản 1, khoản 2 Điều này.

b) Tiếp nhận, xử lý thông tin do người đại diện chủ sở hữu trực tiếp, Kiểm soát viên, người đại diện phần vốn nhà nước tại doanh nghiệp báo cáo phục vụ giám sát theo quy định tại Quy chế hoạt động của Kiểm soát viên, Quy chế hoạt động của người đại diện phần vốn nhà nước, quy chế nội bộ của doanh nghiệp.

c) Thu thập, quản lý thông tin tài chính của doanh nghiệp kịp thời, đầy đủ, liên tục phục vụ công tác quản lý và giám sát.

d) Cảnh báo khi phát hiện dấu hiệu rủi ro; chỉ đạo hoặc yêu cầu doanh nghiệp có giải pháp kịp thời ngăn chặn, khắc phục các rủi ro, yếu kém; chấn chỉnh và xử lý sai phạm về quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

đ) Tổ chức việc thực hiện chỉ đạo của Chính phủ, Thủ tướng Chính phủ và kiến nghị của cơ quan thanh tra, giám sát, kiểm tra, kiểm toán về xử lý các sai phạm; yêu cầu thực hiện đầy đủ và có biện pháp tăng cường giám sát doanh nghiệp. Kiến nghị xử lý theo thẩm quyền đối với tập thể, cá nhân trường hợp vi phạm quy định, không thực hiện chế độ báo cáo, không thực hiện khuyến nghị, kết luận tại báo cáo giám sát, kiểm tra của cơ quan đại diện chủ sở hữu, Bộ Tài chính.

Trường hợp báo cáo tài chính có dấu hiệu không đảm bảo tính chính xác, khách quan, trung thực, người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước, Kiểm soát viên có trách nhiệm giải trình, làm rõ. Trường hợp cần thiết, chuyển hồ sơ cho cơ quan thanh tra, điều tra xem xét, xử lý vụ việc có dấu hiệu vi phạm pháp luật của cơ quan, tổ chức, cá nhân được phát hiện thông qua giám sát, kiểm tra.

e) Trên cơ sở báo cáo giám sát định kỳ của doanh nghiệp, báo cáo tình hình tài chính, sản xuất kinh doanh của doanh nghiệp, cơ quan đại diện chủ sở hữu đánh giá tình hình sản xuất kinh doanh và tình hình tài chính của doanh nghiệp, các khoản đầu tư, dự án đầu tư trong và ngoài nước của doanh nghiệp. Trường hợp phát hiện dấu hiệu rủi ro, cảnh báo kịp thời cho người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước, Kiểm soát viên; chủ động thực hiện hoặc phối hợp với cơ quan liên quan thực hiện giải pháp cần thiết để thực hiện giám sát trực tiếp, kiểm tra, thanh tra tại công ty mẹ và các doanh nghiệp có liên quan; báo cáo những nội dung vượt thẩm quyền theo quy định.

g) Xem xét, quyết định theo thẩm quyền hoặc đề xuất cấp có thẩm quyền quyết định giải pháp do người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước đề xuất nhằm tháo gỡ khó khăn, vướng mắc cho doanh nghiệp.

h) Căn cứ kết quả giám sát, đề nghị cơ quan có thẩm quyền kiểm tra, thanh tra khi cần thiết.

i) Cơ quan đại diện chủ sở hữu thực hiện giám sát, kiểm tra và chịu trách nhiệm cuối cùng về giám sát, kiểm tra doanh nghiệp được giao quản lý; người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước tại doanh nghiệp thực hiện quyền, trách nhiệm của đại diện chủ sở hữu nhà nước, theo dõi, giám sát vốn nhà nước tại doanh nghiệp, bảo đảm hiệu quả, bảo toàn và phát triển vốn nhà nước tại doanh nghiệp, chịu trách nhiệm đối với nhiệm vụ được cơ quan đại diện chủ sở hữu giao và trách nhiệm theo quy định pháp luật.

4. Trách nhiệm của Kiểm soát viên tại doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ:

a) Thực hiện đầy đủ quyền, nghĩa vụ, trách nhiệm của Kiểm soát viên theo quy định của pháp luật về quản lý và đầu tư vốn nhà nước tại doanh nghiệp, pháp luật về doanh nghiệp, Điều lệ doanh nghiệp, Quy chế hoạt động của Kiểm soát viên;

b) Tham gia đoàn giám sát theo yêu cầu của cơ quan đại diện chủ sở hữu;

c) Kiến nghị cơ quan đại diện chủ sở hữu theo thẩm quyền hoặc đề nghị giám sát, kiểm tra, thanh tra khi có dấu hiệu vi phạm;

d) Theo dõi, đôn đốc việc thực hiện biện pháp, đề xuất, kiến nghị của cơ quan đại diện chủ sở hữu, cơ quan nhà nước có thẩm quyền.

Điều 17. Tổ chức thực hiện kiểm tra

1. Cơ quan đại diện chủ sở hữu căn cứ quy định tại Điều 12 Nghị định này để tổ chức đoàn kiểm tra tại doanh nghiệp nhà nước trên cơ sở chỉ đạo của cấp có thẩm quyền hoặc cơ quan đại diện chủ sở hữu phát hiện dấu hiệu vi phạm nghiêm trọng trong quản lý và đầu tư vốn nhà nước tại doanh nghiệp cần thực hiện kiểm tra.

2. Căn cứ kết quả kiểm tra, cơ quan đại diện chủ sở hữu tổng hợp chung kết quả vào Báo cáo kết quả giám sát, kiểm tra về hoạt động quản lý và đầu tư vốn nhà nước tại doanh nghiệp được giao quản lý của năm trước gửi Bộ Tài chính trước ngày 31 tháng 7 hằng năm.

3. Trách nhiệm của người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước:

a) Cử người có thẩm quyền làm việc với đoàn kiểm tra;

b) Giải trình và làm rõ những vấn đề liên quan đến nội dung kiểm tra;

c) Chấp hành quyết định kiểm tra;

d) Thực hiện nghiêm yêu cầu của đoàn kiểm tra, người kiểm tra; quyết định, kết luận của người ra quyết định kiểm tra;

đ) Thực hiện theo nội dung quy định tại điểm d khoản 2 Điều 16 Nghị định này.

4. Trách nhiệm của Kiểm soát viên tại doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ theo nội dung quy định tại khoản 4 Điều 16 Nghị định này.

5. Cơ quan đại diện chủ sở hữu

a) Tổ chức triển khai theo quy định tại khoản 1 Điều này.

b) Căn cứ kết quả kiểm tra, đề nghị cơ quan có thẩm quyền thanh tra, điều tra khi cần thiết.

Điều 18. Xử lý kết quả giám sát, kiểm tra

Căn cứ kết quả giám sát, kiểm tra:

1. Cơ quan đại diện chủ sở hữu, người ra quyết định giám sát, kiểm tra có trách nhiệm:

a) Thực hiện tổng hợp chung kết quả giám sát, kiểm tra theo quy định tại Điều 16, Điều 17 Nghị định này vào Báo cáo kết quả giám sát, kiểm tra về hoạt động quản lý và đầu tư vốn nhà nước tại doanh nghiệp được giao quản lý của năm trước, gửi Bộ Tài chính trước ngày 31 tháng 7 hằng năm;

b) Kiến nghị, đề xuất xử lý các vấn đề phát hiện thông qua giám sát, kiểm tra; yêu cầu người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước, doanh nghiệp đề xuất giải pháp hoặc thực hiện giải pháp khắc phục;

c) Trường hợp kết quả kiểm tra chưa đủ để đánh giá thực trạng, kiến nghị cơ quan có thẩm quyền thực hiện thanh tra, điều tra theo quy định;

d) Trong quá trình xem xét, xử lý kết quả giám sát, kiểm tra, trường hợp phát hiện có dấu hiệu vi phạm chuyển hồ sơ sang cơ quan thanh tra, điều tra có thẩm quyền theo quy định pháp luật.

2. Cơ quan đại diện chủ sở hữu chỉ đạo người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước, doanh nghiệp:

a) Thực hiện đầy đủ cảnh báo, kiến nghị; khắc phục, xử lý kịp thời vấn đề phát hiện trong quá trình giám sát, kiểm tra;

b) Tổ chức thực hiện chỉ đạo của cơ quan đại diện chủ sở hữu, cấp có thẩm quyền và các cảnh báo, kiến nghị, biện pháp tăng cường theo dõi, giám sát vốn nhà nước tại doanh nghiệp, nâng cao hiệu quả hoạt động quản lý và đầu tư vốn nhà nước tại doanh nghiệp;

c) Đề xuất và thực hiện giải pháp cần thiết nhằm tháo gỡ khó khăn, vướng mắc trong hoạt động quản lý và đầu tư vốn nhà nước tại doanh nghiệp; báo cáo những nội dung vượt thẩm quyền theo quy định.

Điều 19. Chủ thể giám sát tài chính đặc biệt

1. Cơ quan đại diện chủ sở hữu thực hiện giám sát tài chính đặc biệt theo quy định từ Điều 19 đến Điều 23 Nghị định này đối với doanh nghiệp nhà nước được giao quản lý khi được đưa vào diện giám sát tài chính đặc biệt nhằm nâng cao hiệu quả hoạt động sản xuất kinh doanh, bảo toàn và phát triển vốn nhà nước tại doanh nghiệp; phòng chống lãng phí, tham nhũng; xây dựng và thực hiện phương án khắc phục, phương án cơ cấu lại nhằm phục hồi hoạt động sản xuất kinh doanh, tình hình tài chính của doanh nghiệp.

2. Việc kiểm soát đặc biệt đối với các tổ chức tín dụng thực hiện theo quy định pháp luật của các tổ chức tín dụng.

Điều 20. Dấu hiệu mất an toàn tài chính của doanh nghiệp

1. Dấu hiệu mất an toàn tài chính của doanh nghiệp bao gồm:

a) Đối với doanh nghiệp đang trong giai đoạn lỗ kế hoạch: Có số lỗ phát sinh năm báo cáo lớn hơn 30% so với mức lỗ kế hoạch được cấp có thẩm quyền phê duyệt.

b) Đối với doanh nghiệp sau giai đoạn lỗ kế hoạch thuộc một trong các trường hợp sau:

b1) Có số lỗ phát sinh trong năm báo cáo từ 30% vốn đầu tư của chủ sở hữu trở lên hoặc số lỗ lũy kế lớn hơn 50% vốn đầu tư của chủ sở hữu;

b2) Có hệ số nợ phải trả trên vốn chủ sở hữu vượt quá mức an toàn theo quy định của cơ quan đại diện chủ sở hữu (nếu có).

2. Dấu hiệu khác cơ quan đại diện chủ sở hữu cần kết hợp xem xét khi xác định dấu hiệu mất an toàn tài chính của doanh nghiệp bao gồm:

a) Đối với doanh nghiệp đang trong giai đoạn lỗ kế hoạch: Có số lỗ thực tế lớn hơn số lỗ kế hoạch trong 2 năm liền.

b) Đối với doanh nghiệp sau giai đoạn lỗ kế hoạch thuộc một trong các trường hợp sau:

b1) Lỗ hai năm liên tiếp trở lên;

b2) Doanh thu thuần hoặc lợi nhuận gộp giảm liên tiếp 2 năm trở lên;

b3) Lưu chuyển tiền từ hoạt động kinh doanh âm liên tiếp 2 năm trở lên;

b4) Không tiến hành kiểm toán báo cáo tài chính, hoặc có ý kiến kiểm toán trái ngược, từ chối đưa ra ý kiến trong Báo cáo kiểm toán, hoặc ý kiến kiểm toán ngoại trừ trong Báo cáo kiểm toán trong 2 năm liền về cùng một vấn đề có ảnh hưởng trọng yếu tới hoạt động sản xuất kinh doanh của doanh nghiệp; có ý kiến về vấn đề cần nhấn mạnh hoặc các dấu hiệu, sự kiện, xét riêng lẻ hay kết hợp lại, có thể dẫn đến nghi ngờ đáng kể về khả năng hoạt động liên tục của doanh nghiệp trong 2 năm liền trong Báo cáo kiểm toán.

3. Các dấu hiệu quy định tại khoản 1, khoản 2 Điều này là dấu hiệu cảnh báo khả năng đặt một doanh nghiệp vào tình trạng giám sát tài chính đặc biệt. Khi doanh nghiệp có một trong các dấu hiệu này, cơ quan đại diện chủ sở hữu chủ trì, đánh giá tình hình hoạt động sản xuất kinh doanh và đầu tư của doanh nghiệp, xem xét dấu hiệu mất an toàn tài chính để quyết định đưa doanh nghiệp vào diện giám sát tài chính đặc biệt hay tiếp tục thực hiện giám sát, kiểm tra theo quy định tại Điều 14 đến Điều 18 Nghị định này.

Điều 21. Quyết định giám sát tài chính đặc biệt

Khi doanh nghiệp được đặt vào tình trạng phải giám sát tài chính đặc biệt, cơ quan đại diện chủ sở hữu ra quyết định giám sát tài chính đặc biệt đối với doanh nghiệp. Quyết định giám sát tài chính đặc biệt bao gồm: Tên doanh nghiệp thuộc diện giám sát tài chính đặc biệt; lý do giám sát tài chính đặc biệt; nội dung giám sát tài chính đặc biệt.

Điều 22. Trách nhiệm của cơ quan đại diện chủ sở hữu đối với doanh nghiệp được đưa vào diện giám sát tài chính đặc biệt

1. Đối với doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ

a) Chỉ đạo người đại diện chủ sở hữu trực tiếp vốn nhà nước tại doanh nghiệp phân tích, đánh giá nguyên nhân chính dẫn tới việc mất an toàn tài chính của doanh nghiệp.

b) Chỉ đạo người đại diện chủ sở hữu trực tiếp tại doanh nghiệp xây dựng phương án khắc phục khó khăn tài chính của doanh nghiệp. Trường hợp doanh nghiệp cần cơ cấu lại tổ chức, hoạt động kinh doanh, tài chính, cơ quan đại diện chủ sở hữu xem xét, phê duyệt phương án cơ cấu lại doanh nghiệp.

Phương án khắc phục, phương án cơ cấu lại phải quy định rõ đơn vị, cá nhân chịu trách nhiệm triển khai thực hiện; kết quả cụ thể khi hoàn thành phương án; thời gian thực hiện; điều kiện để triển khai phương án và nhu cầu hỗ trợ trong phạm vi quy định của pháp luật (nếu có).

c) Quy định tần suất báo cáo, chỉ tiêu giám sát và cơ chế phản hồi thông tin giữa cơ quan đại diện chủ sở hữu, doanh nghiệp và các bên có liên quan (nếu cần).

d) Giám sát doanh nghiệp thực hiện phương án đã được phê duyệt.

đ) Phối hợp với cơ quan liên quan phân tích, đánh giá kết quả hoạt động kinh doanh, công tác quản lý tài chính, điều hành sản xuất kinh doanh của doanh nghiệp để đưa ra ý kiến chỉ đạo doanh nghiệp.

e) Trường hợp cần thiết, cơ quan đại diện chủ sở hữu tổ chức giám sát hoặc phối hợp với Bộ Tài chính, cơ quan liên quan tổ chức giám sát doanh nghiệp nhằm đánh giá tính trung thực, chính xác về các chỉ tiêu trong báo cáo của doanh nghiệp; công tác quản lý điều hành hoạt động kinh doanh của Ban điều hành doanh nghiệp; công tác quản lý sản xuất, kinh doanh, quản lý tài chính và nguồn lực khác của doanh nghiệp.

Việc giám sát phải có báo cáo, kết luận về những nội dung giám sát và đưa ra những khuyến nghị đối với doanh nghiệp.

g) Báo cáo, kiến nghị Chính phủ hoặc Thủ tướng Chính phủ phương án xử lý trong trường hợp doanh nghiệp đã thực hiện giải pháp, kiến nghị của cơ quan đại diện chủ sở hữu mà kết quả hoạt động sản xuất kinh doanh và tình hình tài chính của doanh nghiệp không được cải thiện.

h) Khi doanh nghiệp đã phục hồi, không cần thiết tiếp tục thực hiện giám sát tài chính đặc biệt, cơ quan đại diện chủ sở hữu đánh giá, ban hành quyết định kết thúc giám sát tài chính đặc biệt.

i) Doanh nghiệp thuộc diện giám sát tài chính đặc biệt sau khi kết thúc thời hạn áp dụng phương án khắc phục, phương án cơ cấu lại mà chưa phục hồi được hoạt động sản xuất kinh doanh, tình hình tài chính theo phương án cơ cấu lại doanh nghiệp, phương án khắc phục thì báo cáo cơ quan có thẩm quyền để thực hiện chuyển đổi sở hữu hoặc sắp xếp lại doanh nghiệp theo quy định.

2. Đối với doanh nghiệp do Nhà nước nắm giữ trên 50% vốn điều lệ đến dưới 100% vốn điều lệ

Cơ quan đại diện chủ sở hữu chỉ đạo người đại diện phần vốn nhà nước biểu quyết, quyết định nội dung quy định tại khoản 1 Điều này để thực hiện giám sát tài chính đặc biệt.

Điều 23. Trách nhiệm của Hội đồng thành viên, Chủ tịch công ty, Tổng giám đốc hoặc Giám đốc doanh nghiệp thuộc diện giám sát tài chính đặc biệt

1. Lập phương án khắc phục, phương án cơ cấu lại tổ chức, hoạt động kinh doanh và tài chính trình cơ quan đại diện chủ sở hữu trong thời gian 30 ngày kể từ ngày có Quyết định giám sát tài chính đặc biệt.

2. Báo cáo cơ quan đại diện chủ sở hữu theo tần suất đã thống nhất với cơ quan đại diện chủ sở hữu về các chỉ tiêu giám sát được phê duyệt trong phương án khắc phục, phương án cơ cấu lại tổ chức, hoạt động kinh doanh và tài chính của doanh nghiệp.

Mục 4. GIÁM SÁT NỘI BỘ CỦA DOANH NGHIỆP

Điều 24. Mục tiêu, nguyên tắc giám sát nội bộ

1. Doanh nghiệp nhà nước phải thực hiện giám sát nội bộ về hoạt động đầu tư và quản lý vốn nhà nước tại doanh nghiệp.

Doanh nghiệp do Nhà nước nắm giữ không quá 50% vốn điều lệ căn cứ tình hình, điều kiện cụ thể của doanh nghiệp để xem xét, quyết định thực hiện giám sát nội bộ về hoạt động đầu tư và quản lý vốn nhà nước tại doanh nghiệp theo quy định tại Mục 4 Chương II Nghị định này.

2. Mục tiêu giám sát nội bộ

a) Kịp thời nắm bắt những tồn tại trong hoạt động quản lý vốn, tài sản tại doanh nghiệp.

b) Nâng cao hiệu quả hoạt động, tăng cường sự minh bạch trong quản lý, điều hành.

c) Thực hành tiết kiệm chống lãng phí, chống tham nhũng, nâng cao hiệu quả hoạt động sản xuất kinh doanh, bảo toàn và phát triển vốn nhà nước.

d) Đảm bảo việc quản lý, cơ cấu lại vốn đầu tư của doanh nghiệp tại công ty cổ phần, công ty trách nhiệm hữu hạn thực hiện theo đúng quy định pháp luật, Đề án đã được cơ quan có thẩm quyền phê duyệt.

3. Nguyên tắc giám sát nội bộ

a) Tuân theo quy định của pháp luật về quản lý và đầu tư vốn nhà nước tại doanh nghiệp và pháp luật có liên quan, quy trình, quy chế nội bộ của doanh nghiệp bảo đảm tính khách quan, kịp thời, công khai, minh bạch.

b) Doanh nghiệp chịu trách nhiệm xây dựng, ban hành quy chế, quy trình phục vụ giám sát nội bộ và đánh giá hiệu quả hoạt động sản xuất kinh doanh của doanh nghiệp, bao gồm: Quy chế tài chính, quy chế nội bộ, quy trình quản lý rủi ro, quy chế giám sát tài chính và đánh giá hiệu quả hoạt động đối với các công ty do doanh nghiệp nắm giữ 100% vốn điều lệ và công ty cổ phần, công ty trách nhiệm hữu hạn hai thành viên trở lên và quy chế kiểm tra, kiểm soát nội bộ khác của doanh nghiệp.

c) Chủ động thực hiện giám sát nội bộ; tăng cường phối hợp có hiệu quả giữa đơn vị, cá nhân được giao nhiệm vụ giám sát nội bộ và đơn vị, cá nhân liên quan trong công tác giám sát, kiểm tra.

d) Hội đồng thành viên, Chủ tịch công ty, Hội đồng quản trị, người đại diện phần vốn nhà nước thực hiện giám sát nội bộ doanh nghiệp, kịp thời xây dựng giải pháp, biện pháp ngăn chặn nguy cơ mất an toàn về quản lý vốn, tài sản doanh nghiệp theo kết quả giám sát nội bộ; thực hiện đầy đủ, kịp thời kiến nghị, cảnh báo của cơ quan giám sát, kiểm tra, thanh tra, kiểm toán.

Điều 25. Nội dung giám sát nội bộ

1. Hiệu quả hoạt động sản xuất, kinh doanh, bảo toàn và phát triển vốn nhà nước tại doanh nghiệp.

2. Việc thực hiện quyền, trách nhiệm của Hội đồng thành viên, Hội đồng quản trị, Chủ tịch công ty, Kiểm soát viên, người đại diện phần vốn nhà nước, người đại diện phần vốn của doanh nghiệp.

3. Việc đầu tư, chuyển nhượng vốn đầu tư, thu lợi nhuận, cổ tức được chia tại công ty cổ phần, công ty trách nhiệm hữu hạn.

4. Việc quản lý của doanh nghiệp đối với công ty do doanh nghiệp nắm giữ 100% vốn điều lệ và đối với phần vốn góp của doanh nghiệp tại công ty cổ phần, công ty trách nhiệm hữu hạn hai thành viên trở lên.

5. Nội dung khác theo yêu cầu của cơ quan đại diện chủ sở hữu.

Chương III

ĐÁNH GIÁ, XẾP LOẠI DOANH NGHIỆP

Mục 1. ĐÁNH GIÁ, XẾP LOẠI DOANH NGHIỆP DO NHÀ NƯỚC NẮM GIỮ 100% VỐN ĐIỀU LỆ

Điều 26. Mục tiêu, nguyên tắc đánh giá, xếp loại doanh nghiệp

1. Mục tiêu đánh giá, xếp loại doanh nghiệp

a) Mục tiêu đánh giá doanh nghiệp

Kết quả đánh giá doanh nghiệp làm cơ sở để xếp loại doanh nghiệp.

b) Mục tiêu xếp loại doanh nghiệp

Kết quả xếp loại doanh nghiệp làm cơ sở để trích lập Quỹ khen thưởng, phúc lợi của doanh nghiệp; đánh giá người đại diện chủ sở hữu trực tiếp, Kiểm soát viên; xem xét đầu tư vốn nhà nước để bổ sung vốn điều lệ cho doanh nghiệp.

2. Việc đánh giá, xếp loại tổ chức tín dụng do Nhà nước nắm giữ 100% vốn điều lệ thực hiện theo quy định pháp luật của các tổ chức tín dụng.

Điều 27. Giao chỉ tiêu để đánh giá doanh nghiệp

1. Việc giao chỉ tiêu căn cứ vào các nội dung: Chỉ tiêu phát triển kinh tế vĩ mô hằng năm, chiến lược và chỉ tiêu phát triển ngành, nghề, lĩnh vực sản xuất, kinh doanh, chiến lược phát triển của doanh nghiệp; xu hướng phát triển ngành, lĩnh vực; tình hình hoạt động sản xuất kinh doanh; các nhiệm vụ do cấp có thẩm quyền giao.

2. Trước ngày 31 tháng 3 của năm thực hiện, căn cứ khoản 1 Điều này, cơ quan đại diện chủ sở hữu rà soát và giao chỉ tiêu theo quy định tại Điều 28 Nghị định này và các chỉ tiêu khác (nếu cần) để đánh giá doanh nghiệp phù hợp với chỉ tiêu định hướng đã giao, lĩnh vực hoạt động, chuyên ngành, đặc thù sản xuất kinh doanh của từng doanh nghiệp.

3. Căn cứ hoạt động sản xuất kinh doanh và các nhiệm vụ do Nhà nước giao nhiệm vụ, đặt hàng theo quy định về Danh mục sản phẩm, dịch vụ công sử dụng ngân sách nhà nước từ nguồn kinh phí chi thường xuyên, cơ quan đại diện chủ sở hữu quyết định giao chỉ tiêu phù hợp với phân loại doanh nghiệp.

Đối với doanh nghiệp an ninh quốc phòng, Bộ Quốc phòng, Bộ Công an phân loại doanh nghiệp để giao chỉ tiêu đánh giá hằng năm đối với doanh nghiệp thuộc phạm vi quản lý.

Điều 28. Chỉ tiêu cơ bản đánh giá, xếp loại doanh nghiệp

1. Căn cứ vào lĩnh vực hoạt động, chuyên ngành, đặc thù sản xuất kinh doanh của từng doanh nghiệp, cơ quan đại diện chủ sở hữu giao các chỉ tiêu cơ bản để đánh giá doanh nghiệp, bao gồm:

a) Chỉ tiêu 1: Tổng doanh thu;

b) Chỉ tiêu 2: Lợi nhuận sau thuế;

c) Chỉ tiêu 3: Tỷ suất lợi nhuận sau thuế trên vốn chủ sở hữu (ROE);

d) Chỉ tiêu 4: Giá trị khối lượng thực hiện hoặc giá trị giải ngân đối với dự án đầu tư do doanh nghiệp là cơ quan chủ quản theo Luật Đầu tư công; khoản đầu tư, dự án đầu tư do cơ quan đại diện chủ sở hữu xem xét, phê duyệt theo quy định;

đ) Chỉ tiêu 5: Thực hiện nhiệm vụ được giao.

Việc thực hiện nhiệm vụ cung ứng sản phẩm, dịch vụ công do Nhà nước giao nhiệm vụ, đặt hàng; thực hiện nhiệm vụ chính trị, quốc phòng, an ninh do cơ quan có thẩm quyền giao.

2. Chỉ tiêu quy định tại khoản 1 Điều này được xác định và tính toán từ số liệu trong báo cáo tài chính năm đã được kiểm toán của công ty trách nhiệm hữu hạn một thành viên độc lập và công ty mẹ, báo cáo thống kê và tài liệu khác có liên quan theo quy định.

Đối với doanh nghiệp hoạt động trong lĩnh vực thuộc bí mật nhà nước theo quy định của pháp luật, chỉ tiêu quy định tại khoản 1 Điều này được xác định và tính toán từ số liệu trong báo cáo tài chính năm của công ty trách nhiệm hữu hạn một thành viên độc lập và công ty mẹ được Hội đồng thành viên, Chủ tịch công ty thông qua và được kiểm toán bởi Kiểm toán Nhà nước (nếu có), báo cáo thống kê và tài liệu khác có liên quan theo quy định.

Đối với chỉ tiêu 3: Trường hợp ROE không khả dụng, giao chỉ tiêu tỷ suất lợi nhuận sau thuế trên tổng tài sản (ROA).

Đối với chỉ tiêu 4: Giá trị khối lượng thực hiện hoặc giá trị giải ngân đối với dự án đầu tư do doanh nghiệp là cơ quan chủ quản theo Luật Đầu tư công; khoản đầu tư, dự án đầu tư do cơ quan đại diện chủ sở hữu xem xét, phê duyệt về mục đích, mức vốn đầu tư, nguồn vốn, thời gian thực hiện theo quy định tại điểm b khoản 3 Điều 20 Luật Quản lý và đầu tư vốn nhà nước tại doanh nghiệp; khoản đầu tư, dự án đầu tư đã được cơ quan đại diện chủ sở hữu phê duyệt theo đúng trình tự, thủ tục, thẩm quyền và quy định của Luật Quản lý, sử dụng vốn nhà nước đầu tư vào sản xuất, kinh doanh tại doanh nghiệp số 69/2014/QH13 và các văn bản quy định chi tiết, hướng dẫn thi hành.

Điều 29. Căn cứ đánh giá, xếp loại doanh nghiệp

1. Mức độ thực hiện nhiệm vụ, chỉ tiêu được giao hằng năm.

2. Báo cáo tài chính năm đã được kiểm toán của Công ty mẹ.

3. Kết quả giám sát, kiểm tra hoạt động quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

4. Hiệu quả hoạt động tổng thể của doanh nghiệp, có xem xét loại trừ các tác động theo quy định tại khoản 3 Điều 30 Nghị định này.

5. Các vấn đề phát sinh tác động đến kết quả thực hiện kế hoạch sản xuất kinh doanh, đầu tư phát triển của doanh nghiệp.

Điều 30. Phương thức đánh giá, xếp loại doanh nghiệp

1. Cơ quan đại diện chủ sở hữu giao chỉ tiêu đánh giá, xếp loại cho Công ty mẹ phù hợp với lĩnh vực hoạt động, chuyên ngành, đặc thù sản xuất, kinh doanh của từng doanh nghiệp, nhiệm vụ chiến lược hoặc nhiệm vụ được giao trong năm thực hiện.

Đối với doanh nghiệp hoạt động không vì mục tiêu lợi nhuận, cơ quan đại diện chủ sở hữu xem xét, quyết định không giao chỉ tiêu 2 và 3 để phù hợp với hoạt động đặc thù của doanh nghiệp; căn cứ các chỉ tiêu được giao để thực hiện đánh giá, xếp loại doanh nghiệp.

2. Việc đánh giá doanh nghiệp thực hiện trên cơ sở so sánh giữa nhiệm vụ, chỉ tiêu do cơ quan đại diện chủ sở hữu giao với kết quả thực hiện.

Đối với chỉ tiêu 1, 2 và 3: Doanh nghiệp có kết quả thực hiện bằng hoặc cao hơn chỉ tiêu được giao đánh giá là Đạt.

Đối với chỉ tiêu 4: Doanh nghiệp hoàn thành từ 90% trở lên giá trị khối lượng thực hiện hoặc giá trị giải ngân vốn đầu tư theo chỉ tiêu được giao đánh giá là Đạt.

Đối với chỉ tiêu 5: Doanh nghiệp hoàn thành chỉ tiêu được giao về sản lượng, chất lượng sản phẩm hoặc dịch vụ bảo đảm tiêu chuẩn quy định được đánh giá là Đạt. Việc thực hiện nhiệm vụ chính trị, quốc phòng, an ninh do cơ quan đại diện chủ sở hữu đánh giá là Đạt hoặc không Đạt.

3. Cơ quan đại diện chủ sở hữu đánh giá, xếp loại doanh nghiệp theo hiệu quả hoạt động tổng thể của doanh nghiệp, xem xét, quyết định loại trừ các yếu tố tác động:

a) Do thực hiện nhiệm vụ chính trị được cơ quan có thẩm quyền giao; nhiệm vụ quốc phòng, an ninh; nhiệm vụ không vì mục tiêu lợi nhuận; việc thử nghiệm sản phẩm, dịch vụ công nghệ mới, mô hình kinh doanh mới.

b) Do yếu tố, nguyên nhân khách quan như: Thiên tai, hỏa hoạn, dịch bệnh, chiến tranh và các nguyên nhân bất khả kháng khác được cơ quan đại diện chủ sở hữu đánh giá, chấp thuận.

4. Kết quả xếp loại doanh nghiệp được phân loại theo 03 mức: Doanh nghiệp xếp loại A, doanh nghiệp xếp loại B và doanh nghiệp xếp loại C theo mức độ hoàn thành các chỉ tiêu do cơ quan đại diện chủ sở hữu giao.

a) Đối với doanh nghiệp hoạt động kinh doanh, căn cứ kết quả thực hiện cho từng chỉ tiêu 1, 2, 3 và chỉ tiêu 4 quy định tại khoản 1 Điều 28 Nghị định này để xếp loại cho từng doanh nghiệp như sau:

Doanh nghiệp xếp loại A khi đồng thời chỉ tiêu 1, 2 và 3 được đánh giá Đạt.

Doanh nghiệp xếp loại C khi có từ 03 chỉ tiêu trở lên không Đạt; hoặc chỉ tiêu 1 và chỉ tiêu 2 được đánh giá không Đạt.

Doanh nghiệp xếp loại B là doanh nghiệp không được xếp loại A hoặc loại C.

b) Đối với doanh nghiệp có hoạt động thường xuyên và chủ yếu là thực hiện cung cấp sản phẩm, dịch vụ công sử dụng ngân sách nhà nước từ nguồn kinh phí chi thường xuyên, thực hiện nhiệm vụ quốc phòng, an ninh, căn cứ kết quả thực hiện cho từng chỉ tiêu 1, 2, 3 và chỉ tiêu 5 quy định tại khoản 1 Điều 28 Nghị định này để xếp loại cho từng doanh nghiệp như sau:

Doanh nghiệp xếp loại A khi đồng thời chỉ tiêu 1, 5 và 3 được đánh giá Đạt.

Doanh nghiệp xếp loại C khi có từ 03 chỉ tiêu trở lên không Đạt, hoặc chỉ tiêu 1 và chỉ tiêu 5 được đánh giá không Đạt.

Doanh nghiệp xếp loại B là doanh nghiệp không được xếp loại A hoặc loại C.

Điều 31. Tổ chức đánh giá, xếp loại doanh nghiệp

1. Doanh nghiệp

Doanh nghiệp căn cứ chỉ tiêu do cơ quan đại diện chủ sở hữu giao tự đánh giá và xếp loại doanh nghiệp, lập và gửi Báo cáo đánh giá, xếp loại doanh nghiệp cho cơ quan đại diện chủ sở hữu theo thời gian do cơ quan đại diện chủ sở hữu quy định.

2. Cơ quan đại diện chủ sở hữu

a) Quy định thời gian nộp Báo cáo đánh giá, xếp loại của các doanh nghiệp cho cơ quan đại diện chủ sở hữu, đảm bảo cơ quan đại diện chủ sở hữu có đủ thời gian đánh giá và quyết định xếp loại doanh nghiệp, công bố kết quả xếp loại doanh nghiệp trước ngày 15 tháng 8 hằng năm.

b) Lập Báo cáo đánh giá, xếp loại doanh nghiệp của các doanh nghiệp được giao quản lý gửi Bộ Tài chính trước ngày 31 tháng 8 hằng năm.

3. Bộ Tài chính

Căn cứ Báo cáo đánh giá, xếp loại doanh nghiệp của các cơ quan đại diện chủ sở hữu, tổng hợp Báo cáo đánh giá, xếp loại doanh nghiệp báo cáo Chính phủ trước ngày 30 tháng 9 hằng năm.

Mục 2. ĐÁNH GIÁ KẾT QUẢ HOẠT ĐỘNG CỦA DOANH NGHIỆP DO NHÀ NƯỚC NẮM GIỮ TRÊN 50% ĐẾN DƯỚI 100% VỐN ĐIỀU LỆ

Điều 32. Mục tiêu đánh giá

1. Mục tiêu: Kết quả đánh giá hoạt động của doanh nghiệp là cơ sở để cơ quan đại diện chủ sở hữu đánh giá người đại diện phần vốn nhà nước, trích lập Quỹ khen thưởng, phúc lợi của doanh nghiệp.

2. Việc đánh giá kết quả hoạt động của tổ chức tín dụng do Nhà nước nắm giữ trên 50% đến dưới 100% vốn điều lệ thực hiện theo quy định pháp luật của các tổ chức tín dụng.

Điều 33. Căn cứ đánh giá

1. Kết quả thực hiện kế hoạch kinh doanh hằng năm của doanh nghiệp đã được Đại hội đồng cổ đông, Hội đồng thành viên thông qua.

2. Việc thực hiện nhiệm vụ cung ứng sản phẩm, dịch vụ công do Nhà nước giao nhiệm vụ, đặt hàng; việc thực hiện nhiệm vụ chính trị do cơ quan có thẩm quyền giao, nhiệm vụ quốc phòng, an ninh.

3. Hiệu quả hoạt động tổng thể của doanh nghiệp, có loại trừ tác động do thực hiện nhiệm vụ chính trị do cơ quan có thẩm quyền giao; nhiệm vụ quốc phòng, an ninh; nhiệm vụ không vì mục tiêu lợi nhuận; việc thử nghiệm sản phẩm, dịch vụ công nghệ mới, mô hình kinh doanh mới và tác động của yếu tố khách quan.

4. Kết quả giám sát, kiểm tra hoạt động quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

Điều 34. Tổ chức đánh giá

1. Người đại diện phần vốn nhà nước

Định kỳ hằng năm, người đại diện phần vốn nhà nước do cơ quan đại diện chủ sở hữu cử, giới thiệu, thuê lập báo cáo đánh giá nội dung theo quy định của năm trước, báo cáo cơ quan đại diện chủ sở hữu trước ngày 15 tháng 8 hằng năm.

2. Cơ quan đại diện chủ sở hữu

Đánh giá kết quả hoạt động của doanh nghiệp trên cơ sở so sánh giữa kết quả thực hiện và kế hoạch đã được Đại hội đồng cổ đông, Hội đồng thành viên thông qua và quy định tại Điều 52 Luật Quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

Chương IV

ĐÁNH GIÁ NGUỜI ĐẠI DIỆN, KIỂM SOÁT VIÊN

Điều 35. Đánh giá người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước tại doanh nghiệp do Nhà nước nắm giữ trên 50% đến dưới 100% vốn điều lệ, Kiểm soát viên tại doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ

1. Trách nhiệm đánh giá

a) Hằng năm, cơ quan đại diện chủ sở hữu có trách nhiệm giao và xác định cụ thể chỉ tiêu, nhiệm vụ công tác đối với người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước, Kiểm soát viên.

b) Cơ quan đại diện chủ sở hữu có trách nhiệm đánh giá đối với người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước, Kiểm soát viên và chịu trách nhiệm trước pháp luật về quyết định của mình.

2. Thời điểm đánh giá

a) Việc đánh giá đối với người đại diện chủ sở hữu trực tiếp, Kiểm soát viên tại doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ được thực hiện hằng năm sau khi cơ quan đại diện chủ sở hữu công bố kết quả xếp loại doanh nghiệp theo quy định của pháp luật.

b) Việc đánh giá đối với người đại diện phần vốn nhà nước được thực hiện sau khi cơ quan đại diện chủ sở hữu hoàn thành việc đánh giá kết quả hoạt động của doanh nghiệp.

c) Đối với người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước, Kiểm soát viên là đảng viên thì đánh giá, xếp loại đảng viên trước; sau đó cơ quan đại diện chủ sở hữu thực hiện đánh giá theo quy định.

3. Mục tiêu đánh giá

Kết quả đánh giá người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước, Kiểm soát viên tại doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ là cơ sở để xem xét bổ nhiệm, cử, giới thiệu, thuê, bổ nhiệm, bổ nhiệm lại, chấp thuận từ chức, cho thôi, miễn nhiệm, chấm dứt hợp đồng và khen thưởng, kỷ luật theo quy định.

4. Người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước, Kiểm soát viên được đánh giá theo 4 mức độ: Hoàn thành xuất sắc nhiệm vụ, hoàn thành tốt nhiệm vụ, hoàn thành nhiệm vụ, không hoàn thành nhiệm vụ.

Điều 36. Căn cứ đánh giá

1. Đối với người đại diện chủ sở hữu trực tiếp:

a) Kết quả đánh giá, xếp loại doanh nghiệp: Xếp loại doanh nghiệp theo quy định tại Mục 1 Chương III Nghị định này;

b) Việc chấp hành chính sách, pháp luật của doanh nghiệp;

c) Việc chấp hành chính sách, pháp luật về quản lý và đầu tư vốn nhà nước tại doanh nghiệp của người đại diện chủ sở hữu trực tiếp;

d) Việc chấp hành, tuân thủ ý kiến, chỉ đạo thực hiện của cấp có thẩm quyền; chương trình, kế hoạch, chỉ tiêu, nhiệm vụ được giao, phê duyệt hằng năm; Điều lệ doanh nghiệp; việc chấp hành, thực hiện kiến nghị, khuyến nghị của cơ quan thanh tra, kiểm toán.

2. Đối với người đại diện phần vốn nhà nước tại doanh nghiệp do Nhà nước nắm giữ trên 50% đến dưới 100% vốn điều lệ:

a) Kết quả đánh giá hoạt động của doanh nghiệp: Kết quả đánh giá hoạt động của doanh nghiệp theo quy định tại Mục 2 Chương III Nghị định này.

b) Căn cứ đánh giá khác như quy định tại điểm c, d khoản 1 Điều này, Quy chế hoạt động của người đại diện phần vốn của doanh nghiệp.

3. Đối với Kiểm soát viên tại doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ:

a) Kết quả xếp loại của doanh nghiệp: Xếp loại doanh nghiệp theo quy định tại Mục 1 Chương III Nghị định này.

b) Việc thực hiện quyền, trách nhiệm của Kiểm soát viên theo quy định của pháp luật; quy chế hoạt động của Kiểm soát viên.

4. Các chỉ tiêu tổng doanh thu, lợi nhuận sau thuế, tỷ suất lợi nhuận sau thuế trên vốn chủ sở hữu (hoặc tỷ suất lợi nhuận sau thuế trên tổng tài sản) đã được loại trừ các yếu tố tác động theo quy định tại khoản 3 Điều 30 Nghị định này khi thực hiện đánh giá, xếp loại doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ và đánh giá kết quả hoạt động của doanh nghiệp do Nhà nước nắm giữ trên 50% đến dưới 100% vốn điều lệ được sử dụng để đánh giá người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước.

Đối với doanh nghiệp hoạt động không vì mục tiêu lợi nhuận, căn cứ tình hình thực hiện nhiệm vụ được giao, cơ quan đại diện chủ sở hữu xem xét, quyết định việc thực hiện đánh giá, xếp loại người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước phù hợp với hoạt động đặc thù của doanh nghiệp.

Điều 37. Trình tự, thủ tục đánh giá

1. Đối với người đại diện chủ sở hữu trực tiếp, Kiểm soát viên tại doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ

a) Người đại diện chủ sở hữu trực tiếp, Kiểm soát viên tự nhận xét, đánh giá và tự nhận mức độ đánh giá, lập báo cáo đánh giá gửi cơ quan đại diện chủ sở hữu;

b) Căn cứ vào nội dung đánh giá quy định tại Nghị định này và tình hình thực tiễn trong quá trình hoạt động của doanh nghiệp, cơ quan đại diện chủ sở hữu xem xét, quyết định mức đánh giá đối với người đại diện chủ sở hữu trực tiếp, Kiểm soát viên.

2. Đối với người đại diện phần vốn nhà nước tại doanh nghiệp do Nhà nước nắm giữ trên 50% đến dưới 100% vốn điều lệ

a) Người đại diện phần vốn nhà nước tự nhận xét, đánh giá và tự nhận mức độ đánh giá, lập báo cáo đánh giá gửi cơ quan đại diện chủ sở hữu;

b) Cơ quan đại diện chủ sở hữu lấy ý kiến nhận xét, đánh giá của Hội đồng quản trị, Ban kiểm soát (nếu cần);

c) Căn cứ vào nội dung đánh giá quy định tại Nghị định này và tình hình thực tiễn trong quá trình hoạt động của doanh nghiệp, cơ quan đại diện chủ sở hữu xem xét, quyết định mức đánh giá đối với người đại diện phần vốn nhà nước.

3. Kết quả đánh giá được lưu vào hồ sơ và thông báo đến từng người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước, Kiểm soát viên.

Điều 38. Kết quả đánh giá

1. Người đại diện chủ sở hữu trực tiếp được đánh giá

a) Hoàn thành xuất sắc:

Doanh nghiệp xếp loại A, trong đó chỉ tiêu 1 hoặc chỉ tiêu 2 đạt giá trị cao hơn chỉ tiêu được giao. Doanh nghiệp chấp hành chính sách, pháp luật.

Người đại diện chủ sở hữu trực tiếp: Chấp hành chính sách, pháp luật về quản lý và đầu tư vốn nhà nước tại doanh nghiệp, điều lệ doanh nghiệp, ý kiến chỉ đạo của cơ quan đại diện chủ sở hữu và cấp có thẩm quyền; chấp hành, thực hiện kiến nghị, khuyến nghị của cơ quan thanh tra, kiểm toán.

b) Hoàn thành tốt:

Doanh nghiệp xếp loại A; hoặc doanh nghiệp xếp loại B, đồng thời chỉ tiêu 1 hoặc chỉ tiêu 2 đạt giá trị cao hơn chỉ tiêu được giao. Doanh nghiệp chấp hành chính sách, pháp luật.

Người đại diện chủ sở hữu trực tiếp: Chấp hành chính sách, pháp luật về quản lý và đầu tư vốn nhà nước tại doanh nghiệp, điều lệ doanh nghiệp, ý kiến chỉ đạo của cơ quan đại diện chủ sở hữu và cấp có thẩm quyền; chấp hành, thực hiện kiến nghị, khuyến nghị của cơ quan thanh tra, kiểm toán.

c) Hoàn thành:

Doanh nghiệp xếp loại B; doanh nghiệp chấp hành chính sách, pháp luật.

Người đại diện chủ sở hữu trực tiếp: Chấp hành chính sách, pháp luật về quản lý và đầu tư vốn nhà nước tại doanh nghiệp, điều lệ doanh nghiệp, ý kiến chỉ đạo của cơ quan đại diện chủ sở hữu và cấp có thẩm quyền; chấp hành, thực hiện kiến nghị, khuyến nghị của cơ quan thanh tra, kiểm toán.

d) Không hoàn thành:

Doanh nghiệp xếp loại C; hoặc người đại diện chủ sở hữu trực tiếp: Không chấp hành chính sách, pháp luật về quản lý và đầu tư vốn nhà nước tại doanh nghiệp; vi phạm Điều lệ doanh nghiệp, quy chế nội bộ của doanh nghiệp; hoặc không chấp hành ý kiến chỉ đạo của cơ quan đại diện chủ sở hữu và cấp có thẩm quyền; không chấp hành, thực hiện kiến nghị, khuyến nghị của cơ quan thanh tra, kiểm toán.

2. Người đại diện phần vốn nhà nước tại doanh nghiệp do Nhà nước nắm giữ trên 50% đến dưới 100% vốn điều lệ được đánh giá:

a) Hoàn thành xuất sắc:

Chỉ tiêu tổng doanh thu, lợi nhuận sau thuế, tỷ suất lợi nhuận sau thuế trên vốn chủ sở hữu đạt chỉ tiêu được giao, trong đó một trong ba chỉ tiêu này đạt giá trị cao hơn chỉ tiêu được giao.

Người đại diện phần vốn nhà nước chấp hành chính sách, pháp luật về đầu tư và quản lý vốn nhà nước tại doanh nghiệp, Điều lệ doanh nghiệp, ý kiến chỉ đạo của cơ quan đại diện chủ sở hữu và cấp có thẩm quyền; chấp hành, thực hiện kiến nghị, khuyến nghị của cơ quan thanh tra, kiểm toán.

b) Hoàn thành tốt:

Chỉ tiêu tổng doanh thu và lợi nhuận sau thuế đạt chỉ tiêu được giao.

Người đại diện phần vốn nhà nước chấp hành chính sách, pháp luật về quản lý và đầu tư vốn nhà nước tại doanh nghiệp, Điều lệ doanh nghiệp, ý kiến chỉ đạo của cơ quan đại diện chủ sở hữu và cấp có thẩm quyền; chấp hành, thực hiện kiến nghị, khuyến nghị của cơ quan thanh tra, kiểm toán.

c) Hoàn thành:

Chỉ tiêu tổng doanh thu hoặc lợi nhuận sau thuế đạt chỉ tiêu được giao.

Người đại diện phần vốn nhà nước chấp hành chính sách, pháp luật về quản lý và đầu tư vốn nhà nước tại doanh nghiệp, Điều lệ doanh nghiệp, ý kiến chỉ đạo của cơ quan đại diện chủ sở hữu và cấp có thẩm quyền; chấp hành, thực hiện kiến nghị, khuyến nghị của cơ quan thanh tra, kiểm toán.

d) Không hoàn thành:

Chỉ tiêu thực hiện của doanh nghiệp không thuộc các trường hợp quy định tại điểm a, b và c khoản này; hoặc người đại diện phần vốn nhà nước không chấp hành chính sách, pháp luật về quản lý và đầu tư vốn nhà nước tại doanh nghiệp; vi phạm Điều lệ, quy chế nội bộ của doanh nghiệp; hoặc không chấp hành ý kiến chỉ đạo của cơ quan đại diện chủ sở hữu và cấp có thẩm quyền; không chấp hành, thực hiện kiến nghị, khuyến nghị của cơ quan thanh tra, kiểm toán.

3. Kiểm soát viên tại doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ được đánh giá:

a) Hoàn thành xuất sắc: Doanh nghiệp xếp loại A; Kiểm soát viên thực hiện quyền, trách nhiệm của Kiểm soát viên theo quy định.

b) Hoàn thành tốt: Doanh nghiệp xếp loại B; Kiểm soát viên thực hiện quyền, trách nhiệm của Kiểm soát viên theo quy định.

c) Hoàn thành: Doanh nghiệp xếp loại C; Kiểm soát viên thực hiện quyền, trách nhiệm của Kiểm soát viên theo quy định.

d) Không hoàn thành: Kiểm soát viên được đánh giá không thực hiện quyền, trách nhiệm của Kiểm soát viên theo quy định.

4. Đối với người đại diện phần vốn nhà nước tại doanh nghiệp do Nhà nước nắm giữ từ 50% vốn điều lệ trở xuống

Trên cơ sở việc chấp hành chính sách, pháp luật về đầu tư và quản lý vốn nhà nước tại doanh nghiệp, điều lệ doanh nghiệp, ý kiến chỉ đạo của cơ quan đại diện chủ sở hữu và cấp có thẩm quyền; cơ quan đại diện chủ sở hữu căn cứ, vận dụng quy định tại khoản 2 Điều này để đánh giá đối với người đại diện phần vốn nhà nước.

Chương V

BÁO CÁO VÀ CÔNG KHAI THÔNG TIN

Mục 1. BÁO CÁO TÌNH HÌNH HOẠT ĐỘNG CỦA DOANH NGHIỆP

Điều 39. Báo cáo tình hình hoạt động của doanh nghiệp

1. Doanh nghiệp nhà nước lập Báo cáo tình hình quản lý và đầu tư vốn nhà nước tại doanh nghiệp gửi cơ quan đại diện chủ sở hữu trước ngày 30 tháng 4 năm sau liền kề kèm theo báo cáo tài chính năm đã được kiểm toán bởi tổ chức kiểm toán độc lập hoặc Kiểm toán nhà nước đối với doanh nghiệp hoạt động trong lĩnh vực thuộc bí mật nhà nước theo quy định của pháp luật (nếu có) và được Hội đồng thành viên, Chủ tịch công ty, Đại hội đồng cổ đông thông qua; bao gồm báo cáo tài chính riêng của công ty mẹ và báo cáo tài chính hợp nhất của tập đoàn kinh tế, tổng công ty nhà nước, công ty mẹ trong nhóm công ty mẹ - công ty con.

2. Người đại diện phần vốn nhà nước tại công ty cổ phần, công ty trách nhiệm hữu hạn hai thành viên trở lên do Nhà nước nắm giữ từ 50% vốn điều lệ trở xuống lập Báo cáo tình hình quản lý và đầu tư vốn nhà nước tại doanh nghiệp gửi cơ quan đại diện chủ sở hữu trước ngày 30 tháng 4 năm sau liền kề kèm theo báo cáo tài chính năm; bao gồm báo cáo tài chính riêng của công ty mẹ và báo cáo tài chính hợp nhất của tập đoàn kinh tế, tổng công ty nhà nước, công ty mẹ trong nhóm công ty mẹ - công ty con.

3. Cơ quan đại diện chủ sở hữu tổng hợp, lập Báo cáo tình hình quản lý và đầu tư vốn nhà nước tại doanh nghiệp thuộc phạm vi quản lý, gửi Bộ Tài chính trước ngày 30 tháng 6 hằng năm.

4. Bộ Tài chính rà soát, tổng hợp Báo cáo tình hình quản lý và đầu tư vốn nhà nước tại doanh nghiệp trong phạm vi toàn quốc trình Chính phủ xem xét, phê duyệt trước ngày 31 tháng 8 hằng năm để báo cáo Quốc hội tại kỳ họp cuối năm. Báo cáo tình hình quản lý và đầu tư vốn nhà nước tại doanh nghiệp trong phạm vi toàn quốc của Bộ Tài chính bao gồm các nội dung chủ yếu như sau:

a) Tình hình hoạt động sản xuất kinh doanh của doanh nghiệp, tổ chức tín dụng có vốn nhà nước;

b) Tình hình đầu tư vốn nhà nước vào doanh nghiệp;

c) Tình hình đầu tư ra nước ngoài của doanh nghiệp nhà nước;

d) Đánh giá tình hình hoạt động; kiến nghị, giải pháp nâng cao hiệu quả hoạt động của doanh nghiệp có vốn góp của nhà nước.

5. Cơ quan đại diện chủ sở hữu, doanh nghiệp nhà nước và người đại diện phần vốn nhà nước tại công ty cổ phần, công ty trách nhiệm hữu hạn hai thành viên trở lên do Nhà nước nắm giữ từ 50% vốn điều lệ trở xuống gửi báo cáo theo quy định tại khoản 1, khoản 2 Điều này bằng bản giấy, đồng thời gửi bản điện tử thông qua Hệ thống thông tin về quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

6. Người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước tại doanh nghiệp, cơ quan đại diện chủ sở hữu chịu trách nhiệm về tính chính xác, trung thực và thời hạn báo cáo. Kiểm soát viên tại doanh nghiệp do Nhà nước nắm giữ 100% vốn điều lệ chịu trách nhiệm giám sát tình hình báo cáo, có ý kiến đánh giá trung thực, cẩn trọng đối với các báo cáo quy định tại khoản 1 Điều 54 Luật Quản lý và đầu tư vốn nhà nước tại doanh nghiệp trước khi gửi cơ quan đại diện chủ sở hữu.

7. Doanh nghiệp nhà nước lập báo cáo theo quy định tại các điểm a, đ khoản 1 Điều 54 Luật Quản lý và đầu tư vốn nhà nước tại doanh nghiệp hằng năm, gửi cơ quan đại diện chủ sở hữu trước ngày 30 tháng 4 năm sau liền kề.

8. Doanh nghiệp nhà nước có trách nhiệm:

a) Lập báo cáo theo quy định tại điểm b, c, e, g khoản 1 Điều 54 Luật Quản lý và đầu tư vốn nhà nước tại doanh nghiệp hằng quý, gửi cơ quan đại diện chủ sở hữu trước ngày 20 của tháng đầu quý sau để phục vụ tổ chức giám sát và báo cáo Thủ tướng Chính phủ để biết đối với các doanh nghiệp theo quy định tại Phụ lục I kèm theo Nghị định quy định một số nội dung về quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

b) Báo cáo về các vấn đề phát sinh tác động đến kết quả kinh doanh của doanh nghiệp gồm:

b1) Nội dung quy định tại khoản 5 Điều 19, khoản 3 Điều 26, khoản 6 Điều 36, khoản 3 và 4 Điều 39 Luật Quản lý và đầu tư vốn nhà nước tại doanh nghiệp (nếu có);

b2) Các vấn đề phát sinh khác tác động đến kết quả kinh doanh của doanh nghiệp.

9. Cơ quan đại diện chủ sở hữu, doanh nghiệp và người đại diện phần vốn nhà nước lập và gửi báo cáo phục vụ công tác quản trị khác trên Hệ thống thông tin về quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

Điều 40. Hệ thống thông tin về quản lý và đầu tư vốn nhà nước tại doanh nghiệp

1. Hệ thống thông tin về quản lý và đầu tư vốn nhà nước vào doanh nghiệp là tập hợp phần cứng, phần mềm và cơ sở dữ liệu về quản lý và đầu tư vốn nhà nước vào doanh nghiệp được thiết lập phục vụ mục đích tạo lập, cung cấp, truyền đưa, thu thập, xử lý, lưu trữ và trao đổi, chia sẻ thông tin trên mạng.

2. Đối tượng sử dụng:

a) Doanh nghiệp nhà nước;

b) Cơ quan đại diện chủ sở hữu;

c) Người đại diện chủ sở hữu trực tiếp và người đại diện phần vốn nhà nước;

d) Bộ Tài chính;

đ) Đối tượng khác: Văn phòng Chính phủ, cơ quan quản lý nhà nước và tổ chức, cá nhân khác được khai thác, sử dụng thông tin trên Hệ thống theo phân quyền.

3. Phạm vi dữ liệu:

a) Hệ thống tài khoản và thông tin người dùng;

b) Thông tin của doanh nghiệp có vốn nhà nước;

c) Các báo cáo do doanh nghiệp, người đại diện vốn nhà nước tại doanh nghiệp, cơ quan đại diện chủ sở hữu, Bộ Tài chính tạo lập, cập nhật theo quy định tại Luật Quản lý và đầu tư vốn nhà nước tại doanh nghiệp và các văn bản quy định chi tiết, hướng dẫn thi hành;

d) Các báo cáo do cơ quan đại diện chủ sở hữu, Bộ Tài chính công bố.

4. Việc kết nối, chia sẻ thông tin giữa Hệ thống thông tin về quản lý và đầu tư vốn nhà nước vào doanh nghiệp với các cơ sở dữ liệu quốc gia khác và các cơ sở dữ liệu chuyên ngành được thực hiện theo quy định tại Nghị định số 278/2025/NĐ-CP ngày 22 tháng 10 năm 2025 của Chính phủ quy định về kết nối, chia sẻ dữ liệu bắt buộc giữa các cơ quan thuộc hệ thống chính trị.

5. Trách nhiệm của Bộ Tài chính

a) Chủ trì xây dựng, quản lý, vận hành Hệ thống thông tin về quản lý và đầu tư vốn nhà nước tại doanh nghiệp theo quy định tại Luật Quản lý và đầu tư vốn nhà nước tại doanh nghiệp, Nghị định này và các quy định pháp luật có liên quan.

b) Ban hành Quy chế quản lý, sử dụng Hệ thống thông tin quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

Mục 2. CÔNG KHAI THÔNG TIN VỀ HOẠT ĐỘNG CỦA DOANH NGHIỆP

Điều 41. Đối tượng, mục tiêu, nguyên tắc thực hiện công khai thông tin

1. Đối tượng

a) Doanh nghiệp nhà nước công bố thông tin định kỳ và bất thường theo quy định của pháp luật về doanh nghiệp.

b) Doanh nghiệp nhà nước do Bộ Quốc phòng, Bộ Công an là cơ quan đại diện chủ sở hữu thực hiện công khai thông tin theo hướng dẫn của Bộ trưởng Bộ Công an và Bộ trưởng Bộ Quốc phòng.

c) Bộ Tài chính, cơ quan đại diện chủ sở hữu thực hiện công khai thông tin theo quy định tại Nghị định này.

2. Mục tiêu

a) Bảo đảm minh bạch, khách quan và trung thực về hoạt động của doanh nghiệp; phát hiện kịp thời các hành vi vi phạm.

b) Thực hiện quyền hạn và trách nhiệm của đại diện chủ sở hữu nhà nước, người lao động trong việc giám sát, kiểm tra và thực hiện quy chế dân chủ ở doanh nghiệp nhà nước; thực hành tiết kiệm chống lãng phí, chống tham nhũng, nâng cao hiệu quả hoạt động sản xuất kinh doanh, bảo toàn và phát triển vốn nhà nước.

3. Nguyên tắc

a) Việc công khai thông tin phải đầy đủ, chính xác và kịp thời theo quy định của pháp luật nhằm bảo đảm yêu cầu công khai, minh bạch về hoạt động của doanh nghiệp; bảo đảm tính hiệu quả, hiệu lực trong hoạt động quản lý và giám sát của cơ quan nhà nước và xã hội.

b) Tên văn bản điện tử phải được đặt tương ứng với tên loại báo cáo công khai. Ngôn ngữ thực hiện công bố thông tin là tiếng Việt.

c) Báo cáo công khai thông tin qua mạng điện tử có giá trị pháp lý như bản giấy, là cơ sở đối chiếu, so sánh, xác thực thông tin phục vụ cho công tác thu thập, tổng hợp thông tin; giám sát, kiểm tra theo quy định của pháp luật.

d) Báo cáo công bố thông tin phải được duy trì trên cổng hoặc trang thông tin điện tử của cơ quan đại diện chủ sở hữu và Bộ Tài chính tối thiểu 05 năm; bảo quản, lưu trữ thông tin đã báo cáo, công bố theo quy định của pháp luật.

đ) Nội dung thông tin công khai không được có nội dung bí mật nhà nước theo quy định của pháp luật về bí mật nhà nước; Điều ước quốc tế có quy định về việc không đăng tải.

e) Cơ sở để thực hiện công khai thông tin là các báo cáo, kế hoạch và quyết định hằng năm của cơ quan đại diện chủ sở hữu, Bộ Tài chính theo quy định tại Nghị định này và các Nghị định hướng dẫn Luật Quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

Điều 42. Công khai thông tin của cơ quan đại diện chủ sở hữu

1. Cơ quan đại diện chủ sở hữu công khai thường xuyên trên cổng thông tin điện tử của cơ quan danh sách doanh nghiệp được giao quản lý và phần vốn góp của Nhà nước tại doanh nghiệp.

2. Cơ quan đại diện chủ sở hữu công khai Kế hoạch giám sát, kiểm tra doanh nghiệp được giao quản lý trước ngày 31 tháng 01 hằng năm.

3. Cơ quan đại diện chủ sở hữu công khai Quyết định giao chỉ tiêu đánh giá, xếp loại hằng năm của từng doanh nghiệp được giao quản lý trước ngày 31 tháng 3 hằng năm.

4. Cơ quan đại diện chủ sở hữu công khai Báo cáo tình hình quản lý và đầu tư vốn nhà nước tại doanh nghiệp trước ngày 30 tháng 6 hằng năm.

5. Cơ quan đại diện chủ sở hữu công khai Báo cáo kết quả giám sát, kiểm tra hoạt động quản lý và đầu tư vốn nhà nước tại doanh nghiệp trước ngày 31 tháng 7 hằng năm.

6. Cơ quan đại diện chủ sở hữu công khai Báo cáo đánh giá, xếp loại doanh nghiệp của doanh nghiệp được giao quản lý trước ngày 31 tháng 8 hằng năm.

7. Cơ quan đại diện chủ sở hữu công khai các báo cáo, kế hoạch và quyết định khác theo quy định tại các Nghị định hướng dẫn Luật Quản lý và đầu tư vốn nhà nước tại doanh nghiệp.

8. Thông tin công khai bằng văn bản và dữ liệu điện tử thông qua Cổng hoặc trang thông tin điện tử của cơ quan đại diện chủ sở hữu.

Điều 43. Công khai thông tin của Bộ Tài chính

1. Nội dung công khai thông tin của Bộ Tài chính

a) Thực hiện công khai Kế hoạch giám sát trực tiếp, kiểm tra đối với cơ quan đại diện chủ sở hữu về hoạt động đầu tư vốn nhà nước vào doanh nghiệp, quản lý và đầu tư vốn nhà nước tại doanh nghiệp trước ngày 31 tháng 01 của năm thực hiện (nếu có).

b) Thực hiện công khai Báo cáo của Chính phủ về tình hình quản lý và đầu tư vốn nhà nước tại doanh nghiệp trong phạm vi toàn quốc chậm nhất 10 ngày sau khi Chính phủ báo cáo Quốc hội.

c) Thực hiện công khai Báo cáo đánh giá, xếp loại doanh nghiệp trước ngày 30 tháng 9 hằng năm.

d) Căn cứ chỉ đạo của Thủ tướng Chính phủ, tiến hành công khai Báo cáo kết quả giám sát, kiểm tra hoạt động đầu tư vốn nhà nước vào doanh nghiệp, quản lý và đầu tư vốn nhà nước tại doanh nghiệp của Bộ Tài chính.

2. Hình thức, phương thức công khai thông tin của Bộ Tài chính

a) Thông tin công khai bằng văn bản và dữ liệu điện tử thông qua Cổng hoặc trang thông tin điện tử của Bộ Tài chính.

b) Bộ Tài chính mở chuyên mục “Công khai thông tin về hoạt động của doanh nghiệp” trên cổng thông tin điện tử của Bộ Tài chính để tiếp nhận và thực hiện công khai thông tin về hoạt động doanh nghiệp.

c) Trường hợp việc công khai thông tin không thể thực hiện đúng thời hạn vì những lý do bất khả kháng, Bộ Tài chính báo cáo Thủ tướng Chính phủ về lý do tạm hoãn công khai và thời gian dự kiến thực hiện công khai thông tin trở lại. Bộ Tài chính phải thực hiện công khai thông tin ngay sau khi sự kiện bất khả kháng đã được khắc phục hoặc ngay sau khi hết thời hạn được tạm hoãn công khai thông tin.

Chương VI

ĐIỀU KHOẢN THI HÀNH

Điều 44. Điều khoản chuyển tiếp

Việc đánh giá, xếp loại doanh nghiệp; đánh giá người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước, Kiểm soát viên của năm  tài chính từ năm 2025 trở về trước được thực hiện theo quy định của Luật số 69/2014/QH13; Nghị định số 87/2015/NĐ-CP ngày 06 tháng 10 năm 2015 của Chính phủ về giám sát đầu tư vốn nhà nước vào doanh nghiệp; giám sát tài chính, đánh giá hiệu quả hoạt động và công khai thông tin tài chính của doanh nghiệp nhà nước và doanh nghiệp có vốn nhà nước; các văn bản quy định chi tiết, hướng dẫn thi hành Luật số 69/2014/QH13 khác có liên quan.

Điều 45. Hiệu lực thi hành

1. Nghị định này có hiệu lực thi hành kể từ ngày ký ban hành.

2. Nghị định số 87/2015/NĐ-CP ngày 06 tháng 10 năm 2015 của Chính phủ về giám sát đầu tư vốn nhà nước vào doanh nghiệp; giám sát tài chính, đánh giá hiệu quả hoạt động và công khai thông tin tài chính của doanh nghiệp nhà nước và doanh nghiệp có vốn nhà nước hết hiệu lực kể từ ngày Nghị định này có hiệu lực thi hành, trừ các trường hợp quy định tại Điều 44 Nghị định này.

3. Nghị định này bãi bỏ Điều 12 Nghị định số 10/2019/NĐ-CP ngày 30 tháng 01 năm 2019 của Chính phủ về thực hiện quyền, trách nhiệm của đại diện chủ sở hữu nhà nước.

Điều 46. Tổ chức thực hiện

1. Bộ Tài chính chủ trì cùng các bộ, ngành hướng dẫn, tổ chức thực hiện và kiểm tra việc thực hiện Nghị định này; quy định mẫu biểu để thực hiện nội dung giám sát, kiểm tra.

2. Bộ Nội vụ chủ trì hướng dẫn, phối hợp cơ quan liên quan thực hiện giám sát, kiểm tra, đánh giá tình hình thực hiện chính sách tiền lương, thù lao, tiền thưởng đối với người lao động, người quản lý trong doanh nghiệp.

3. Tổ chức chính trị, Mặt trận Tổ quốc Việt Nam và các tổ chức thành viên được áp dụng các quy định tại Luật Quản lý và đầu tư vốn nhà nước tại doanh nghiệp và quy định tại Nghị định này khi ban hành quy định hướng dẫn cụ thể để tổ chức thực hiện việc giám sát, kiểm tra, đánh giá, xếp loại, báo cáo và công khai thông tin trong quản lý và đầu tư vốn của tổ chức tại doanh nghiệp phù hợp với tình hình, điều kiện thực tiễn.

4. Bộ trưởng, Thủ trưởng cơ quan ngang bộ, Thủ trưởng cơ quan thuộc Chính phủ, Chủ tịch Ủy ban nhân dân cấp tỉnh và doanh nghiệp, người đại diện chủ sở hữu trực tiếp, người đại diện phần vốn nhà nước chịu trách nhiệm thi hành Nghị định này.

5. Bộ Tài chính, cơ quan đại diện chủ sở hữu thực hiện giám sát, kiểm tra đầy đủ, kịp thời và chịu trách nhiệm trước Chính phủ, Thủ tướng Chính phủ theo chức năng, nhiệm vụ được giao./.

At the request of the Minister of Finance;

The Government promulgates the Decree on supervision, inspection, evaluation, classification, reporting and information disclosure in the management and investment of state capital in enterprises.

Chapter I

GENERAL PROVISIONS

Article 1. Scope

This Decree provides for elaboration of supervision, inspection and evaluation of the performance of investment and management of state capital in enterprises; evaluation and classification; reporting and information disclosure, including Clause 3 Article 8, Clause 3 Article 35, Clause 4 Article 50, Clause 3 Article 51, Clause 6 Article 53, Clause 6 Article 54, Clause 4 Article 55 of the Law on Management and Investment of State Capital in Enterprises.

4. Controllers at enterprises wholly owned by the State.

5. Other agencies, organizations and individuals related to the management and investment of state capital in enterprises.

Article 3. Application of relevant laws

Enterprises operating in the fields of finance, banking, lottery and securities shall conduct supervision, inspection and evaluation of the performance of investment and management of state capital in enterprises; evaluation and classification; reporting and information disclosure in accordance with this Decree and the laws on finance, banking, lottery and securities. In case the laws on finance, banking, lottery and securities provide differently from this Decree, the provisions of the laws on finance, banking, lottery and securities shall apply.

Article 4. Interpretation of terms

For the purposes of this Decree, the following terms shall be construed as follows:

1. Supervision means activities of monitoring, consolidation, analysis, evaluation, warning and recommendation conducted by the supervising authority regarding the performance of functions, duties and powers of the supervised entity in the management and investment of state capital in enterprises, including preservation and development of state capital in enterprises and enterprises’ capital in accordance with the law on management and investment of state capital in enterprises and relevant laws.

2. Inspection means activities of examination, analysis, evaluation, conclusion and recommendation for handling violations conducted by the inspecting authority regarding the performance of functions, duties and powers of the inspected entity in the management and investment of state capital in enterprises, including preservation and development of state capital in enterprises and enterprises’ capital in accordance with the law on management and investment of state capital in enterprises and relevant laws.

3. Supervising and inspecting authority means an agency or organization competent and responsible for conducting supervision and inspection of supervised and inspected entities.

5. Internal supervision means proactive monitoring, analysis and evaluation of the implementation of internal regulations and the performance of functions, duties and powers of enterprises in the management and investment of state capital in enterprises, including preservation and development of state capital in enterprises and enterprises’ capital in accordance with the law on management and investment of state capital in enterprises and relevant laws.

6. Special financial supervision means supervision conducted by the owner’s representative authority over state-owned enterprises showing signs of financial unsafety that require monitoring and rectification by competent authorities.

7. Supervision and inspection plan means a document specifying the subject matters, entities, period, methods, objectives, time limit and location of supervision and inspection (if any) approved by the supervision and inspection decision-maker.

8. Scope of supervision and inspection means specific limits regarding subject matters, entities, space and period of supervision and inspection determined in the supervision and inspection decision.

9. Supervision and inspection period means the time frame for examination and evaluation of the performance of functions, duties and powers of the supervised and inspected entity determined in the supervision and inspection decision.

10. Supervision and inspection time limit means the period calculated from the date of announcement of the supervision and inspection decision to the date of completion of supervision and inspection.

11. Inspection conclusion means a document signed and issued by the inspection decision-maker to evaluate, conclude and make recommendations on the inspected subject matters.

12. Report on supervision and inspection results of the management and investment of state capital in assigned enterprises means a report consolidating supervision and inspection results of the owner’s representative authority regarding enterprises assigned for management.

13. Report on the situation of management and investment of state capital in enterprises means a report evaluating and consolidating matters relating to the situation of management and investment of state capital in enterprises prepared by enterprises and representatives and submitted to the owner’s representative authority.

Chapter II

SUPERVISION AND INSPECTION

Section 1. GENERAL PROVISIONS

Article 5. Grounds and documentation for supervision and inspection

1. Current laws on management and investment of state capital in enterprises and other relevant laws; requirements and directions of the Government and the Prime Minister.

2. Charter on organization and operation, financial regulations of enterprises; internal regulations of enterprises; operational regulations of Controllers; operational regulations of state capital representatives; operational regulations of enterprise capital representatives; regulations on management and use of enterprise funds; regulations on salaries, remuneration and bonuses of enterprises.

3. Development strategy, annual business plans of enterprises, supervision objectives in each period developed by the owner’s representative authority for each enterprise; reports of enterprises as prescribed in Clause 1 Article 54 of the Law on Management and Investment of State Capital in Enterprises.

4. Annual financial statements of enterprises audited by independent auditing firms and approved by the Members’ Council, the Company President, or the General Meeting of Shareholders; annual financial statements of enterprises operating in sectors classified as state secrets in accordance with law approved by the Members’ Council or the Company President and audited by the State Audit Office (if any); 6-month financial statements, quarterly financial statements, periodic professional reports; extraordinary reports at the request of the owner’s representative authority or regulatory agencies.

5. Results of inspection; supervision and inspection; audit at enterprises announced by competent authorities in accordance with regulations or sent in writing to the owner’s representative authority.

7. Applications, documents and materials related to the exercise of rights and responsibilities of the owner’s representative authority in the investment of state capital in enterprises, management of state capital in enterprises, and restructuring of state capital in enterprises.

8. Reports of state capital representatives and enterprise capital representatives in accordance with Article 39 and Article 40 of the Law on Management and Investment of State Capital in Enterprises.

9. Reports on matters beyond competence and other matters that state capital representatives, the Members’ Council or the Company President are required to report to the owner’s representative authority for supervision in accordance with the Law on Management and Investment of State Capital in Enterprises and documents on elaboration of and guidelines for implementation.

10. Other relevant information, applications, documents and reports.

Article 6. Methods of supervision and inspection

1. Indirect supervision of the owner’s representative authority; state-owned enterprises, direct owner’s representatives and state capital representatives in enterprises with state capital shall be conducted through reports submitted by supervised entities to supervising authorities.

Results of indirect supervision of the owner’s representative authority shall be reported annually. Results of indirect supervision of state-owned enterprises, direct owner’s representatives and state capital representatives shall be reported quarterly and consolidated into the annual supervision and inspection report.

2. Direct supervision of the owner’s representative authority; state-owned enterprises, direct owner’s representatives and state capital representatives in enterprises in which the State holds more than 50% and less than 100% of charter capital shall be conducted through direct working sessions in accordance with the published plan regarding subject matters, location and time.

Results of direct supervision shall be issued upon completion of each supervision and consolidated into the annual supervision and inspection report.

Inspection results shall be issued upon completion of the inspection; reported upon request (if any) and consolidated into the annual supervision and inspection report.

Article 7. Objectives of supervision and inspection

1. Objectives of supervision

a) Review and evaluate compliance with the law on management and investment of state capital in enterprises and compliance with decisions of competent authorities by supervised entities; ensure efficiency, preservation and development of state capital in enterprises and enterprises’ capital; prevent dispersion, waste and loss of state and enterprise capital and assets; assess results of implementation of political, national defense and security tasks assigned by competent authorities; thereby promptly detect, prevent, deter, rectify or apply appropriate measures to remedy shortcomings and limitations, enhance the effectiveness of management and investment of state capital in enterprises, improve production and business performance, and ensure preservation and development of state capital in enterprises and enterprises’ capital.

b) Identify shortcomings and limitations in the management and investment of state capital in enterprises in order to recommend competent authorities to consider and handle them.

c) Promptly detect loopholes and inadequacies in policies, laws and management mechanisms applicable to state-owned enterprises in order to recommend competent authorities to adopt remedial and improvement measures.

d) Enhance implementation of information disclosure and transparency in the management and investment of state capital in enterprises.

2. Objectives of inspection

a) Raise awareness of compliance with the law on management and investment of state capital in enterprises.

Article 8. Principles of supervision and inspection

1. Comply with the law on management and investment of state capital in enterprises and relevant laws; ensure objectivity, accuracy, timeliness, publicity and transparency.

2. Strengthen effective coordination among agencies, organizations and individuals assigned supervision and inspection duties and other relevant agencies, organizations and individuals in supervision and inspection activities.

3. Avoid obstructing normal operations of the owner’s representative authority, enterprises subject to supervision and inspection, and other relevant agencies, organizations and individuals in supervision and inspection activities.

4. Ensure no overlap in scope, subject matters, entities and timing between state audit, inspection and agencies, organizations and individuals competent to conduct supervision and inspection.

5. Prohibited acts:

a) For agencies, organizations and individuals competent to conduct supervision and inspection: abuse of position and powers to harass or cause difficulties for supervised and inspected agencies, organizations and individuals; unlawful interference in activities of supervised or inspected entities; unlawful use of information and documents collected during supervision and inspection; making untruthful supervision records or inspection conclusions; falsification of applications and documents.

b) For supervised and inspected entities and related agencies, organizations and individuals: obstruction, resistance, threats or intimidation against officials performing duties during supervision and inspection; failure to comply with supervision or inspection decisions and requests of supervision and inspection teams; concealment, destruction or falsification of documents and evidence related to supervision and inspection subject matters; provision of incomplete, untruthful or inaccurate information.

c) Other prohibited acts as prescribed by law.

6. Perform duties and exercise powers of the head and members of the direct supervision team and the inspection team in accordance with Articles 11, 12, 16, 17 and 18 of this Decree.

7. Exercise rights and perform obligations of supervised entities and inspected entities in accordance with Articles 11, 12, 13, 16, 17 and 18 of this Decree.

Section 2. SUPERVISION AND INSPECTION OF THE OWNER’S REPRESENTATIVE AUTHORITY

Article 9. Supervising and inspected entities

The Ministry of Finance is the agency assigned by the Government to conduct supervision and inspection of the exercise of rights and responsibilities of the owner’s representative authority in the investment of state capital in enterprises, management of state capital in enterprises and restructuring of state capital in enterprises.

Article 10. Subject matters of supervision and inspection of the owner’s representative authority

1. Investment of state capital in enterprises by the owner’s representative authority

a) Implementation of policies and laws on investment of state capital in enterprises and management of state capital in enterprises.

b) Compliance with principles and scope of investment of state capital in enterprises as prescribed when deciding on investment of state capital in enterprises.

d) Decisions on investment policy and decisions on investment of state capital in enterprises.

2. Exercise of rights and responsibilities of the owner’s representative authority

a) Assignment of target indicators and indicators for evaluation of enterprises wholly owned by the State; direction to state capital representatives to provide opinions, vote and decide at the General Meeting of Shareholders, meetings of the Members’ Council or the Board of Directors on annual business plans of enterprises in which the State holds more than 50% and less than 100% of charter capital.

b) Appointment, re-appointment, approval of resignation, dismissal, commendation, discipline, termination of employment contracts with enterprise managers and Controllers; designation of state capital representatives.

c) Compliance with regulations in conducting supervision and inspection by the owner’s representative authority.

d) Exercise of other rights and responsibilities of the owner’s representative authority in the investment of state capital in enterprises, management of state capital in enterprises and restructuring of state capital in enterprises.

Article 11. Organization of supervision

1. Indirect supervision

a) The owner’s representative authority shall prepare the Report on supervision and inspection results of management and investment of state capital in assigned enterprises for the preceding year, together with relevant applications and documents, and submit them to the Ministry of Finance before July 31 each year. The Report shall include: results of implementation, self-assessment of supervision and results of organization of supervision and inspection by the owner’s representative authority.

c) Responsibilities of the owner’s representative authority:

c1) Provide the Report on supervision and inspection results of management and investment of state capital in assigned enterprises in accordance with Point a Clause 1 of this Article, ensuring quality and compliance with the prescribed time limit;

c2) Request enterprises to provide information, documents and reports serving supervision activities;

c3) Provide fully information, applications and documents as requested for supervision;

c4) Implement fully and promptly warnings and recommendations stated in supervision reports;

c5) The owner’s representative authority and enterprises shall be responsible for the information, documents and reports provided.

2. Direct supervision

a) Based on the practical management situation; recommendations and risk indicators identified during indirect supervision; risks of capital loss, the Ministry of Finance shall formulate a direct supervision plan and notify the owner’s representative authority for implementation. The supervision plan must obtain opinions from the Government Inspectorate, the State Audit Office and relevant ministries and sectors and be published before January 31 of the year of implementation.

Where necessary, based on the direct supervision plan of the Ministry of Finance or upon its proposal, the Prime Minister shall direct relevant ministries and sectors to participate in coordination for implementation of the direct supervision plan.

The supervision decision shall include: grounds for supervision; supervised entity; subject matters and scope of supervision; supervision time limit; full name, position and workplace of the head and members of the supervision team.

The supervision time limit shall not exceed 15 working days from the date of announcement of the supervision decision; in complicated cases or in areas with difficult travel conditions, it may be extended once for no more than 7 working days.

c) Responsibilities of the supervision decision-maker, head and members of the supervision team:

c1) The supervision decision-maker shall organize, direct and supervise activities of the supervision team, ensure compliance with supervision principles and ensure that supervision is conducted in accordance with law and objectives and requirements; promptly resolve recommendations of the supervision team and complaints, denunciations, recommendations and feedback related to activities of the supervision team.

c2) The head of the supervision team shall lead the team and organize and direct its members to conduct supervision in accordance with the scope, subject matters and schedule specified in the supervision decision and supervision plan; implement reporting obligations as requested by the supervision decision-maker; be held accountable to the supervision decision-maker for activities of the supervision team. The head of the supervision team must comply with decisions and directions of the supervision decision-maker; has the right to reserve opinions on supervision results and shall be accountable to the supervision decision-maker and before the law for such reservation.

c3) Members of the supervision team must comply with decisions and directions of the head of the supervision team and the supervision decision-maker; have the right to reserve opinions on supervision results and shall be accountable to the supervision decision-maker and before the law for such reservation.

c4) During supervision, the head of the supervision team shall prepare working minutes relating to supervision subject matters and collection and provision of information and documents related to supervision subject matters. The minutes shall include: time and location of preparation; information and documents collected or provided; working contents; the minutes shall be signed by the head of the supervision team and the representative of the owner’s representative authority.

d) Duties and powers of the head and members of the direct supervision team:

d1) The head of the team shall organize and direct members to perform in accordance with the subject matters specified in the supervision decision; members shall perform duties as assigned by the head of the team.

d3) Prepare minutes of direct supervision in accordance with regulations.

d4) The head of the team shall report to the supervision decision-maker on results of direct supervision.

d5) Perform other duties and exercise other powers in accordance with law.

dd) Rights and obligations of supervised entities:

dd1) Be entitled to protection of technological secrets, business secrets and personal data in accordance with law.

dd2) Refuse to provide information, applications and documents not related to supervision subject matters.

dd3) Be entitled to provide explanations, lodge complaints, denunciations and recommendations, and exercise other rights in accordance with law.

dd4) Be obliged to comply with requests serving supervision activities and perform fully other responsibilities and obligations in accordance with law.

e) Time limit for issuance of the Report on supervision results and contents thereof

e2) The Report on supervision results shall include: evaluation of the situation; supervision results; recommendations or proposals for solutions to rectify and remedy shortcomings or to request competent regulatory agencies to conduct inspection or investigation (if any).

e3) Within 15 working days from the date of receipt of the Report on supervision results, the supervision decision-maker shall approve supervision results and direct conclusions and recommendations. Based on the Report on supervision results, the supervision decision-maker shall issue a written recommendation to the owner’s representative authority.

g) Responsibilities of the owner’s representative authority

g1) Assign competent persons to work with the supervision team.

g2) Request enterprises to assign competent persons to work with the supervision team (if necessary).

g3) Provide explanations and clarify matters related to supervision subject matters.

g4) Sign to confirm supervision minutes.

g5) Perform in accordance with the provisions at Point c Clause 1 of this Article.

Article 12. Organization of inspection

Where necessary or upon proposal of the Ministry of Finance, the Prime Minister shall direct relevant ministries and sectors to participate in coordination for implementation of the inspection plan.

2. Based on the published inspection plan, the inspection decision-maker shall issue an inspection decision and send it to the owner’s representative authority.

The inspection decision shall include: grounds for inspection; inspected entity; subject matters and scope of inspection; inspection time limit; full name, position and workplace of the head and members of the inspection team.

The inspection time limit shall not exceed 15 working days from the date of announcement of the inspection decision; in complicated cases or in areas with difficult travel conditions, it may be extended once for no more than 7 working days.

3. Responsibilities of the inspection decision-maker, head and members of the inspection team, and inspected entity

a) The inspection decision-maker shall:

a1) Organize, direct and supervise activities of the inspection team, ensure that inspection is conducted in accordance with law and in compliance with principles, objectives and requirements;

a2) Promptly resolve recommendations of the inspection team and complaints, denunciations, recommendations and feedback related to activities of the inspection team.

Where the inspection team has detected and reported a case showing signs of legal violations but the inspection decision-maker fails to handle or recommend handling within his or her competence, the head and members of the inspection team shall not bear responsibility. In such case, the inspection decision-maker shall bear responsibility in accordance with law.

b1) Organize and direct members of the inspection team to conduct inspection in accordance with the scope, subject matters and schedule specified in the inspection decision and inspection plan;

b2) Implement reporting obligations as requested by the inspection decision-maker; be held accountable to the inspection decision-maker for activities of the inspection team;

b3) Comply with decisions and directions of the inspection decision-maker; have the right to reserve opinions on inspection results and shall be accountable to the inspection decision-maker and before the law for such reservation;

b4) Prepare minutes regarding violations (if any) detected during inspection or minutes confirming collection and provision of information and documents related to inspection subject matters. The minutes shall include: The minutes shall include: time and location of preparation; full name and position of the head of the inspection team; full name and position of the representative of the owner’s representative authority; information and documents collected or provided; confirmation by the head of the inspection team and the representative of the owner’s representative authority regarding violations (if any);

b5) Perform duties and exercise powers in accordance with the provisions at Point d Clause 2 Article 11 of this Decree.

c) Members of the inspection team shall:

c1) Comply with decisions and directions of the head of the inspection team and the inspection decision-maker; have the right to reserve opinions on inspection results and shall be accountable to the inspection decision-maker and before the law for such reservation.

c2) Perform duties and exercise powers in accordance with the provisions at Point d Clause 2 Article 11 of this Decree.

d) The inspected entity shall exercise rights and perform obligations in accordance with the provisions at Point dd Clause 2 Article 11 of this Decree.

a) Within 15 working days from the date of completion of inspection, the head of the inspection team shall prepare the Report on inspection results and submit it to the inspection decision-maker.

The Report on inspection results shall include: evaluation of the situation; inspection results; conclusions on inspection subject matters; recommendations for measures to handle violations of law and other matters (if any); recommendations to competent authorities for inspection or investigation in accordance with regulations (if any); remedial solutions (if any).

b) Within 5 working days from the date of receipt of the Report on inspection results, the inspection decision-maker shall assign the head of the inspection team to prepare a draft inspection conclusion. The draft inspection conclusion shall include the following: evaluation of the performance of functions, duties and powers of the inspected entity; conclusions on inspection subject matters; recommendations for measures to handle violations of law and other matters (if any); recommendations to competent authorities for inspection or investigation in accordance with regulations (if any); remedial solutions (if any).

During preparation of the draft inspection conclusion, the inspection decision-maker may decide to seek opinions from relevant agencies, organizations and individuals on one or several contents of the draft inspection conclusion.

c) Within 15 working days from the date of receipt of the draft inspection conclusion and written explanations of the owner’s representative authority (if any), the inspection decision-maker shall issue the inspection conclusion in writing and send it to the owner’s representative authority and relevant agencies, organizations and individuals.

5. Suspension of inspection

The inspection decision-maker shall decide on suspension of inspection in the following cases:

a) Occurrence of force majeure events affecting the progress of the inspection;

b) Practical circumstances affecting the inspection due to the need to focus on important and urgent tasks as required by competent authorities;

The inspection decision-maker shall decide to resume inspection when the reason for suspension no longer exists or upon expiry of the suspension period. The decision on suspension of inspection and the decision on resumption of inspection must be sent to the inspected entity.

6. Responsibilities of the owner’s representative authority

a) Comply with the inspection decision.

b) Strictly comply with requests of the inspection team; decisions and conclusions of the inspection decision-maker.

c) Perform other responsibilities of the owner’s representative authority in accordance with the provisions at Point g Clause 2 Article 11 of this Decree.

Article 13. Handling of supervision and inspection results

Based on supervision and inspection results:

1. The Ministry of Finance shall:

a) Consolidate supervision and inspection results in accordance with Articles 11 and 12 of this Decree into the annual supervision and inspection report to be submitted to the Government before October 31 each year;

c) Report and recommend to the Government and the Prime Minister, within their competence, to direct relevant organizations and individuals to implement recommendations and remedial solutions (if any) and report results;

d) Recommend the Government and the Prime Minister to direct amendment and improvement of legal provisions and regulations of the owner’s representative authority related to management and investment of state capital in enterprises;

dd) Monitor and urge the owner’s representative authority to implement recommendations, warnings, solutions and directions of competent authorities.

2. The Government and the Prime Minister shall, within their competence, direct relevant organizations and individuals to implement recommendations and remedial solutions (if any) and report results.

3. The ownership representative agency shall:

a) Promptly handle issues detected during supervision and inspection;

b) Organize implementation of recommendations and measures to enhance monitoring and supervision of state capital in enterprises and improve effectiveness of management and investment of state capital;

c) Proactively implement or coordinate with relevant agencies to implement solutions to remove difficulties and obstacles in the management and investment of state capital in enterprises; report matters beyond competence in accordance with regulations;

d) Fully and promptly implement recommendations and warnings stated in supervision and inspection reports;

Section 3. SUPERVISION AND INSPECTION OF STATE-OWNED ENTERPRISES, DIRECT OWNER’S REPRESENTATIVES AND STATE CAPITAL REPRESENTATIVES

Article 14. Supervising and inspected entities

1. The owner’s representative authority shall conduct supervision and inspection of state-owned enterprises, direct owner’s representatives and state capital representatives in enterprises assigned for management.

2. Where necessary, the Prime Minister may request the Ministry of Finance to take charge and cooperate with relevant agencies in conducting inspection of state-owned enterprises under other owner’s representative authorities.

Article 15. Subject matters of supervision and inspection

1. Additional investment of state capital in enterprises.

2. Management of state capital in enterprises; production and business performance, preservation and development of state capital in enterprises, including:

a) Implementation of development strategy and annual business plans of enterprises; implementation of tasks of supplying public products and services ordered or assigned by the State; implementation of political tasks assigned by competent authorities and national defense and security tasks;

b) Mobilization and use of mobilized capital; lending, leasing, lease-purchase, mortgage, pledge, purchase and sale of fixed assets, management of receivables and payables, preservation and development of enterprise capital;

d) Investment activities of enterprises;

dd) Transfer of investment projects, transfer of investment capital, collection of profits and distributed dividends from investment activities of enterprises;

e) Management of enterprise capital invested in joint stock companies and limited liability companies.

3. Exercise of rights and responsibilities of the Members’ Council, the Board of Directors, Controllers and state capital representatives.

4. Transfer and recovery of capital, collection of profits and distributed dividends in joint stock companies and limited liability companies.

5. Implementation of recommendations and warnings of regulatory agencies, inspection and audit authorities, and the owner’s representative authority regarding management and investment of state capital in enterprises; receipt and handling of reports of Controllers and enterprise capital representatives in accordance with the law on management and investment of state capital in enterprises.

6. Recruitment, appointment, re-appointment, approval of resignation, dismissal, commendation, discipline and termination of employment contracts with enterprise managers.

8. Fulfillment of obligations to the state budget, distribution of after-tax profits, appropriation and use of enterprise funds.

10. Performance of responsibilities of direct owner’s representatives and state capital representatives in directing preparation of reports as prescribed in Clause 1 Article 54 of the Law on Management and Investment of State Capital in Enterprises.

11. Other matters related to management and investment of state capital in enterprises.

Article 16. Organization of supervision

1. Indirect supervision

a) Direct owner’s representatives and state capital representatives shall direct state-owned enterprises to prepare and submit to the owner’s representative authority reports as prescribed at Points b, c, e and g Clause 1 Article 54 of the Law on Management and Investment of State Capital in Enterprises on a quarterly basis before the 20th day of the first month of the following quarter.

b) Direct owner’s representatives and state capital representatives shall direct state-owned enterprises to submit to the owner’s representative authority the Report on the situation of management and investment of state capital in enterprises as prescribed at Point d Clause 1 Article 54 of the Law on Management and Investment of State Capital in Enterprises before April 30 each year and other relevant reports (if necessary).

c) State capital representatives in joint stock companies and limited liability companies with two or more members in which the State holds 50% or less of charter capital shall prepare and submit to the owner’s representative authority the Report on the situation of management and investment of state capital in enterprises as prescribed in Clause 3 Article 54 of the Law on Management and Investment of State Capital in Enterprises before April 30 each year and other relevant reports (if necessary).

d) For enterprises in which the State holds more than 50% of charter capital, the owner’s representative authority shall conduct indirect supervision quarterly and prepare quarterly supervision result reports.

Based on reports prescribed at Points a, b and c Clause 1 of this Article, reports of Controllers, quarterly supervision result reports and other relevant reports, the owner’s representative authority shall evaluate the overall annual performance.

dd1) Provide fully information, applications and documents as requested for supervision;

dd2) Implement fully and promptly warnings and recommendations stated in supervision reports;

dd3) Be responsible for accuracy and truthfulness of information, applications and reports provided.

2. Direct supervision

a) Based on the practical management situation; recommendations and risk indicators identified during indirect supervision; risks of capital loss, loss-making operations or failure to ensure solvency, the owner’s representative authority shall formulate a direct supervision plan and notify direct owner’s representatives and state capital representatives for implementation. The supervision plan must obtain opinions from the Government Inspectorate, the State Audit Office and relevant ministries and sectors and be published before January 31 of the year of implementation.

b) The owner’s representative authority shall, based on Points a, b, c, d, dd and e Clause 2 Article 11 of this Decree, organize a direct supervision team at state-owned enterprises and report implementation results.

c) Responsibilities of enterprises, direct owner’s representatives and state capital representatives:

c1) Assign competent persons to work with the supervision team;

c2) Provide explanations and clarify matters related to supervision subject matters;

c4) Perform in accordance with the provisions at Point dd Clause 1 of this Article.

3. Responsibilities of the owner’s representative authority

a) Assign and organize supervision of management and investment of state capital in enterprises; conduct supervision in accordance with Clauses 1 and 2 of this Article.

b) Receive and process information reported by direct owner’s representatives, Controllers and state capital representatives in enterprises serving supervision in accordance with the Operational Regulations of Controllers, Operational Regulations of state capital representatives and internal regulations of enterprises.

c) Collect and manage financial information of enterprises in a timely, full and continuous manner serving management and supervision.

d) Issue warnings upon detection of risk indicators; direct or request enterprises to adopt timely measures to prevent and remedy risks and weaknesses; rectify and handle violations in management and investment of state capital in enterprises.

dd) Organize implementation of directions of the Government and the Prime Minister and recommendations of inspection, supervision and audit authorities regarding handling of violations; require full implementation and adopt measures to strengthen supervision of enterprises. Recommend handling within competence of collectives and individuals in cases of violations, failure to implement reporting regimes or failure to implement recommendations and conclusions in supervision and inspection reports of the owner’s representative authority and the Ministry of Finance.

Where financial statements show signs of not ensuring accuracy, objectivity and truthfulness, direct owner’s representatives, state capital representatives and Controllers shall provide explanations and clarification. Where necessary, applications shall be transferred to inspection or investigation authorities for consideration and handling of cases showing signs of legal violations by agencies, organizations or individuals detected through supervision and inspection.

e) Based on periodic supervision reports of enterprises and reports on financial situation and production and business performance of enterprises, the owner’s representative authority shall evaluate production and business performance and financial situation of enterprises, investments and domestic and overseas investment projects of enterprises. Where risk indicators are detected, timely warnings shall be issued to direct owner’s representatives, state capital representatives and Controllers; proactively implement or coordinate with relevant agencies to implement necessary measures for conducting direct supervision, inspection or examination at the parent company and related enterprises; report matters beyond competence in accordance with regulations.

h) Based on supervision results, request competent authorities to conduct inspection or examination where necessary.

i) The owner’s representative authority shall conduct supervision and inspection and bear ultimate responsibility for supervision and inspection of enterprises assigned for management; direct owner’s representatives and state capital representatives in enterprises shall exercise rights and responsibilities of state owner representatives, monitor and supervise state capital in enterprises, ensure efficiency, preservation and development of state capital in enterprises, and be responsible for tasks assigned by the owner’s representative authority and responsibilities in accordance with law.

4. Responsibilities of Controllers at enterprises wholly owned by the State:

a) Exercise fully rights, obligations and responsibilities of Controllers in accordance with the law on management and investment of state capital in enterprises, the law on enterprise, the enterprise charter and the Operational Regulations of Controllers;

b) Participate in supervision teams upon request of the owner’s representative authority;

c) Recommend to the owner’s representative authority within competence or request supervision, inspection or examination where signs of violations are detected;

d) Monitor and urge implementation of measures, proposals and recommendations of the owner’s representative authority and competent regulatory agencies.

Article 17. Organization of inspection

1. The owner’s representative authority shall, based on Article 12 of this Decree, organize an inspection team at state-owned enterprises upon direction of competent authorities or where the owner’s representative authority detects signs of serious violations in management and investment of state capital in enterprises requiring inspection.

3. Responsibilities of direct owner’s representatives and state capital representatives:

Article 18. Handling of supervision and inspection results

Based on supervision and inspection results:

1. The owner’s representative authority and the supervision or inspection decision-maker shall:

a) Consolidate supervision and inspection results in accordance with Articles 16 and 17 of this Decree into the Report on supervision and inspection results of management and investment of state capital in assigned enterprises for the preceding year and submit it to the Ministry of Finance before July 31 each year;

b) Recommend and propose handling of issues detected through supervision and inspection; request direct owner’s representatives, state capital representatives and enterprises to propose or implement remedial solutions;

c) Where inspection results are insufficient to assess the actual situation, recommend competent authorities to conduct inspection or investigation in accordance with regulations;

d) During consideration and handling of supervision and inspection results, where signs of violations are detected, transfer applications to competent inspection or investigation authorities in accordance with law.

2. The owner’s representative authority shall direct owner’s representatives, state capital representatives and enterprises to:

a) Fully implement warnings and recommendations; promptly remedy and handle issues detected during supervision and inspection;

c) Propose and implement necessary solutions to remove difficulties and obstacles in management and investment of state capital in enterprises; report matters beyond competence in accordance with regulations.

Article 19. Entity conducting special financial supervision

1. The owner’s representative authority shall conduct special financial supervision in accordance with Articles 19 to 23 of this Decree for state-owned enterprises assigned for management when such enterprises are placed under special financial supervision in order to improve production and business performance, preserve and develop state capital in enterprises; prevent waste and corruption; formulate and implement remedial plans and restructuring plans to restore production and business activities and financial condition of enterprises.

2. Special control of credit institutions shall be conducted in accordance with the law on credit institutions.

Article 20. Signs of financial unsafety of enterprises

1. Signs of financial unsafety of enterprises include:

a) For enterprises in the planned loss period: the reported annual loss exceeds 30% of the planned loss approved by competent authorities.

b) For enterprises after the planned loss period falling into one of the following cases:

b1) The reported annual loss is equal to or greater than 30% of the owner’s invested capital or accumulated losses exceed 50% of the owner’s invested capital;

2. Other signs that the owner’s representative authority shall consider when determining financial unsafety of enterprises include:

a) For enterprises in the planned loss period: actual losses exceed planned losses for 2 consecutive years.

b) For enterprises after the planned loss period falling into one of the following cases:

b1) Losses for 2 or more consecutive years;

b2) Net revenue or gross profit decreases for 2 or more consecutive years;

b3) Cash flow from operating activities is negative for 2 or more consecutive years;

b4) Failure to conduct audit of financial statements; or issuance of adverse audit opinions, disclaimer of opinion in the audit report; or qualified audit opinions in the audit report for 2 consecutive years on the same matter materially affecting production and business activities of the enterprise; audit reports containing emphasis of matter paragraphs or indications of issues, events or conditions that, individually or in aggregate, may cast significant doubt on the enterprise’s ability to continue as a going concern for 2 consecutive years.

3. Signs prescribed in Clauses 1 and 2 of this Article serve as warning indicators for potential placement of an enterprise under special financial supervision. Where an enterprise shows one of these signs, the owner’s representative authority shall take charge of evaluation of production, business and investment activities of the enterprise, consider signs of financial unsafety and decide whether to place the enterprise under special financial supervision or continue supervision and inspection in accordance with Articles 14 to 18 of this Decree.

Article 22. Responsibilities of the owner’s representative authority for enterprises placed under special financial supervision

1. For enterprises wholly owned by the State

a) Direct the direct owner’s representative of state capital in the enterprise to analyze and assess main causes leading to financial unsafety of the enterprise.

b) Direct the direct owner’s representative in the enterprise to formulate a plan to remedy financial difficulties of the enterprise. Where restructuring of organization, business operations or finance is required, the owner’s representative authority shall consider and approve the enterprise restructuring plan.

The remedial plan and restructuring plan must clearly specify units and individuals responsible for implementation; specific results to be achieved upon completion; implementation timeline; conditions for implementation and support needs within the scope permitted by law (if any).

c) Prescribe reporting frequency, supervision indicators and feedback mechanisms among the owner’s representative authority, the enterprise and relevant parties (if necessary).

d) Supervise the enterprise in implementation of the approved plan.

dd) Coordinate with relevant agencies to analyze and evaluate business performance, financial management and operation and administration of production and business activities of the enterprise in order to provide direction to the enterprise.

e) Where necessary, the owner’s representative authority shall organize supervision or coordinate with the Ministry of Finance and relevant agencies to supervise the enterprise in order to assess truthfulness and accuracy of indicators in enterprise reports; management and administration of business operations by the executive board; management of production, business, finance and other resources of the enterprise.

g) Report and recommend to the Government or the Prime Minister handling solutions where the enterprise has implemented solutions and recommendations of the owner’s representative authority but its production and business performance and financial condition have not improved.

h) When the enterprise has recovered and continuation of special financial supervision is no longer necessary, the owner’s representative authority shall assess and issue a decision to terminate special financial supervision.

i) Where an enterprise under special financial supervision fails to restore production and business activities and financial condition in accordance with the restructuring plan or remedial plan upon expiry of the implementation period, it shall report to competent authorities for implementation of ownership conversion or enterprise rearrangement in accordance with regulations.

2. For enterprises in which the State holds more than 50% and less than 100% of charter capital

The owner’s representative authority shall direct the state capital representative to vote and decide on matters prescribed in Clause 1 of this Article to implement special financial supervision.

Article 23. Responsibilities of the Members’ Council, the Company President, the General Director or Director of enterprises under special financial supervision

1. Prepare a remedial plan and a restructuring plan for organization, business operations and finance and submit them to the owner’s representative authority within 30 days from the date of issuance of the Decision on special financial supervision.

2. Report to the owner’s representative authority at the frequency agreed with the owner’s representative authority on approved supervision indicators in the remedial plan and restructuring plan for organization, business operations and finance of the enterprise.

Section 4. INTERNAL SUPERVISION OF ENTERPRISES

1. State-owned enterprises must conduct internal supervision of investment activities and management of state capital in enterprises.

Enterprises in which the State holds not more than 50% of charter capital shall, based on their specific conditions and circumstances, consider and decide on conducting internal supervision of investment activities and management of state capital in enterprises in accordance with Section 4 Chapter II of this Decree.

2. Objectives of internal supervision

a) Comply with the law on management and investment of state capital in enterprises and relevant laws, and internal procedures and regulations of enterprises, ensuring objectivity, timeliness, publicity and transparency.

c) Proactively conduct internal supervision; strengthen effective coordination among units and individuals assigned internal supervision duties and relevant units and individuals in supervision and inspection activities.

1. Production and business performance, preservation and development of state capital in enterprises.

2. Exercise of rights and responsibilities of the Members’ Council, the Board of Directors, the Company President, Controllers, state capital representatives and enterprise capital representatives.

3. Investment, transfer of investment capital, collection of profits and distributed dividends in joint stock companies and limited liability companies.

4. Management by enterprises of companies wholly owned by the enterprise and of capital contributions of the enterprise in joint stock companies and limited liability companies with two or more members.

5. Other subject matters as requested by the owner’s representative authority.

2. Before March 31 of the evaluation year, based on Clause 1 of this Article, the owner’s representative authority shall review and assign indicators as prescribed in Article 28 of this Decree and other indicators (if necessary) for enterprise evaluation consistent with assigned target indicators, business lines, specialties and production and business characteristics of each enterprise.

Based on production and business activities and tasks assigned or ordered by the State in accordance with regulations on the List of public products and services using state budget funds from recurrent expenditures, the owner’s representative authority shall decide on assignment of indicators consistent with enterprise classification.

For national defense and security enterprises, the Ministry of National Defense and the Ministry of Public Security shall classify enterprises to assign annual evaluation indicators for enterprises under their management.

Article 28. Basic indicators for evaluation and classification of enterprises

1. Based on business lines, specialties and production and business characteristics of each enterprise, the owner’s representative authority shall assign basic indicators for enterprise evaluation, including:

a) Indicator 1: Total revenue;

b) Indicator 2: Profit after tax;

c) Indicator 3: Return on equity (ROE);

d) Indicator 4: Value of completed volume or disbursed value for investment projects for which the enterprise acts as the governing body under the Law on Public Investment; investment items and investment projects reviewed and approved by the owner’s representative authority in accordance with regulations;

Implementation of tasks of providing public products and services assigned or ordered by the State; implementation of political, national defense and security tasks assigned by competent authorities.

2. Indicators prescribed in Clause 1 of this Article shall be determined and calculated based on data in audited annual financial statements of independent single-member limited liability companies and parent companies, statistical reports and other relevant documents in accordance with regulations.

For enterprises operating in sectors classified as state secrets in accordance with law, indicators prescribed in Clause 1 of this Article shall be determined and calculated based on data in annual financial statements of independent single-member limited liability companies and parent companies approved by the Members’ Council or the Company President and audited by the State Audit Office (if any), statistical reports and other relevant documents in accordance with regulations.

For Indicator 3: Where ROE is not applicable, the indicator of return on assets (ROA) shall be assigned.

For Indicator 4: Value of completed volume or disbursed value for investment projects for which the enterprise acts as the governing body under the Law on Public Investment; investment items and investment projects reviewed and approved by the owner’s representative authority regarding objectives, investment capital level, capital sources and implementation timeline in accordance with Point b Clause 3 Article 20 of the Law on Management and Investment of State Capital in Enterprises; investment items and investment projects approved by the owner’s representative authority in accordance with procedures for, competence and provisions of the Law on Management and Use of State Capital Invested in Production and Business in Enterprises No. 69/2014/QH13 and documents on elaboration of and guidelines for implementation.

Article 29. Grounds for evaluation and classification of enterprises

1. Level of implementation of assigned tasks and indicators on an annual basis.

2. Audited annual financial statements of the parent company.

3. Results of supervision and inspection of management and investment of state capital in enterprises.

5. Arising issues affecting implementation results of production and business plans and investment development of the enterprise.

Article 30. Methods of evaluation and classification of enterprises

1. The owner’s representative authority shall assign evaluation and classification indicators to the parent company in accordance with business lines, specialties and production and business characteristics of each enterprise, strategic tasks or tasks assigned in the evaluation year.

For enterprises operating not for profit, the owner’s representative authority may decide not to assign Indicators 2 and 3 to ensure consistency with specific operational characteristics; evaluation and classification shall be based on assigned indicators.

2. Enterprise evaluation shall be conducted on the basis of comparison between assigned tasks and indicators and actual performance results.

For Indicators 1, 2 and 3: An enterprise whose performance is equal to or higher than assigned indicators shall be assessed as Achieved.

For Indicator 4: An enterprise completing 90% or more of the assigned completed volume value or disbursed investment capital value shall be assessed as Achieved.

For Indicator 5: An enterprise completing assigned output and product or service quality indicators in accordance with prescribed standards shall be assessed as Achieved.  Implementation of political, national defense and security tasks shall be assessed by the owner’s representative authority as Achieved or Not Achieved.

3. The owner’s representative authority shall evaluate and classify enterprises based on overall operational efficiency, and consider exclusion of impact factors as follows:

b) Impact arising from objective factors such as natural disasters, fires, epidemics, wars and other force majeure events assessed and approved by the owner’s representative authority.

4. Enterprise classification results shall be divided into 3 levels: Class A, Class B and Class C enterprises based on the level of completion of assigned indicators.

a) For profit-oriented enterprises, classification shall be based on performance results of Indicators 1, 2, 3 and Indicator 4 prescribed in Clause 1 Article 28 of this Decree as follows:

An enterprise shall be classified as Class A when Indicators 1, 2 and 3 are simultaneously assessed as Achieved.

An enterprise shall be classified as Class C when 3 or more indicators are assessed as Not Achieved; or where Indicators 1 and 2 are assessed as Not Achieved.

An enterprise shall be classified as Class B if it is not classified as Class A or Class C.

b) For enterprises whose regular and principal activities are provision of public products and services using state budget funds from recurrent expenditures and implementation of national defense and security tasks, classification shall be based on performance results of Indicators 1, 2, 3 and Indicator 5 prescribed in Clause 1 Article 28 of this Decree as follows:

An enterprise shall be classified as Class A when Indicators 1, 5 and 3 are simultaneously assessed as Achieved.

An enterprise shall be classified as Class C when 3 or more indicators are assessed as Not Achieved; or where Indicators 1 and 5 are assessed as Not Achieved.

Article 31. Organization of evaluation and classification of enterprises

1. Enterprises

Enterprises shall, based on assigned indicators, conduct self-evaluation and classification, prepare and submit the Report on evaluation and classification of enterprises to the owner’s representative authority within the time limit prescribed by the owner’s representative authority.

2. The owner’s representative authority

a) Prescribe the deadline for submission of the Report on evaluation and classification by enterprises, ensuring sufficient time for evaluation and issuance of classification decisions and publication of classification results before August 15 each year.

b) Prepare the consolidated Report on evaluation and classification of enterprises under its management and submit it to the Ministry of Finance before August 31 each year.

3. Ministry of Finance

Based on Reports on evaluation and classification submitted by owner’s representative authorities, consolidate and report the overall Report on evaluation and classification of enterprises to the Government before September 30 each year.

2. The owner’s representative authority

Chapter IV

4. Direct owner’s representatives, state capital representatives and Controllers shall be evaluated at 4 levels: Excellent completion of duties; Good completion of duties; Completion of duties; Failure to complete duties.

Article 36. Grounds for evaluation

1. For direct owner’s representatives:

a) Enterprise evaluation and classification results: enterprise classification in accordance with Section 1 Chapter III of this Decree;

b) Compliance with policies and laws of the enterprise;

d) Compliance with and implementation of directions and instructions of competent authorities; annual programs, plans, indicators and assigned tasks; enterprise charter; and implementation of recommendations of inspection and audit authorities.

2. For state capital representatives in enterprises in which the State holds more than 50% and less than 100% of charter capital:

a) Enterprise performance evaluation results:  enterprise classification in accordance with Section 2 Chapter III of this Decree;

b) Other evaluation grounds as prescribed at Points c and d Clause 1 of this Article and the Operational Regulations of enterprise capital representatives.

3. For Controllers at enterprises wholly owned by the State:

a) Enterprise classification results: Enterprise classification results in accordance with Section 1 Chapter III of this Decree;

b) Exercise of rights and responsibilities of Controllers in accordance with law and the Operational Regulations of Controllers.

4. Indicators of total revenue, profit after tax, return on equity (or return on assets), after exclusion of impact factors in accordance with Clause 3 Article 30 of this Decree when conducting enterprise evaluation and classification for enterprises wholly owned by the State and evaluation of performance of enterprises in which the State holds more than 50% and less than 100% of charter capital, shall be used to evaluate direct owner’s representatives and state capital representatives.

For enterprises operating not for profit, based on performance of assigned tasks, the owner’s representative authority shall consider and decide on evaluation and classification of direct owner’s representatives and state capital representatives consistent with specific operational characteristics of the enterprise.

b) Good completion of duties: The enterprise is classified as Class B; the Controller exercises rights and responsibilities in accordance with regulations.

c) Completion of duties: The enterprise is classified as Class C; the Controller exercises rights and responsibilities in accordance with regulations.

d) Failure to complete duties: The Controller is assessed as failing to exercise rights and responsibilities in accordance with regulations.

Chapter V

REPORTING AND INFORMATION DISCLOSURE

Section 1. REPORTS ON ENTERPRISE OPERATIONS

Article 39. Reports on enterprise operations

1. State-owned enterprises shall prepare the Report on management and investment of state capital in enterprises and submit it to the owner’s representative authority before April 30 of the subsequent year, enclosed with annual financial statements audited by an independent audit organization or by the State Audit Office for enterprises operating in sectors classified as state secrets in accordance with law (if any) and approved by the Members’ Council, the company President or the General Meeting of Shareholders; including separate financial statements of the parent company and consolidated financial statements of economic groups, state corporations and parent companies within parent-subsidiary groups.

2. State capital representatives at joint-stock companies and multi-member limited liability companies in which the State holds 50% or less of charter capital shall prepare the Report on management and investment of state capital in enterprises and submit it to the owner’s representative authority before April 30 of the subsequent year, enclosed with annual financial statements; including separate financial statements of the parent company and consolidated financial statements of economic groups, state corporations and parent companies within parent-subsidiary groups.

3. The owner’s representative authority shall consolidate and prepare the Report on management and investment of state capital in enterprises under its management and submit it to the Ministry of Finance before June 30 each year.

4. The Ministry of Finance shall review and consolidate the nationwide Report on management and investment of state capital in enterprises for submission to the Government for consideration and approval before August 31 each year for reporting to the National Assembly at its year-end session. The nationwide Report on management and investment of state capital in enterprises prepared by the Ministry of Finance shall include the following principal contents:

a) Production and business performance of enterprises and credit institutions with state capital;

c) Overseas investment activities of state-owned enterprises;

d) Assessment of operational performance; recommendations and solutions to enhance operational efficiency of enterprises with state capital contributions.

5. The owner’s representative authority, state-owned enterprises and state capital representatives at joint-stock companies and multi-member limited liability companies in which the State holds 50% or less of charter capital shall submit reports prescribed in Clauses 1 and 2 of this Article in hard copy and simultaneously submit electronic versions via the Information System on management and investment of state capital in enterprises.

6. Direct owner’s representatives, state capital representatives and owner’s representative authorities shall be responsible for the accuracy, truthfulness and timeliness of reports. Controllers at enterprises wholly owned by the State shall supervise reporting and provide objective and prudent opinions on reports prescribed in Clause 1 Article 54 of the Law on Management and Investment of State Capital in Enterprises before submission to the owner’s representative authority.

7. State-owned enterprises shall prepare reports prescribed at Points a and dd Clause 1 Article 54 of the Law on Management and Investment of State Capital in Enterprises annually and submit them to the owner’s representative authority before April 30 of the subsequent year.

8. State-owned enterprises shall:

a) Prepare quarterly reports prescribed at Points b, c, e and g Clause 1 Article 54 of the Law on Management and Investment of State Capital in Enterprises and submit them to the owner’s representative authority before the 20th day of the first month of the following quarter for supervision purposes and for reporting to the Prime Minister with respect to enterprises specified in Appendix I enclosed with the Decree on certain contents of management and investment of state capital in enterprises.

b) Report issues arising that affect enterprise business performance, including:

b1) Contents prescribed in Clause 5 Article 19, Clause 3 Article 26, Clause 6 Article 36, and Clauses 3 and 4 Article 39 of the Law on Management and Investment of State Capital in Enterprises (if any);

9. The owner’s representative authority, enterprises and state capital representatives shall prepare and submit other governance reports via the Information System on management and investment of state capital in enterprises.

Article 40. Information system on management and investment of state capital in enterprises

1. The Information System on management and investment of state capital in enterprises comprises hardware, software and databases established to create, provide, transmit, collect, process, store, exchange and share information via network platforms.

2. Users of the system include:

a) State-owned enterprises;

b) Owner’s representative authorities;

c) Direct owner’s representatives and state capital representatives.

d) The Ministry of Finance;

dd) Other entities: the Government Office, regulatory agencies and other organizations and individuals authorized to mine and use information on the System in accordance with devolution.

a) Account system and user information;

b) Information of enterprises with state capital;

c) Reports created and updated by enterprises, state capital representatives in enterprises, owner’s representative authorities and the Ministry of Finance in accordance with the Law on Management and Investment of State Capital in Enterprises and documents on elaboration of and guidelines for implementation;

4. Connection and information sharing between the Information System on management and investment of state capital in enterprises and other national databases and specialized databases shall comply with Decree No. 278/2025/ND-CP dated October 22, 2025, of the Government, on mandatory connection and data sharing among agencies of the political system.

5. Responsibilities of the Ministry of Finance

a) Take charge of formulation, management and operation of the Information System on management and investment of state capital in enterprises in accordance with the Law on Management and Investment of State Capital in Enterprises, this Decree and relevant laws.

b) Promulgate the Regulations on management and use of the Information System on management and investment of state capital in enterprises.

a) State-owned enterprises shall disclose information periodically and ad hoc in accordance with the law on enterprises.

b) State-owned enterprises for which the Ministry of National Defense or the Ministry of Public Security acts as the owner’s representative authority shall disclose information in accordance with guidance of the Minister of Public Security and the Minister of National Defense.

c) The Ministry of Finance and owner’s representative authorities shall disclose information in accordance with this Decree.

c) Reports disclosed via electronic networks have the same legal validity as hard copies and serve as the basis for cross-checking, comparison and authentication of information for information collection and consolidation, and for supervision and inspection in accordance with law.

d) Disclosed reports must be maintained on portals or websites of owner’s representative authorities and the Ministry of Finance for at least 5 years; disclosed and published information must be preserved and archived in accordance with law.

dd) Disclosed information must not contain state secrets under the law on protection of state secrets or matters prohibited from posting under international treaties.

e) The basis for information disclosure includes annual reports, plans and decisions of owner’s representative authorities and the Ministry of Finance as prescribed in this Decree and Decrees guiding the Law on Management and Investment of State Capital in Enterprises.

Article 42. Information disclosure by owner’s representative authorities

1. Owner’s representative authorities shall regularly disclose on their websites the list of enterprises assigned for management and the State’s contributed capital in enterprises.

2. Owner’s representative authorities shall disclose the Supervision and inspection plan for assigned enterprises before January 31 each year.

3. Owner’s representative authorities shall disclose the annual Decision on assignment of evaluation and classification indicators for each assigned enterprise before March 31 each year.

4. Owner’s representative authorities shall disclose the Report on management and investment of state capital in enterprises before June 30 each year.

6. Owner’s representative authorities shall disclose the Report on evaluation and classification of enterprises of assigned enterprises before August 31 each year.

7. Owner’s representative authorities shall disclose other reports, plans and decisions in accordance with Decrees guiding the Law on Management and Investment of State Capital in Enterprises.

8. Disclosed information shall be provided in written form and electronic data via portals or websites of owner’s representative authorities.

Article 43. Information disclosure by the Ministry of Finance

1. Contents of information disclosure by the Ministry of Finance

a) Disclose the Plan for direct supervision and inspection of owner’s representative authorities regarding investment of state capital in enterprises and management and investment of state capital in enterprises before January 31 of the implementation year (if any).

b) Disclose the Government’s report on nationwide management and investment of state capital in enterprises no later than 10 days after the Government reports to the National Assembly.

c) Disclose the Report on evaluation and classification of enterprises before September 30 each year.

d) Based on the Prime Minister’s directions, disclose the Report on supervision and inspection results of investment of state capital in enterprises and management and investment of state capital in enterprises prepared by the Ministry of Finance.

a) Disclose information in written form and electronic data via portals or websites of the Ministry of Finance.

b) Establish a section titled “Information disclosure on enterprise operations” on the website of the Ministry of Finance to receive and disclose information on enterprise operations.

c) Where information disclosure cannot be made within the prescribed time limit due to force majeure, the Ministry of Finance shall report to the Prime Minister the reasons for postponement and the expected time for resumption of information disclosure. The Ministry of Finance must disclose information immediately after the force majeure event has been remedied or immediately upon expiry of the postponement period.

Chapter VI

IMPLEMENTATION PROVISIONS

Article 44. Transitional provisions

Evaluation and classification of enterprises and evaluation of direct owner’s representatives, state capital representatives and Controllers for financial years up to and including 2025 shall be conducted in accordance with Law No. 69/2014/QH13; Decree No. 87/2015/ND-CP dated October 6, 2015, of the Government, on supervision of investment of state capital in enterprises; financial supervision, evaluation of operational efficiency and disclosure of financial information of state-owned enterprises and enterprises with state capital; and other relevant documents on elaboration of and guidelines for implementation of Law No. 69/2014/QH13.

Article 45. Entry into force

1. This Decree comes into force as of the date of signing for promulgation.

3. This Decree provides for annulment of Article 12 of Decree No. 10/2019/ND-CP dated January 30, 2019, of the Government, on exercise of powers and responsibilities of state ownership representatives.

Article 46. Implementation

1. The Ministry of Finance shall take charge and cooperate with ministries and sectors in providing guidance, organizing implementation and inspecting implementation of this Decree; and prescribe forms to implement supervision and inspection contents.

2. The Ministry of Home Affairs shall take charge of providing guidance and cooperate with relevant agencies in supervision, inspection and assessment of the status of implementation of policies on salary, remuneration and bonuses for employees and managers in enterprises.

3. Political organizations, the Vietnam Fatherland Front and its member organizations shall apply provisions of the Law on Management and Investment of State Capital in Enterprises and this Decree when promulgating specific guiding regulations for implementation of supervision, inspection, evaluation, classification, reporting and information disclosure in management and investment of capital of their organizations in enterprises consistent with practical conditions.

4. Ministers, heads of ministerial agencies, heads of Governmental agencies, Presidents of province-level People’s Committees, and enterprises, direct owner’s representatives and state capital representatives shall implement this Decree.

5. The Ministry of Finance and owner’s representative authorities shall conduct supervision and inspection fully and promptly and be held accountable to the Government and the Prime Minister within their assigned functions and tasks./.
