What are the suspicious indicators in the field of crypto-assets?

Under the new Law adopted by the National Assembly of Vietnam, what are the suspicious indicators in the field of crypto-assets?

Legal expert Tuyet Nhi provides the following response:

On August 24, 2026, the National Assembly of Vietnam adopted Law No. 23/2026/QH16 on amendments to the Law on the State Bank of Vietnam, the Law on Prevention and Combat of Money Laundering, and the Law on Credit Institutions.
 
Clause 9 Article 2 of Law No. 23/2026/QH16 adds Article 33a after Article 33 of the Law on Prevention and Combat of Money Laundering 2022, prescribing the following suspicious indicators in the field of crypto-assets:

(1) Dividing a crypto-asset transaction into multiple transactions with values below the prescribed customer identification or reporting threshold, or conducting multiple high-value crypto-asset transactions within a short period without a clear business purpose.

(2) The occurrence of any of the following circumstances inconsistent with the customer’s profile and characteristics: successively depositing, trading, and withdrawing crypto-assets within a very short period immediately after establishing the customer relationship; making a high-value initial deposit immediately after opening a crypto-asset account; or conducting transactions of an unusually high value or frequency through a crypto-asset account that has remained inactive for an extended period.

(3) Immediately transferring crypto-assets to multiple crypto-asset service providers in countries or territories included in lists published by the Financial Action Task Force for the prevention of money laundering, terrorist financing, and proliferation financing; in countries or territories that have not promulgated, or have promulgated an incomplete, legal framework for the prevention of money laundering, terrorist financing, and proliferation financing in relation to crypto-assets; or to crypto-asset service providers included in crypto-asset-related lists published by the Financial Action Task Force, where there is no reasonable connection with the customer’s place of residence or place of operation.

(4) Converting crypto-assets into multiple different types of crypto-assets without a reasonable business or investment purpose, or converting crypto-assets into fiat currency under unfavorable pricing conditions while accepting losses or transaction fees that are unusually high compared with the conditions of the blockchain network at the time of the transaction.

(5) Multiple accounts or wallet addresses with no apparent connection transferring crypto-assets to the same wallet address, or one account successively transferring crypto-assets of equivalent value to multiple different wallet addresses within a short period.

(6) Conducting transactions involving crypto-assets with enhanced anonymity features, using transaction mixing services, or repeatedly converting crypto-assets recorded on a public and transparent distributed ledger into crypto-assets with enhanced anonymity features, thereby disrupting transaction traceability.

(7) Conducting crypto-asset transactions from wallet addresses or crypto-asset service providers identified or warned by competent authorities as being connected with darknet websites trading in illegal goods or services; extortion, fraud, or illegal online gambling; stolen assets; or other criminal activities.

(8) A customer accesses the platform of a crypto-asset service provider through a tool that enables the concealment of the customer’s identity or Internet Protocol address; or multiple crypto-asset accounts registered under different identities show signs of being operated from the same device or Internet Protocol address.

(9) A customer refuses or delays the provision of customer identification documents or information on the source of assets; provides documents showing signs of forgery or inconsistent information; or cannot reasonably explain the purpose of a transaction, the source of assets, or the relationship with the counterparty.

(10) A customer’s crypto-asset wallet address appears in public information sources in connection with illegal activities, or deposited or withdrawn crypto-assets have a transaction history involving cross-chain bridges assessed as high-risk.

(11) A customer shows signs of allowing another person to use their name, being exploited as an intermediary, or being a victim of fraud. This includes cases in which a customer has limited knowledge of crypto-assets but conducts transactions at a frequency and value inconsistent with their profile and characteristics, or conducts transactions under a third party’s instructions.

(12) A customer’s assets originate primarily from initial crypto-asset offerings that lack transparency or show signs of fraud, or the crypto-assets originate directly from a transaction mixing service or a crypto-asset service provider with inadequate anti-money laundering controls.

(13) Conducting transactions with a crypto-asset service provider whose valid legal status cannot be established, including a provider operating in a country or territory that does not have a legal framework for crypto-assets according to the crypto-asset-related lists published by the Financial Action Task Force; is not included in the list of entities licensed by the competent authority of the host country; or has been warned, suspended, or had its operating license revoked by a competent authority. 

(14) Notes accompanying a crypto-asset transaction show signs of being connected with illegal activities; or a customer frequently changes important identification and authentication information in a manner inconsistent with normal usage, conducts transactions from an Internet Protocol address inconsistent with the information previously provided by the customer, or repeatedly opens crypto-asset accounts from the same Internet Protocol address. 

(15) A customer conducts transactions through a crypto-asset service provider headquartered or operating in a country or territory included in lists published by the Financial Action Task Force for the prevention of money laundering, terrorist financing, and proliferation financing; in a country or territory that has not promulgated, or has promulgated an incomplete, legal framework for the prevention of money laundering, terrorist financing, and proliferation financing in relation to crypto-assets; or through a crypto-asset service provider included in crypto-asset-related lists published by the Financial Action Task Force.

LUẬT

SỬA ĐỔI, BỔ SUNG MỘT SỐ ĐIỀU CỦA LUẬT NGÂN HÀNG NHÀ NƯỚC VIỆT NAM, LUẬT PHÒNG, CHỐNG RỬA TIỀN VÀ LUẬT CÁC TỔ CHỨC TÍN DỤNG

Căn cứ Hiến pháp nước Cộng hòa xã hội chủ nghĩa Việt Nam đã được sửa đổi, bổ sung một số điều theo Nghị quyết số 203/2025/QH15;

Quốc hội ban hành Luật sửa đổi, bổ sung một số điều của Luật Ngân hàng Nhà nước Việt Nam số 46/2010/QH12 đã được sửa đổi, bổ sung một số điều theo Luật số 14/2022/QH15; Luật Phòng, chống rửa tiền số 14/2022/QH15, Luật Các tổ chức tín dụng số 32/2024/QH15 đã được sửa đổi, bổ sung một số điều theo Luật số 43/2024/QH15, Luật số 96/2025/QH15 và Luật số 142/2025/QH15.

Điều 1. Sửa đổi, bổ sung một số điều của Luật Ngân hàng Nhà nước Việt Nam

1. Sửa đổi, bổ sung khoản 15 Điều 4 như sau:

“15. Chủ trì lập, theo dõi, dự báo và phân tích kết quả thực hiện cán cân thanh toán quốc tế của Việt Nam; chủ trì lập, theo dõi và phân tích trạng thái đầu tư quốc tế của Việt Nam.”.

2. Sửa đổi, bổ sung khoản 3 Điều 27 như sau:

“3. Ngân hàng Nhà nước mở tài khoản cho Kho bạc Nhà nước. Ở tỉnh, thành phố không có trụ sở của Ngân hàng Nhà nước chi nhánh, việc thực hiện các giao dịch cho Kho bạc Nhà nước theo quy định của Thống đốc Ngân hàng Nhà nước.”.

3. Bổ sung Điều 31a vào sau Điều 31 như sau:

“Điều 31a. Nguyên tắc sử dụng ngoại hối trên lãnh thổ Việt Nam

Trên lãnh thổ Việt Nam, mọi giao dịch, thanh toán, niêm yết, quảng cáo, báo giá, định giá, ghi giá trong hợp đồng, thỏa thuận và các hình thức tương tự khác không được thực hiện bằng ngoại hối, trừ trường hợp được phép theo quy định của luật, nghị quyết của Quốc hội hoặc theo quy định của Thống đốc Ngân hàng Nhà nước.”.

4. Sửa đổi, bổ sung một số khoản của Điều 35 như sau:

a) Sửa đổi, bổ sung khoản 1 như sau:

“1. Tổ chức, cá nhân có trách nhiệm cung cấp thông tin cho Ngân hàng Nhà nước để xây dựng Bảng cân đối tiền tệ, lập cán cân thanh toán quốc tế của Việt Nam, lập trạng thái đầu tư quốc tế của Việt Nam và đánh giá, dự báo xu hướng phát triển của thị trường tiền tệ nhằm phục vụ việc xây dựng và điều hành chính sách tiền tệ quốc gia, công tác quản lý ngoại hối.”;

b) Sửa đổi, bổ sung khoản 3 như sau:

“3. Chính phủ quy định đối tượng, phạm vi, loại thông tin, thời hạn, kỳ hạn và phương thức cung cấp thông tin phục vụ việc lập cán cân thanh toán quốc tế và trạng thái đầu tư quốc tế của Việt Nam quy định tại khoản 1 Điều này. Thống đốc Ngân hàng Nhà nước quy định đối tượng, quy trình, phạm vi, loại thông tin, thời hạn, kỳ hạn và phương thức cung cấp thông tin quy định tại khoản 2 Điều này.”.

5. Sửa đổi, bổ sung Điều 42 như sau:

“Điều 42. Vốn pháp định

Vốn pháp định của Ngân hàng Nhà nước do ngân sách nhà nước cấp. Mức vốn pháp định của Ngân hàng Nhà nước do Chính phủ quy định.”.

6. Sửa đổi, bổ sung Điều 43 như sau:

“Điều 43. Thu, chi tài chính

Thu, chi tài chính của Ngân hàng Nhà nước phản ánh hoạt động thực hiện các chức năng của Ngân hàng Nhà nước theo quy định của Luật này. Chính phủ quy định nội dung, nguyên tắc thu, chi tài chính; cơ chế trích lập dự phòng rủi ro; cơ chế tự chủ, tự chịu trách nhiệm về quản lý, sử dụng kinh phí quản lý hành chính và việc xác định kết quả tài chính phù hợp với hoạt động của Ngân hàng Nhà nước.”.

7. Sửa đổi, bổ sung Điều 44 như sau:

“Điều 44. Kết quả tài chính

Kết quả tài chính hằng năm của Ngân hàng Nhà nước được xác định bằng nguồn thu về hoạt động nghiệp vụ ngân hàng và các nguồn thu khác, sau khi trừ các khoản chi phí (bao gồm cả chi hoạt động nghiệp vụ và chi bộ máy quản lý) và khoản dự phòng rủi ro.”.

8. Sửa đổi, bổ sung Điều 45 như sau:

“Điều 45. Các quỹ

1. Ngân hàng Nhà nước được trích từ kết quả tài chính hằng năm để lập các quỹ sau đây:

a) Quỹ thực hiện chính sách tiền tệ quốc gia;

b) Quỹ dự phòng tài chính;

c) Quỹ khác theo quy định của Chính phủ.

2. Mức trích lập và việc sử dụng các quỹ tại khoản 1 Điều này thực hiện theo quy định của Chính phủ.

3. Kết quả tài chính của Ngân hàng Nhà nước sau khi trích lập các quỹ tại khoản 1 Điều này và bù đắp chênh lệch chi lớn hơn thu các năm trước (nếu có) được nộp vào ngân sách nhà nước.”.

9. Sửa đổi, bổ sung Điều 57 như sau:

“Điều 57. Quyền, nghĩa vụ của đối tượng giám sát ngân hàng

1. Cung cấp kịp thời, đầy đủ, chính xác thông tin, tài liệu theo yêu cầu của Ngân hàng Nhà nước và chịu trách nhiệm trước pháp luật về tính chính xác, trung thực của thông tin, tài liệu đã cung cấp.

2. Báo cáo, giải trình đối với kiến nghị, khuyến nghị, cảnh báo rủi ro và an toàn hoạt động của Ngân hàng Nhà nước.

3. Thực hiện khuyến nghị, cảnh báo rủi ro và an toàn hoạt động của Ngân hàng Nhà nước.”.

10. Sửa đổi, bổ sung một số điểm, khoản của Điều 59 như sau:

a) Sửa đổi, bổ sung điểm g khoản 2 như sau:

“g) Áp dụng một hoặc một số tỷ lệ bảo đảm an toàn cao hơn mức quy định.”;

b) Bổ sung khoản 3 vào sau khoản 2 như sau:

“3. Căn cứ tính chất, mức độ rủi ro của từng đối tượng thanh tra, giám sát ngân hàng, Ngân hàng Nhà nước xem xét, quyết định áp dụng một hoặc một số tỷ lệ bảo đảm an toàn khác so với mức quy định để thực hiện yêu cầu phát triển kinh tế, xã hội. Đối tượng thanh tra, giám sát ngân hàng phải xây dựng và thực hiện lộ trình để bảo đảm tuân thủ mức quy định.

Ngân hàng Nhà nước có trách nhiệm thanh tra, giám sát các đối tượng thanh tra, giám sát quy định tại khoản này theo quy định của pháp luật.”.

11. Sửa đổi, bổ sung Điều 62 như sau:

“Điều 62. Kiểm soát nội bộ và kiểm toán nội bộ

Ngân hàng Nhà nước thực hiện kiểm soát nội bộ và kiểm toán nội bộ theo quy định của Thống đốc Ngân hàng Nhà nước.”.

12. Bãi bỏ khoản 3 Điều 7, khoản 2 Điều 22, khoản 5 Điều 32 và Điều 49.

Điều 2. Sửa đổi, bổ sung một số điều của Luật Phòng, chống rửa tiền

1. Sửa đổi, bổ sung khoản 7 Điều 3 như sau:

“7. Chủ sở hữu hưởng lợi là một hoặc nhiều cá nhân trực tiếp hoặc gián tiếp có quyền sở hữu hoặc quyền kiểm soát cuối cùng trên thực tế đối với khách hàng, bao gồm cả thỏa thuận pháp lý hoặc cá nhân mà khách hàng thực hiện giao dịch thay mặt họ.”.

2. Bổ sung điểm n vào sau điểm m khoản 1 Điều 4 như sau:

“n) Dịch vụ tài sản mã hóa.”.

3. Sửa đổi, bổ sung điểm c khoản 2 Điều 9 như sau:

“c) Khi nghi ngờ khách hàng hoặc giao dịch của khách hàng hoặc các bên liên quan đến giao dịch, kể cả trường hợp giao dịch chưa hoàn thành, có liên quan đến rửa tiền;”.

4. Sửa đổi, bổ sung một số điểm, khoản của Điều 10 như sau:

a) Sửa đổi, bổ sung điểm a khoản 1 như sau:

“a) Đối với khách hàng cá nhân có một quốc tịch là người Việt Nam và người gốc Việt Nam chưa xác định được quốc tịch: họ và tên; ngày, tháng, năm sinh; quốc tịch (nếu có); nghề nghiệp, chức vụ; số điện thoại liên lạc; số định danh cá nhân hoặc số Hộ chiếu, ngày cấp, nơi cấp; địa chỉ đăng ký thường trú và nơi ở hiện tại khác (nếu có);”;

b) Sửa đổi, bổ sung điểm e khoản 1 như sau:

“e) Đối với khách hàng tổ chức: tên giao dịch đầy đủ; tên viết tắt (nếu có); hình thức pháp lý, địa chỉ trụ sở chính và địa điểm kinh doanh (nếu khác với địa chỉ trụ sở chính); số giấy phép thành lập, mã số doanh nghiệp hoặc mã số thuế; số định danh của tổ chức (nếu có); số điện thoại liên lạc; số fax, trang thông tin điện tử (nếu có); lĩnh vực hoạt động và kinh doanh; thông tin về người thành lập, người đại diện theo pháp luật, người đại diện theo ủy quyền (nếu có), Giám đốc hoặc Tổng giám đốc, Kế toán trưởng hoặc người phụ trách kế toán của tổ chức bao gồm các thông tin tương ứng quy định tại điểm a, b, c, d hoặc đ khoản này và các thông tin tại điểm này đối với trường hợp người thành lập là tổ chức;”;

c) Bổ sung khoản 4 và khoản 5 vào sau khoản 3 như sau:

“4. Ngoài các thông tin nhận biết khách hàng quy định tại các khoản 1, 2 và 3 Điều này, đối tượng báo cáo thu thập các thông tin khác trong một số trường hợp cụ thể sau đây:

a) Khi khách hàng tham gia thỏa thuận pháp lý dưới hình thức ủy thác, đối tượng báo cáo thu thập các thông tin bao gồm: tên giao dịch đầy đủ; tên viết tắt (nếu có) đối với tổ chức nhận ủy thác hoặc họ và tên người nhận ủy thác đối với cá nhân nhận ủy thác; địa chỉ trụ sở chính đối với tổ chức nhận ủy thác, địa chỉ tại quốc gia mà cá nhân nhận ủy thác mang quốc tịch; thông tin đăng ký hoặc cấp phép do cơ quan có thẩm quyền nước ngoài cấp đối với bên nhận ủy thác (nếu có); cơ cấu của ủy thác; thông tin về tên, số định danh của bên ủy thác, người thụ hưởng hoặc nhóm người thụ hưởng, người thụ hưởng tiềm năng, người giám sát (nếu có), bất kỳ cá nhân nào có quyền kiểm soát cuối cùng đối với ủy thác và người có liên quan khác của ủy thác (nếu có).

Khi khách hàng tham gia thỏa thuận pháp lý dưới hình thức khác có bản chất tương tự ủy thác, đối tượng báo cáo thu thập thông tin đối với tất cả các bên giữ vai trò tương đương với hình thức ủy thác nêu trên;

b) Đối tượng báo cáo xác định và thu thập thông tin về người thụ hưởng của hợp đồng bảo hiểm nhân thọ ngay khi người thụ hưởng được chỉ định bởi bên mua bảo hiểm hoặc người được bảo hiểm.

Trong trường hợp người thụ hưởng là cá nhân hoặc pháp nhân hoặc thỏa thuận pháp lý, thông tin thu thập bao gồm họ và tên hoặc tên giao dịch đầy đủ của người thụ hưởng.

Trong trường hợp bảo hiểm nhóm, thông tin thu thập bao gồm giấy tờ tùy thân, tài liệu chứng minh quan hệ với người được bảo hiểm của người thụ hưởng và các tài liệu cần thiết khác cho phép đối tượng báo cáo có thể xác định được người thụ hưởng ở thời điểm chi trả.

Việc xác minh thông tin về người thụ hưởng phải được thực hiện tại thời điểm chi trả.

5. Trường hợp đối tượng báo cáo có thể kết nối, khai thác được thông tin quy định tại Điều này trong cơ sở dữ liệu quốc gia, cơ sở dữ liệu chuyên ngành theo quy định của pháp luật thì không yêu cầu khách hàng cung cấp thông tin đã có trong cơ sở dữ liệu.”.

5. Sửa đổi, bổ sung khoản 1 Điều 12 như sau:

“1. Đối tượng báo cáo sử dụng các tài liệu, dữ liệu để xác minh thông tin nhận biết khách hàng, bao gồm:

a) Đối với khách hàng cá nhân: Căn cước, Căn cước điện tử, Căn cước công dân hoặc Hộ chiếu còn hiệu lực; giấy tờ khác do cơ quan có thẩm quyền cấp, văn bản chứng minh tư cách đại diện (nếu có);

b) Đối với khách hàng tổ chức: giấy phép thành lập, quyết định thành lập hoặc Giấy chứng nhận đăng ký doanh nghiệp còn hiệu lực; tài khoản định danh điện tử, quyết định về tổ chức lại, giải thể, phá sản, chấm dứt hoạt động của tổ chức (nếu có); điều lệ của tổ chức (nếu có); quyết định bổ nhiệm hoặc hợp đồng thuê Giám đốc hoặc Tổng giám đốc, Kế toán trưởng hoặc người phụ trách kế toán; các tài liệu, dữ liệu liên quan đến người thành lập, người đại diện theo pháp luật, người đại diện theo ủy quyền (nếu có) của tổ chức, chủ sở hữu hưởng lợi;

c) Đối với khách hàng tham gia thỏa thuận pháp lý: văn bản xác lập thỏa thuận pháp lý; tài liệu đăng ký thỏa thuận pháp lý (nếu có) và các tài liệu khác có liên quan đến việc xác lập thỏa thuận pháp lý (nếu có);

d) Các tài liệu, dữ liệu và nguồn thông tin đáng tin cậy khác có liên quan.”.

6. Sửa đổi, bổ sung khoản 1 Điều 19 như sau:

“1. Đối tượng báo cáo phải ban hành và thực hiện đầy đủ các chính sách, quy trình để nhận diện và đánh giá mức độ rủi ro về rửa tiền trước khi cung cấp sản phẩm, dịch vụ mới; sản phẩm, dịch vụ hiện có áp dụng công nghệ đổi mới nhằm mục đích sau đây:

a) Phát hiện, ngăn chặn việc sử dụng sản phẩm, dịch vụ mới; sản phẩm, dịch vụ hiện có áp dụng công nghệ đổi mới để rửa tiền;

b) Quản lý rủi ro về rửa tiền khi thiết lập giao dịch với khách hàng sử dụng sản phẩm, dịch vụ mới; sản phẩm, dịch vụ hiện có áp dụng công nghệ đổi mới.”.

7. Sửa đổi, bổ sung Điều 22 như sau:

“Điều 22. Minh bạch thông tin của thỏa thuận pháp lý

1. Bên nhận ủy thác trong thỏa thuận pháp lý dưới hình thức ủy thác có trách nhiệm thu thập, cập nhật các thông tin nhận dạng về bên ủy thác, bên nhận ủy thác, người thụ hưởng hoặc nhóm người thụ hưởng, người thụ hưởng tiềm năng, người giám sát (nếu có), bất kỳ cá nhân nào có quyền kiểm soát cuối cùng đối với ủy thác (nếu có).

Trường hợp các bên có liên quan trong thỏa thuận pháp lý nêu trên là pháp nhân hoặc thỏa thuận pháp lý, thông tin thu thập, cập nhật bao gồm các thông tin cơ bản và thông tin về chủ sở hữu hưởng lợi của pháp nhân hoặc thỏa thuận pháp lý đó.

2. Bên giữ vai trò tương đương với vai trò bên nhận ủy thác trong thỏa thuận pháp lý dưới hình thức khác có bản chất tương tự ủy thác có trách nhiệm thu thập, cập nhật các thông tin nhận dạng đối với các bên giữ vai trò tương đương như đối với hình thức ủy thác quy định tại khoản 1 Điều này.

Trường hợp các bên có liên quan trong thỏa thuận pháp lý dưới hình thức khác có bản chất tương tự ủy thác là pháp nhân hoặc thỏa thuận pháp lý, thông tin thu thập, cập nhật bao gồm các thông tin cơ bản và thông tin về chủ sở hữu hưởng lợi của pháp nhân hoặc thỏa thuận pháp lý đó.

3. Ngoài các thông tin thu thập tại khoản 1 và khoản 2 Điều này, bên nhận ủy thác hoặc bên giữ vai trò tương đương với vai trò bên nhận ủy thác có trách nhiệm thu thập thông tin cơ bản về các đại lý hoặc nhà cung cấp dịch vụ được quản lý khác của thỏa thuận pháp lý (nếu có).

4. Các thông tin quy định tại các khoản 1, 2 và 3 Điều này phải được lưu trữ ít nhất 05 năm kể từ thời điểm bên nhận ủy thác hoặc bên giữ vai trò tương đương với vai trò bên nhận ủy thác ngừng tham gia vào hoạt động thỏa thuận pháp lý.

5. Ngân hàng Nhà nước Việt Nam, các cơ quan nhà nước có thẩm quyền trong quá trình thực hiện chức năng, nhiệm vụ quản lý nhà nước về phòng, chống rửa tiền, thực hiện điều tra, truy tố, xét xử có quyền yêu cầu tổ chức, cá nhân cung cấp thông tin quy định tại các khoản 1, 2 và 3 Điều này.”.

8. Sửa đổi, bổ sung Điều 26 như sau:

“Điều 26. Báo cáo giao dịch đáng ngờ

1. Đối tượng báo cáo có trách nhiệm báo cáo giao dịch đáng ngờ cho Ngân hàng Nhà nước Việt Nam khi có cơ sở hợp lý để nghi ngờ tài sản trong giao dịch là tài sản do phạm tội mà có.

Việc xác định cơ sở hợp lý để nghi ngờ được thực hiện dựa trên phân tích, đánh giá thông tin khách hàng và giao dịch, bao gồm dấu hiệu đáng ngờ quy định tại các điều 27, 28, 29, 30, 31, 32, 33 và 33a của Luật này và các dấu hiệu khác do đối tượng báo cáo xác định.

2. Khi phát hiện dấu hiệu đáng ngờ ngoài các dấu hiệu quy định tại các điều 27, 28, 29, 30, 31, 32, 33 và 33a của Luật này, đối tượng báo cáo, các Bộ, ngành có liên quan thông báo cho Ngân hàng Nhà nước Việt Nam.

3. Căn cứ yêu cầu của công tác phòng, chống rửa tiền trong từng thời kỳ, Ngân hàng Nhà nước Việt Nam trình Chính phủ bổ sung dấu hiệu đáng ngờ theo các ngành, lĩnh vực ngoài các dấu hiệu quy định tại các điều 27, 28, 29, 30, 31, 32, 33 và 33a của Luật này.

4. Thống đốc Ngân hàng Nhà nước Việt Nam quy định chế độ báo cáo về giao dịch đáng ngờ.”.

9. Bổ sung Điều 33a vào sau Điều 33 như sau:

“Điều 33a. Dấu hiệu đáng ngờ trong lĩnh vực tài sản mã hóa

1. Chia nhỏ giao dịch tài sản mã hóa thành nhiều khoản có giá trị thấp hơn mức quy định về nhận biết khách hàng hoặc về báo cáo theo quy định hoặc thực hiện nhiều giao dịch tài sản mã hóa giá trị lớn trong thời gian ngắn mà không có mục đích kinh doanh rõ ràng.

2. Phát sinh một trong các trường hợp sau đây mà không phù hợp với hồ sơ và đặc điểm của khách hàng: nạp, giao dịch và rút tài sản mã hóa liên tiếp trong thời gian rất ngắn ngay sau khi thiết lập quan hệ khách hàng, nạp lần đầu với giá trị lớn ngay sau khi mở tài khoản tài sản mã hóa hoặc tài khoản tài sản mã hóa không hoạt động trong thời gian dài phát sinh giao dịch có giá trị lớn hoặc tần suất bất thường.

3. Chuyển ngay tài sản mã hóa tới nhiều tổ chức cung cấp dịch vụ tài sản mã hóa tại quốc gia, vùng lãnh thổ nằm trong danh sách do Lực lượng đặc nhiệm tài chính công bố nhằm chống rửa tiền, tài trợ khủng bố, tài trợ phổ biến vũ khí hủy diệt hàng loạt hoặc tại quốc gia, vùng lãnh thổ chưa ban hành hoặc ban hành chưa đầy đủ khung pháp lý về phòng, chống rửa tiền, tài trợ khủng bố, tài trợ phổ biến vũ khí hủy diệt hàng loạt đối với tài sản mã hóa và tổ chức cung cấp dịch vụ tài sản mã hóa nằm trong danh sách do Lực lượng đặc nhiệm tài chính công bố liên quan đến tài sản mã hóa trong khi không có mối liên hệ hợp lý với nơi cư trú hoặc địa điểm hoạt động của khách hàng.

4. Chuyển đổi tài sản mã hóa sang nhiều loại tài sản mã hóa khác nhau mà không có mục đích kinh doanh, đầu tư hợp lý hoặc chuyển đổi tài sản mã hóa sang tiền pháp định trong điều kiện bất lợi về giá, chấp nhận thua lỗ hoặc chịu mức phí giao dịch cao bất thường so với tình trạng mạng lưới chuỗi khối tại thời điểm giao dịch.

5. Nhiều tài khoản hoặc nhiều địa chỉ ví không có mối liên hệ rõ ràng cùng chuyển tài sản mã hóa về cùng một địa chỉ ví hoặc một tài khoản chuyển tài sản mã hóa tới nhiều địa chỉ ví khác nhau với giá trị tương đương nhau liên tiếp trong thời gian ngắn.

6. Thực hiện giao dịch tài sản mã hóa có tính năng tăng cường ẩn danh, dịch vụ trộn giao dịch hoặc thực hiện nhiều lần chuyển đổi từ tài sản mã hóa trên sổ cái phân tán công khai, minh bạch sang tài sản mã hóa có tính năng tăng cường ẩn danh, làm gián đoạn khả năng truy vết giao dịch.

7. Giao dịch tài sản mã hóa từ các địa chỉ ví hoặc các tổ chức cung cấp dịch vụ tài sản mã hóa đã được cơ quan có thẩm quyền xác định hoặc cảnh báo có liên quan đến trang mạng ẩn danh giao dịch hàng hóa, dịch vụ bất hợp pháp, hoạt động tống tiền, lừa đảo, cờ bạc trực tuyến bất hợp pháp, tài sản bị đánh cắp hoặc hoạt động phạm tội khác.

8. Khách hàng truy cập nền tảng của tổ chức cung cấp dịch vụ tài sản mã hóa qua công cụ cho phép ẩn danh danh tính hoặc ẩn danh địa chỉ giao thức Internet hoặc nhiều tài khoản tài sản mã hóa đứng tên các danh tính khác nhau nhưng có dấu hiệu được vận hành từ cùng một thiết bị hoặc địa chỉ giao thức Internet.

9. Khách hàng từ chối, trì hoãn cung cấp tài liệu nhận biết khách hàng hoặc thông tin về nguồn gốc tài sản; cung cấp tài liệu có dấu hiệu giả mạo hoặc thông tin không nhất quán hoặc không thể giải thích hợp lý về mục đích giao dịch, nguồn gốc tài sản và mối quan hệ với bên đối tác.

10. Địa chỉ ví tài sản mã hóa của khách hàng xuất hiện trên các nguồn thông tin công khai có liên quan đến hoạt động bất hợp pháp hoặc tài sản mã hóa nạp, rút có lịch sử qua các cầu nối liên chuỗi được đánh giá có rủi ro cao.

11. Khách hàng có dấu hiệu đứng tên hộ, bị lợi dụng làm trung gian hoặc là nạn nhân của lừa đảo, bao gồm cả trường hợp khách hàng có hiểu biết hạn chế về tài sản mã hóa nhưng thực hiện giao dịch với tần suất và giá trị lớn không tương xứng với hồ sơ và đặc điểm của khách hàng hoặc thực hiện giao dịch theo chỉ dẫn của bên thứ ba.

12. Nguồn tài sản của khách hàng chủ yếu hình thành từ các đợt phát hành tài sản mã hóa lần đầu thiếu minh bạch hoặc có dấu hiệu gian lận hoặc tài sản mã hóa của khách hàng có nguồn gốc trực tiếp từ các dịch vụ trộn giao dịch hoặc từ các tổ chức cung cấp dịch vụ tài sản mã hóa thiếu kiểm soát về phòng, chống rửa tiền.

13. Giao dịch với tổ chức cung cấp dịch vụ tài sản mã hóa không xác định được tư cách pháp lý hợp lệ, bao gồm trường hợp hoạt động tại quốc gia, vùng lãnh thổ chưa có khung pháp lý về tài sản mã hóa theo danh sách do Lực lượng đặc nhiệm tài chính công bố liên quan đến tài sản mã hóa hoặc không có trong danh sách được cấp phép của cơ quan quản lý có thẩm quyền nước sở tại hoặc đã bị cơ quan có thẩm quyền cảnh báo, đình chỉ hoặc thu hồi giấy phép hoạt động.

14. Nội dung ghi chú kèm theo giao dịch tài sản mã hóa có dấu hiệu liên quan đến hoạt động bất hợp pháp hoặc khách hàng thường xuyên thay đổi các thông tin nhận dạng và xác thực quan trọng không phù hợp với hành vi sử dụng thông thường hoặc thực hiện giao dịch từ địa chỉ giao thức Internet không nhất quán với thông tin khách hàng đã cung cấp hoặc nhiều lần mở tài khoản tài sản mã hóa từ cùng một địa chỉ giao thức Internet.

15. Khách hàng thực hiện giao dịch thông qua tổ chức cung cấp dịch vụ tài sản mã hóa có trụ sở hoặc hoạt động tại quốc gia, vùng lãnh thổ nằm trong danh sách do Lực lượng đặc nhiệm tài chính công bố nhằm chống rửa tiền, tài trợ khủng bố, tài trợ phổ biến vũ khí hủy diệt hàng loạt hoặc tại quốc gia, vùng lãnh thổ chưa ban hành hoặc ban hành chưa đầy đủ khung pháp lý về phòng, chống rửa tiền, tài trợ khủng bố, tài trợ phổ biến vũ khí hủy diệt hàng loạt đối với tài sản mã hóa và tổ chức cung cấp dịch vụ tài sản mã hóa nằm trong danh sách do Lực lượng đặc nhiệm tài chính công bố liên quan đến tài sản mã hóa.”.

10. Sửa đổi, bổ sung khoản 1 Điều 38 như sau:

“1. Đối tượng báo cáo có trách nhiệm lưu trữ tất cả hồ sơ của khách hàng và tất cả các giao dịch dưới dạng bản giấy hoặc dữ liệu điện tử theo quy định của pháp luật, trong đó bao gồm:

a) Thông tin, hồ sơ, tài liệu nhận biết khách hàng;

b) Kết quả phân tích, đánh giá đối với khách hàng, giao dịch phục vụ mục đích phòng, chống rửa tiền;

c) Thông tin, hồ sơ, tài liệu khác liên quan đến khách hàng, giao dịch;

d) Báo cáo giao dịch quy định tại các điều 25, 26 và 34 của Luật này và thông tin, hồ sơ, tài liệu kèm theo giao dịch báo cáo.”.

11. Bổ sung khoản 3 và khoản 4 vào sau khoản 2 Điều 39 như sau:

“3. Đối tượng báo cáo, cơ quan, tổ chức, cá nhân thực hiện nghĩa vụ báo cáo cho cơ quan có thẩm quyền theo quy định của Luật này một cách trung thực thì không phải chịu trách nhiệm về việc báo cáo.

4. Người báo cáo, tố cáo, cung cấp thông tin phục vụ công tác phòng, chống rửa tiền được áp dụng các biện pháp bảo vệ như bảo vệ người tố cáo theo quy định của pháp luật về tố cáo.”.

12. Bổ sung Điều 48a vào sau Điều 48 như sau:

“Điều 48a. Trách nhiệm của Thanh tra Chính phủ

1. Thanh tra hoạt động phòng, chống rửa tiền của đối tượng báo cáo thuộc lĩnh vực quản lý nhà nước của các Bộ không có thanh tra Bộ, trừ trách nhiệm thanh tra của Bộ Tài chính quy định tại khoản 2 Điều 51 của Luật này. Việc thanh tra hoạt động phòng, chống rửa tiền phải căn cứ vào kết quả đánh giá rủi ro quốc gia về rửa tiền, kết quả đánh giá rủi ro về rửa tiền của đối tượng báo cáo.

2. Phối hợp với Ngân hàng Nhà nước Việt Nam và các Bộ, ngành có liên quan định kỳ thực hiện đánh giá, cập nhật rủi ro về rửa tiền quy định tại khoản 1 và khoản 2 Điều 7 của Luật này.”.

13. Sửa đổi, bổ sung Điều 51 như sau:

“Điều 51. Trách nhiệm của Bộ Tài chính

1. Chủ trì, phối hợp với các cơ quan có liên quan triển khai các biện pháp phòng, chống rửa tiền trong lĩnh vực kinh doanh bảo hiểm nhân thọ, chứng khoán, tài sản mã hóa, dịch vụ kế toán, trò chơi điện tử có thưởng, casino, xổ số, đặt cược và dịch vụ khác thuộc phạm vi quản lý nhà nước của Bộ Tài chính.

2. Thanh tra hoạt động phòng, chống rửa tiền đối với đối tượng báo cáo thuộc lĩnh vực tài sản mã hóa khi được Chính phủ giao, lĩnh vực chứng khoán. Kiểm tra, giám sát hoạt động phòng, chống rửa tiền đối với đối tượng báo cáo thuộc lĩnh vực quy định tại khoản 1 Điều này. Việc thanh tra, kiểm tra, giám sát hoạt động phòng, chống rửa tiền phải căn cứ vào kết quả đánh giá rủi ro quốc gia về rửa tiền, kết quả đánh giá rủi ro về rửa tiền của đối tượng báo cáo.

3. Phối hợp với Ngân hàng Nhà nước Việt Nam thực hiện đánh giá rủi ro quốc gia về rửa tiền quy định tại khoản 1 Điều 7 của Luật này; thực hiện đánh giá, cập nhật rủi ro về rửa tiền quy định tại khoản 2 Điều 7 của Luật này đối với lĩnh vực quy định tại khoản 1 Điều này.”.

14. Sửa đổi, bổ sung Điều 52 như sau:

“Điều 52. Trách nhiệm của Bộ Xây dựng

1. Chủ trì, phối hợp với các cơ quan có liên quan triển khai các biện pháp phòng, chống rửa tiền trong lĩnh vực kinh doanh bất động sản, trừ việc cho thuê, cho thuê lại bất động sản và dịch vụ tư vấn bất động sản.

2. Kiểm tra, giám sát hoạt động phòng, chống rửa tiền đối với đối tượng báo cáo thuộc lĩnh vực quy định tại khoản 1 Điều này, trong đó có căn cứ vào kết quả đánh giá rủi ro quốc gia về rửa tiền, kết quả đánh giá rủi ro về rửa tiền của đối tượng báo cáo đó.

3. Phối hợp với Ngân hàng Nhà nước Việt Nam thực hiện đánh giá rủi ro quốc gia về rửa tiền quy định tại khoản 1 Điều 7 của Luật này; thực hiện đánh giá, cập nhật rủi ro về rửa tiền quy định tại khoản 2 Điều 7 của Luật này đối với lĩnh vực quy định tại khoản 1 Điều này.”.

15. Sửa đổi, bổ sung Điều 53 như sau:

“Điều 53. Trách nhiệm của Bộ Tư pháp

1. Chủ trì, phối hợp với các cơ quan có liên quan triển khai các biện pháp phòng, chống rửa tiền trong lĩnh vực công chứng, hành nghề luật sư.

2. Phối hợp với Ngân hàng Nhà nước Việt Nam thực hiện phổ biến, giáo dục pháp luật về phòng, chống rửa tiền.

3. Kiểm tra, giám sát hoạt động phòng, chống rửa tiền đối với các đối tượng báo cáo thuộc lĩnh vực quy định tại khoản 1 Điều này, trong đó có căn cứ vào kết quả đánh giá rủi ro quốc gia về rửa tiền, kết quả đánh giá rủi ro về rửa tiền của đối tượng báo cáo đó.

4. Phối hợp với Ngân hàng Nhà nước Việt Nam thực hiện đánh giá rủi ro quốc gia về rửa tiền quy định tại khoản 1 Điều 7 của Luật này; thực hiện đánh giá, cập nhật rủi ro về rửa tiền quy định tại khoản 2 Điều 7 của Luật này đối với lĩnh vực quy định tại khoản 1 Điều này.”.

16. Sửa đổi, bổ sung Điều 54 như sau:

“Điều 54. Trách nhiệm của Bộ Công Thương

1. Chủ trì, phối hợp với các cơ quan có liên quan triển khai các biện pháp phòng, chống rửa tiền trong lĩnh vực kinh doanh kim khí quý, đá quý, trừ hoạt động kinh doanh vàng miếng.

2. Kiểm tra, giám sát hoạt động phòng, chống rửa tiền đối với đối tượng báo cáo thuộc lĩnh vực kinh doanh quy định tại khoản 1 Điều này, trong đó có căn cứ vào kết quả đánh giá rủi ro quốc gia về rửa tiền, kết quả đánh giá rủi ro về rửa tiền của đối tượng báo cáo đó.

3. Phối hợp với Ngân hàng Nhà nước Việt Nam thực hiện đánh giá rủi ro quốc gia về rửa tiền quy định tại khoản 1 Điều 7 của Luật này; thực hiện đánh giá, cập nhật rủi ro về rửa tiền quy định tại khoản 2 Điều 7 của Luật này đối với lĩnh vực quy định tại khoản 1 Điều này.”.

17. Sửa đổi, bổ sung Điều 58 như sau:

“Điều 58. Trách nhiệm của Bộ Văn hóa, Thể thao và Du lịch

1. Chủ trì, phối hợp với các cơ quan có liên quan triển khai các biện pháp phòng, chống rửa tiền trong lĩnh vực kinh doanh trò chơi điện tử trên mạng.

2. Kiểm tra, giám sát hoạt động phòng, chống rửa tiền đối với đối tượng báo cáo thuộc lĩnh vực quy định tại khoản 1 Điều này, trong đó có căn cứ vào kết quả đánh giá rủi ro quốc gia về rửa tiền, kết quả đánh giá rủi ro về rửa tiền của đối tượng báo cáo đó.

3. Phối hợp với Ngân hàng Nhà nước Việt Nam thực hiện đánh giá rủi ro quốc gia về rửa tiền quy định tại khoản 1 Điều 7 của Luật này; thực hiện đánh giá, cập nhật rủi ro về rửa tiền quy định tại khoản 2 Điều 7 của Luật này đối với lĩnh vực quy định tại khoản 1 Điều này.”.

18. Sửa đổi, bổ sung Điều 59 như sau:

“Điều 59. Trách nhiệm của các Bộ, ngành khác

1. Phối hợp với Ngân hàng Nhà nước Việt Nam thực hiện quản lý nhà nướcvề phòng, chống rửa tiền.

2. Kiểm tra, giám sát hoạt động phòng, chống rửa tiền đối với đối tượng báo cáo thuộc phạm vi quản lý nhà nước của mình, trong đó có căn cứ vào kết quả đánh giá rủi ro quốc gia về rửa tiền, kết quả đánh giá rủi ro về rửa tiền của đối tượng báo cáo đó.

3. Phối hợp với Ngân hàng Nhà nước Việt Nam và các Bộ, ngành có liên quan định kỳ thực hiện đánh giá, cập nhật rủi ro về rửa tiền quy định tại khoản 1 và khoản 2 Điều 7 của Luật này.”.

19. Bãi bỏ Điều 55 và khoản 1 Điều 64.

Điều 3. Sửa đổi, bổ sung khoản 2 Điều 114 của Luật Các tổ chức tín dụng

Bổ sung điểm e vào sau điểm đ như sau:

“e) Đại lý quản lý tài sản bảo đảm của trái phiếu doanh nghiệp.”.

Điều 4. Điều khoản thi hành

1. Luật này có hiệu lực thi hành từ ngày 01 tháng 12 năm 2026.

2. Bãi bỏ Điều 22 và khoản 2 Điều 34 của Pháp lệnh Ngoại hối số 28/2005/PL-UBTVQH11 của Ủy ban Thường vụ Quốc hội đã được sửa đổi, bổ sung một số điều theo Pháp lệnh số 06/2013/UBTVQH13.

Luật này được Quốc hội nước Cộng hòa xã hội chủ nghĩa Việt Nam khóa XVI, Kỳ họp không thường lệ thứ Nhất thông qua ngày 24 tháng 8 năm 2026.

PROVIDING AMENDMENTS TO LAW ON THE STATE BANK OF VIET NAM, THE LAW ON ANTI-MONEY LAUNDERING, AND THE LAW ON CREDIT INSTITUTIONS

Pursuant to the Constitution of the Socialist Republic of Viet Nam, as amended by the Resolution No. 203/2025/QH15;

The National Assembly of Viet Nam hereby promulgates the Law providing amendments to the Law on the State Bank of Viet Nam No. 46/2010/QH12, as amended by the Law No. 14/2022/QH15; the Law on Anti-Money Laundering No. 14/2022/QH15; and the Law on Credit Institutions No. 32/2024/QH15, as amended by the Law No. 43/2024/QH15, the Law No. 96/2025/QH15, and the Law No. 142/2025/QH15.

Article 1. Amendments to Law on the State Bank of Viet Nam

1. Clause 15 Article 4 is amended as follows:

“15. Take the lead in compiling, monitoring, forecasting, and analyzing Viet Nam’s balance of payments; and take the lead in compiling, monitoring, and analyzing Viet Nam’s international investment position.”.

3. Article 31a is added following Article 31 as follows:

“Article 31a. Principles governing the use of foreign exchange within territory of Viet Nam

Within the territory of Viet Nam, foreign exchange shall not be used for transactions, payments, price listings, advertisements, price quotations, pricing, the denomination or stating of prices in contracts or agreements, and other similar activities, except as permitted by law, a resolution of the National Assembly, or regulations issued by the Governor of the State Bank of Viet Nam.”.

4. Some clauses of Article 35 are amended as follows:

a) Clause 1 is amended as follows:

“1. Organizations and individuals shall provide information to the State Bank of Viet Nam for the compilation of the monetary balance sheet, the balance of payments of Viet Nam, and the international investment position of Viet Nam, and for the assessment and forecasting of developments in the monetary market, in support of the formulation and conduct of national monetary policies and foreign exchange management.”;

b) Clause 3 is amended as follows:

“3. The Government shall prescribe the information providers, scope, types of information, deadlines, frequency, and methods for providing information for the compilation of Viet Nam’s balance of payments and international investment position as referred to in Clause 1 of this Article.  The Governor of the State Bank of Viet Nam shall prescribe the information providers, procedures, scope, types of information, deadlines, frequency, and methods for providing information referred to in Clause 2 of this Article.”.

The legal capital of the State Bank of Viet Nam shall be provided by the state budget. The amount of legal capital of the State Bank of Viet Nam shall be prescribed by the Government.”.

6. Article 43 is amended as follows:

“Article 43. Financial revenues and expenditures

The financial revenues and expenditures of the State Bank of Viet Nam shall reflect the exercise of its functions in accordance with this Law. The Government shall prescribe the types of financial revenues and expenditures and the principles governing them; the mechanism for making risk provisions; the mechanism for autonomy and accountability in the management and use of funds for administrative operations; and the determination of financial results in a manner consistent with the operations of the State Bank of Viet Nam.”.

7. Article 44 is amended as follows:

“Article 44. Financial results

The annual financial result of the State Bank of Viet Nam shall be determined by deducting expenses, including expenses for banking operations and the operation of its administrative apparatus, and risk provisions from revenue from banking operations and other sources of revenue.”.

8. Article 45 is amended as follows:

“Article 45. Funds

a) The national monetary policy implementation fund;

b) The financial reserve fund;

c) Other funds as prescribed by the Government.

2. The amounts to be appropriated to the funds specified in Clause 1 of this Article and the use of such funds shall comply with the Government’s regulations.

3. After appropriating required amounts to the funds specified in Clause 1 of this Article and offsetting any excess of expenditures over revenues from previous years, the remaining financial result of the State Bank of Viet Nam shall be remitted to the state budget.”.

9. Article 57 is amended as follows:

“Article 57. Rights and obligations of entities subject o banking supervision

1. Provide, in a timely, complete, and accurate manner, information and documents as requested by the State Bank of Viet Nam, and assume legal responsibility for the accuracy and truthfulness of the information and documents provided.

2. Submit reports and explanations in response to proposals, recommendations, and warnings issued by the State Bank of Viet Nam concerning risks and the safety of their operations.

10. Some points and clauses of Article 59 are amended as follows:

a) Point g clause 2 is amended as follows:

“g) Apply one or more prudential ratios that are more stringent than those prescribed.”;

b) Clause 3 is added following clause 2 as follows:

“3. Based on the nature and level of risk of each entity subject to banking inspection and supervision, the State Bank of Vietnam may determine that one or more prudential ratios be applied at levels different from those prescribed, in order to meet socio-economic development requirements. Entities subject to banking inspection and supervision shall develop and implement a roadmap to ensure compliance with the prescribed levels.

The State Bank of Viet Nam shall inspect and supervise the entities referred to in this Clause in accordance with applicable regulations of law.".

11. Article 62 is amended as follows:

“Article 62. Internal control and internal audit

Article 2. Amendments to Law on Anti-Money Laundering (AML)

1. Clause 7 Article 3 is amended as follows:

“7. Beneficial owner means one or more individuals who ultimately own or control, directly or indirectly, a customer, including a legal arrangement, or an individual on whose behalf the customer conducts a transaction.”.

2. Point n is added following point m clause 1 Article 4 as follows:

“n) Crypto-asset services.”.

3. Point c clause 2 Article 9 is amended as follows:

“c) there is a suspicion that a customer, a customer’s transaction, or a party involved in a transaction is related to money laundering, including where the transaction has not been completed;

b) Point e Clause 1 is amended as follows:

 “e) For an institutional customer: its full transaction name; abbreviated name (if any); legal form; main office address and business location (if different from the main office address); establishment license number, enterprise ID number, or tax identification number; organizational identification number (if any); contact telephone number; fax number and website (if any); fields of operation and business lines; and information on the founder, legal representative, authorized representative (if any), Director or General Director, and Chief Accountant or person in charge of accounting tasks, including the corresponding information specified in points a, b, c, d, or dd of this Clause and, where the founder is an organization, the information specified in this point in respect of that organization;”;

c) Clauses 4 and 5 are added following clause 3 as follows:

“4. In addition to the customer identification information specified in Clauses 1, 2, and 3 of this Article, reporting entities shall collect additional information in the following specific cases:

a) Where a customer is a party to a legal arrangement in the form of a trust, the reporting entity shall collect the following information: the full transaction name and abbreviated name (if any), where the trustee is an organization, or the full name of the trustee, where the trustee is an individual; the main office address of the trustee, where the trustee is an organization, or the address of the trustee in the country of which the trustee is a national, where the trustee is an individual; registration or licensing information approved by a foreign competent authority in respect of the trustee (if any); the structure of the trust; and the name and identification number of the settlor, the beneficiary or group of beneficiaries, any potential beneficiary, the protector (if any), any individual who ultimately controls the trust, and any other person related to the trust (if any).

Where a customer is a party to a legal arrangement in another form that is similar in nature to a trust, the reporting entity shall collect information on all parties performing roles equivalent to those in a trust referred to above;

b) Reporting entities shall identify and collect information on the beneficiary of a life insurance policy as soon as the beneficiary is designated by the policyholder or the insured.

Where the beneficiary is an individual, legal entity, or legal arrangement, the information collected shall include the beneficiary's full name or full transaction name, as applicable.

In the case of group insurance, the information collected shall include the beneficiary's identification documents, documents evidencing the beneficiary's relationship with the insured, and other necessary documents enabling the reporting entity to identify the beneficiary at the time the insurance benefit is paid.

5. Where a reporting entity is able to access and retrieve the information specified in this Article from national databases or specialized databases in accordance with applicable regulations of law, they shall not request the customer to provide information already contained in such databases.”.

5. Clause 1 Article 12 is amended as follows:

“1. Reporting entities shall use documents and data to verify customer identification information, including:

a) For an individual customer: His/her valid Identity Card, electronic Identity Card, Citizen Identity Card, or passport; other documents issued by competent authorities; and documents evidencing his/her representative capacity (if any);

b) For an institutional customer: Its valid establishment license, establishment decision, or Enterprise Registration Certificate; an electronic identification account; decisions on the reorganization, dissolution, bankruptcy, or termination of operations (if any); its charter (if any); decisions on the appointment of, or employment contracts with, the Director or General Director and the Chief Accountant or person in charge of accounting tasks; and documents and data relating to its founder(s), legal representative, authorized representative (if any), and beneficial owner(s);

c) For a customer that is a party to a legal arrangement: the document establishing the legal arrangement; documents evidencing the registration of the legal arrangement (if any); and other documents relating to the establishment of the legal arrangement (if any);

d) Other relevant documents, data, and reliable sources of information.”.

6. Clause 1 Article 19 is amended as follows:

“1. Reporting entities shall issue and fully implement policies and procedures for identifying and assessing money laundering risks before providing new products or services or existing products or services using innovative technologies, for the following purposes:

b) Manage money laundering risks when entering into transactions with customers using new products or services, or existing products or services using innovative technologies.

7. Article 22 is amended as follows:

“Article 22. Transparency of Information on Legal Arrangements

1. A trustee in a legal arrangement in the form of a trust shall collect and keep up to date identification information on the settlor, trustee, beneficiary or group of beneficiaries, potential beneficiaries, protector (if any), and any individual who ultimately controls the trust (if any).

Where any relevant party to the legal arrangement referred to above is a legal entity or legal arrangement, the information collected and kept up to date shall include basic information and information on the beneficial owner of that legal entity or legal arrangement.

2. A party performing a role equivalent to that of a trustee in a legal arrangement in another form that is similar in nature to a trust shall collect and keep up to date identification information on the parties performing equivalent roles, in the same manner as required for a trust under Clause 1 of this Article.

Where any relevant party to a legal arrangement in another form that is similar in nature to a trust is a legal entity or legal arrangement, the information collected and kept up to date shall include basic information and information on the beneficial owner of that legal entity or legal arrangement.

3. In addition to the information collected as prescribed in Clauses 1 and 2 of this Article, the trustee or a party performing a role equivalent to that of a trustee shall collect basic information on any agent or other regulated service provider of the legal arrangement (if any).

4. The information specified in Clauses 1, 2, and 3 of this Article shall be retained for at least five (05) years from the date on which the trustee or a party performing a role equivalent to that of a trustee ceases to be involved in the legal arrangement.

8. Article 26 is amended as follows:

“Article 26. Reporting of Suspicious Transactions

1. Reporting entities shall report suspicious transactions to the State Bank of Viet Nam where there are reasonable grounds to suspect that the assets involved in the transaction are proceeds of crime.

The determination of reasonable grounds for suspicion shall be based on an analysis and assessment of customer and transaction information, including the suspicious indicators specified in Articles 27, 28, 29, 30, 31, 32, 33, and 33a of this Law, and other indicators identified by the reporting entity.

2. Where reporting entities or relevant ministries and central authorities identify suspicious indicators other than those specified in Articles 27, 28, 29, 30, 31, 32, 33, and 33a of this Law, they shall notify them to the State Bank of Viet Nam.

3. Based on the AML requirements imposed from time to time, the State Bank of Viet Nam shall submit to the Government proposals on additional suspicious indicators applicable to sectors and industries other than those specified in Articles 27, 28, 29, 30, 31, 32, 33, and 33a of this Law.

4. The Governor of the State Bank of Viet Nam shall issue specific regulations on reporting on suspicious transactions.”.

9. Article 33a is added following Article 33 as follows:

“Article 33a. Suspicious Indicators in Crypto-Asset Sector

2. The occurrence of any of the following circumstances that is inconsistent with the customer's profile and characteristics: making successive deposits, conducting transactions, and making withdrawals of crypto-assets within a very short period immediately after establishing the customer relationship; making a large initial deposit immediately after opening a crypto-asset account; or conducting transactions of large value or unusual frequency through a crypto-asset account that has been dormant for a long period.

3. Immediately transferring crypto-assets to multiple crypto-asset service providers located in countries or territories included in lists published by the Financial Action Task Force (FATF) in relation to money laundering, terrorist financing, or financing of proliferation of weapons of mass destruction, or located in countries or territories that have not established, or have not fully established, a legal framework for anti-money laundering, counter-terrorist financing, and countering the financing of the proliferation of weapons of mass destruction in relation to crypto-assets, or to crypto-asset service providers included in lists published by the FATF in relation to crypto-assets, where there is no reasonable connection between such transfers and the customer's place of residence or place of business.

4. Converting crypto-assets into multiple types of crypto-assets without a reasonable business or investment purpose, or converting crypto-assets into fiat currency at an unfavorable price, accepting a loss, or incurring transaction fees that are unusually high relative to the prevailing condition of the blockchain network at the time of the transaction.

5. There are multiple accounts or wallet addresses with no apparent connection transferring crypto-assets to the same wallet address, or a single account transferring crypto-assets to multiple wallet addresses in successive transfers of equivalent value within a short period.

6. Conducting crypto-asset transactions involving crypto-assets with enhanced anonymity features or transaction-mixing services, or repeatedly converting crypto-assets recorded on a public and transparent distributed ledger into crypto-assets with enhanced anonymity features, thereby impairing the traceability of transactions.

7. Conducting crypto-asset transactions involving wallet addresses or crypto-asset service providers that competent authorities have identified or warned as being associated with anonymous networks or websites used for the trading of illegal goods or services, extortion, fraud, illegal online gambling, stolen assets, or other criminal activities.

8. A customer accesses the platform of a crypto-asset service provider using tools that conceal the customer's identity or Internet Protocol address, or maintains multiple crypto-asset accounts under different identities that appear to be operated from the same device or Internet Protocol address.

9. A customer refuses or delays providing customer identification documents or information on the source of assets; provides documents that appear to be forged or information that is inconsistent; or is unable to provide a reasonable explanation of the purpose of the transaction, the source of the assets, or the relationship with the counterparty.

10. The customer's crypto-asset wallet address appears in publicly available sources of information in connection with illegal activities, or crypto-assets deposited into or withdrawn from the customer's account have a history of passing through cross-chain bridges assessed as high-risk.

12. The customer's assets are derived predominantly from initial crypto-asset offerings that lack transparency or show signs of fraud, or the customer's crypto-assets originate directly from transaction-mixing services or from crypto-asset service providers with inadequate AML controls.

13. Conducting transactions with a crypto-asset service provider whose valid legal status cannot be established, including where the provider operates in a country or territory identified by the FATF as lacking a legal framework for crypto-assets, or is not included in the list of licensed providers maintained by the competent regulatory authority of the relevant jurisdiction, or has been warned against, suspended, or had its operating license revoked by a competent authority.

14. Notes accompanying a crypto-asset transaction indicate a possible connection with illegal activities; the customer frequently changes material identification or authentication information in a manner inconsistent with normal usage patterns; the customer conducts transactions from an Internet Protocol address that is inconsistent with the customer information provided; or the customer repeatedly opens crypto-asset accounts from the same Internet Protocol address.

15. A customer conducts through a crypto-asset service provider that is headquartered or operates in a country or territory included in lists published by the FATF in relation to money laundering, terrorist financing, or financing of proliferation of weapons of mass destruction, or in a country or territory that has not established, or has not fully established, a legal framework for anti-money laundering, counter-terrorist financing, and countering the financing of the proliferation of weapons of mass destruction in relation to crypto-assets, or through a crypto-asset service provider included in lists published by the FATF in relation to crypto-assets.

10. Clause 1 Article 38 is amended as follows:

“1. A reporting entity shall retain all customer records and records of all transactions in paper or electronic form in accordance with applicable regulations of law, including:

a) Customer identification information, records and documents;

b) The results of analyses and assessments of customers and transactions conducted for AML purposes;

c) Other information, records and documents relating to customers and transactions;

11. Clause 3 and Clause 4 are added following Clause 2 Article 39 as follows:

“3. Reporting entities, and agencies, organizations and individuals that fulfill their reporting obligations to competent authorities in good faith in accordance with this Law shall not be held liable for making such reports.

4. Persons who make reports or denunciations, or provide information for AML purposes, shall be entitled to protective measures applicable to denouncers in accordance with regulations of law on denunciation.”.

12. Article 48a is added following Article 48 as follows:

“Article 48a. Responsibilities of the Government Inspectorate

1. Inspect AML activities of reporting entities operating in sectors subject to the state management of ministries that do not have a ministerial inspectorate, except for the inspection responsibilities of the Ministry of Finance prescribed in Clause 2 Article 51 of this Law. The inspection of AML activities shall be based on the results of the national money laundering risk assessment and the money laundering risk assessment of the reporting entity.

2. Coordinate with the State Bank of Viet Nam and relevant ministries and central authorities in periodically assessing and updating money laundering risks as prescribed in Clauses 1 and 2 Article 7 of this Law.”.

13. Article 51 is amended as follows:

“Article 51. Responsibilities of the Ministry of Finance

2. Inspect the AML activities of reporting entities in the crypto-asset sector when so assigned by the Government and in the securities sector; Examine and supervise the AML activities of reporting entities in the fields specified in Clause 1 of this Article. The inspection, examination and supervision of AML activities shall be based on the results of the national money laundering risk assessment and the money laundering risk assessment of the reporting entity.

3. Coordinate with the State Bank of Viet Nam in conducting the national money laundering risk assessment as prescribed in Clause 1 Article 7 of this Law; assess and update money laundering risks, as prescribed in Clause 2 Article 7 of this Law, with respect to the fields specified in Clause 1 of this Article.”.

14. Article 52 is amended as follows:

“Article 52. Responsibilities of the Ministry of Construction

1. Take the lead in, and coordinate with, relevant agencies in implementing AML measures in the field of real estate business, except for the leasing or subleasing of real estate and real estate consulting services.

2. Examine and supervise the AML activities of reporting entities in the field specified in Clause 1 of this Article, taking into account the results of the national money laundering risk assessment and the money laundering risk assessment of the reporting entity concerned.

3. Coordinate with the State Bank of Viet Nam in conducting the national money laundering risk assessment as prescribed in Clause 1 Article 7 of this Law; assess and update money laundering risks, as prescribed in Clause 2 Article 7 of this Law, with respect to the fields specified in Clause 1 of this Article.”.

15. Article 53 is amended as follows:

“Article 53. Responsibilities of the Ministry of Justice

2. Coordinate with the State Bank of Viet Nam in disseminating and providing legal education on AML.

3. Examine and supervise the AML activities of reporting entities in the fields specified in Clause 1 of this Article, taking into account the results of the national money laundering risk assessment and the money laundering risk assessment of the reporting entity concerned.

4. Coordinate with the State Bank of Viet Nam in conducting the national money laundering risk assessment as prescribed in Clause 1 Article 7 of this Law; assess and update money laundering risks, as prescribed in Clause 2 Article 7 of this Law, with respect to the fields specified in Clause 1 of this Article.”.

16. Article 54 is amended as follows:

“Article 54. Responsibilities of the Ministry of Industry and Trade

1. Take the lead in, and coordinate with, relevant agencies in implementing AML measures in the business of precious metals and gemstones, except for gold bar trading activities.

2. Examine and supervise the AML activities of reporting entities engaged in the business specified in Clause 1 of this Article, taking into account the results of the national money laundering risk assessment and the money laundering risk assessment of the reporting entity concerned.

3. Coordinate with the State Bank of Viet Nam in conducting the national money laundering risk assessment as prescribed in Clause 1 Article 7 of this Law; assess and update money laundering risks, as prescribed in Clause 2 Article 7 of this Law, with respect to the fields specified in Clause 1 of this Article.”.

17. Article 58 is amended as follows:

2. Examine and supervise the AML activities of reporting entities in the field specified in Clause 1 of this Article, taking into account the results of the national money laundering risk assessment and the money laundering risk assessment of the reporting entity concerned.

3. Coordinate with the State Bank of Viet Nam in conducting the national money laundering risk assessment as prescribed in Clause 1 Article 7 of this Law; assess and update money laundering risks, as prescribed in Clause 2 Article 7 of this Law, with respect to the fields specified in Clause 1 of this Article.”.

18. Article 59 is amended as follows:

“Article 59. Responsibilities of other Ministries and Central Authorities

1. Coordinate with the State Bank of Viet Nam in performing state management of AML.

2. Examine and supervise the AML activities of reporting entities within their respective areas of state management, taking into account the results of the national money laundering risk assessment and the money laundering risk assessment of the reporting entity concerned.

3. Coordinate with the State Bank of Viet Nam and relevant ministries and central authorities in periodically assessing and updating money laundering risks as prescribed in Clauses 1 and 2 Article 7 of this Law.”.

19. Article 55 and clause 1 Article 64 are abrogated.

Point e is added following point dd as follows:

“e) Acting as agents for management of collateral securing corporate bonds.”.

Article 4. Effect  

1. This Law comes into force from December 01, 2026.

2. Article 22 and clause 2 Article 34 of the Ordinance on Foreign Exchange No. 28/2005/PL-UBTVQH11 of the Standing Committee of the National Assembly, as amended by the Ordinance No. 06/2013/UBTVQH13, are repealed.

This Law is passed by the 16th National Assembly of the Socialist Republic of Viet Nam at its First Extraordinary Session on August 24, 2026.
