CHỈ THỊ

VỀ VIỆC TỔ CHỨC THỰC HIỆN NGHỊ QUYẾT SỐ 09/2001/NQ-CP NGÀY 28 THÁNG 8 NĂM 2001 CỦA CHÍNH PHỦ VỀ TĂNG CƯỜNG THU HÚT VÀ NÂNG CAO HIỆU QUẢ ĐẦU TƯ TRỰC TIẾP NƯỚC NGOÀI THỜI KỲ 2001 - 2005

Nhằm thực hiện Nghị quyết số 09/2001/NQ-CP ngày 28 tháng 8 năm 2001 của Chính phủ về tăng cường thu hút và nâng cao hiệu quả đầu tư trực tiếp nước ngoài thời kỳ 2001 - 2005, Thủ tướng Chính phủ chỉ thị các Bộ, cơ quan ngang Bộ, cơ quan thuộc Chính phủ và ủy ban nhân dân các tỉnh, thành phố trực thuộc Trung ương (sau đây gọi là các Bộ và Uỷ ban nhân dân cấp tỉnh) thực hiện các công việc sau đây:

1. Bộ Kế hoạch và Đầu tư chủ trì xây dựng các Đề án sau:

- Đề án xây dựng, hoàn thiện các văn bản pháp luật về đầu tư trực tiếp nước ngoài theo hướng tạo lập một mặt bằng pháp lý và chính sách chủ yếu đối với đầu tư trong nước và đầu tư trực tiếp nước ngoài;

- Danh mục dự án quốc gia kêu gọi đầu tư trực tiếp nước ngoài thời kỳ 2001 - 2005.

Trong năm 2001, Bộ Kế hoạch và Đầu tư trình Chính phủ và Thủ tướng Chính phủ:

- Đề án mở rộng lĩnh vực thu hút đầu tư trực tiếp nước ngoài; thí điểm thực hiện việc chuyển đổi doanh nghiệp đầu tư trực tiếp nước ngoài sang hoạt động theo hình thức công ty cổ phần; sửa đổi một số quy định để đẩy nhanh việc hình thành, triển khai dự án BOT;

- Nghị định sửa đổi, bổ sung Nghị định số 36/CP ngày 24 tháng 4 năm 1997 của Chính phủ ban hành Quy chế Khu công nghiệp, Khu chế xuất, Khu công nghệ cao;

- Quy chế phối hợp trong quản lý hoạt động đầu tư trực tiếp nước ngoài, trong đó có việc thành lập tổ công tác liên ngành rà soát có hệ thống tất cả các giấy phép, quy định liên quan đến đầu tư trực tiếp nước ngoài, bãi bỏ những giấy phép, quy định không cần thiết và xây dựng cơ chế quản lý và tổ chức quản lý một cửa, một đầu mối ở Trung ương và địa phương.

2. Bộ Thương mại ban hành quy định về đầu tư trực tiếp nước ngoài trong lĩnh vực dịch vụ nhập khẩu, dịch vụ phân phối trong nước theo tinh thần Nghị định số 24/2000/NĐ-CP ngày 31 tháng 7 năm 2000 của Chính phủ quy định chi tiết thi hành Luật Đầu tư nước ngoài tại Việt Nam; trình Thủ tướng Chính phủ Đề án thu hẹp danh mục hàng hoá không thuộc đối tượng doanh nghiệp đầu tư trực tiếp nước ngoài mua để xuất khẩu.

3. Bộ Xây dựng trình Chính phủ đề án Nghị định sửa đổi, bổ sung Nghị định số 60/CP ngày 05 tháng 7 năm 1994 của Chính phủ về quyền sở hữu nhà ở và quyền sử dụng đất ở tại đô thị và Nghị định số 61/CP ngày 05 tháng 7 năm 1994 của Chính phủ về mua bán và kinh doanh nhà ở.

4. Bộ Giáo dục và Đào tạo, Bộ Khoa học, Công nghệ và Môi trường, Bộ Lao động - Thương binh và Xã hội hướng dẫn thi hành Nghị định số 06/2000/NĐ-CP ngày 06 tháng 3 năm 2000 của Chính phủ về việc hợp tác đầu tư với nước ngoài trong lĩnh vực khám chữa bệnh, giáo dục đào tạo, nghiên cứu khoa học.

5. Ban Vật giá Chính phủ trình Thủ tướng Chính phủ Đề án điều chỉnh giá, phí để thống nhất một mặt bằng chung cho đầu tư trong nước và nước ngoài; công bố những loại giá, phí có thể áp dụng thống nhất ngay trong năm 2001.

6. Tổng công ty Điện lực Việt Nam hoàn thành trước tháng 6 năm 2002 việc hoàn trả các doanh nghiệp đầu tư trực tiếp nước ngoài số vốn hợp thức, thực tế và các doanh nghiệp này đã bỏ ra để xây dựng công trình điện ngoài hàng rào.

7. Ngân hàng Nhà nước Việt Nam:

- Xây dựng Đề án cải cách chính sách tiền tệ liên quan đến hoạt động đầu tư trực tiếp nước ngoài;

- Ban hành trong năm 2001 các quy định hướng dẫn các Nghị định của Chính phủ về bảo đảm vay vốn, cầm cố, thế chấp, bảo lãnh đối với doanh nghiệp đầu tư trực tiếp nước ngoài nhằm thực sự tạo thuận lợi để doanh nghiệp đầu tư trực tiếp nước ngoài vay tín dụng tại các tổ chức tín dụng hoạt động tại Việt Nam;

- Xây dựng Đề án về khả năng và điều kiện cho phép một số doanh nghiệp đầu tư trực tiếp nước ngoài được thế chấp giá trị quyền sử dụng đất tại tổ chức tín dụng hoạt động ở nước ngoài.

8. Bộ Tài chính:

- Xây dựng Đề án cải cách hệ thống thuế liên quan đến hoạt động đầu tư trực tiếp nước ngoài;

- Ban hành trong năm 2001 chính sách khuyến khích hoạt động của các quỹ đầu tư nước ngoài hoạt động tại Việt Nam, và quy định về việc kê khai nộp thuế và căn cứ vào kết quả kiểm toán để quyết toán thuế.

9. Tổng cục Địa chính hoàn thành trong năm 2001 việc hướng dẫn cấp giấy chứng nhận quyền sử dụng đất cho các doanh nghiệp trong Khu công nghiệp, Khu chế xuất; xây dựng Đề án nghiên cứu cho phép tư nhân được thí điểm cho nhà đầu tư trực tiếp nước ngoài thuê lại đất; hướng dẫn việc xử lý đối với đất góp vốn liên doanh trong trường hợp phá sản, giải thể hoặc chuyển đổi hình thức đầu tư.

10. Bộ Tư pháp ban hành trong năm 2001 các văn bản hướng dẫn đăng ký giao dịch có bảo đảm và xây dựng cơ quan quốc gia đăng ký các giao dịch có bảo đảm; chủ trì việc rà soát các văn bản, quy định liên quan đến đầu tư trực tiếp nước ngoài do các Bộ, ủy ban nhân dân cấp tỉnh ban hành để khắc phục tình trạng chồng chéo, mâu thuẫn giữa các văn bản, quy định và để loại bỏ các quy định không phù hợp.

11. Các Bộ, Uỷ ban nhân dân cấp tỉnh xây dựng danh mục dự án kêu gọi đầu tư trực tiếp nước ngoài của Bộ, ngành và địa phương, thống nhất với Bộ Kế hoạch và Đầu tư và công bố trong năm 2001 làm cơ sở cho việc vận động xúc tiến đầu tư; đơn giản hoá và công bố công khai các thủ tục hành chính liên quan đến đầu tư trực tiếp nước ngoài.

12. Các Bộ, ngành kinh tế kỹ thuật xây dựng, điều chỉnh và công bố quy hoạch ngành và các sản phẩm chủ yếu trong 6 tháng đầu năm 2002; trong đó dự kiến rõ nguồn vốn trong nước, vốn ODA, vốn đầu tư trực tiếp nước ngoài làm cơ sở cho việc xác định chủ trương đầu tư.

13. Các cơ quan cấp Giấy phép đầu tư thường xuyên rà soát, phân loại các dự án đầu tư trực tiếp nước ngoài đã được cấp phép đầu tư để kịp thời tháo gỡ khó khăn, hỗ trợ dự án sớm đi vào hoạt động và kinh doanh có hiệu quả.

Đối với các dự án chưa triển khai song xét thấy có khả năng và điều kiện thực hiện, Bộ Kế hoạch và Đầu tư phối hợp với các Bộ, ngành và Uỷ ban nhân dân cấp tỉnh liên quan chủ động trao đổi với chủ đầu tư để thúc đẩy việc thực hiện trong một khoảng thời gian nhất định và giải quyết các vướng mắc, kể cả việc điều chỉnh mục tiêu và quy mô hoạt động của dự án.

14. Bộ Kế hoạch và Đầu tư, Bộ Công nghiệp, Bộ Nông nghiệp và Phát triển nông thôn, Uỷ ban nhân dân các tỉnh, thành phố trực thuộc Trung ương phối hợp chặt chẽ với Bộ Ngoại giao, Bộ Thương mại và các cơ quan liên quan khác xây dựng và thực hiện các chương trình vận động xúc tiến đầu tư hàng năm, tổ chức tốt việc tuyên truyền về đầu tư trực tiếp nước ngoài, nghiên cứu các đối tác đầu tư trực tiếp nước ngoài và pháp luật chính sách về đầu tư trực tiếp nước ngoài của các nước trong khu vực; bố trí cán bộ làm công tác xúc tiến đầu tư ở các địa bàn trọng điểm ở nước ngoài.

Bộ Tài chính bố trí kinh phí cho hoạt động xúc tiến đầu tư trong ngân sách chi thường xuyên hàng năm của các Bộ, ngành, địa phương.

15. Trong năm 2001, Ban Tổ chức - Cán bộ Chính phủ xây dựng Quy chế cán bộ Việt Nam tham gia Hội đồng quản trị và quản lý doanh nghiệp liên doanh; Bộ Giáo dục và Đào tạo chủ trì xây dựng Đề án tổ chức đào tạo cán bộ làm công tác đầu tư trực tiếp nước ngoài; Bộ Lao động - Thương binh và Xã hội chủ trì xây dựng Đề án đào tạo nghề cho các doanh nghiệp đầu tư trực tiếp nước ngoài.

16. Bộ Kế hoạch và Đầu tư phối hợp với Văn phòng Chính phủ chịu trách nhiệm theo dõi tổng hợp việc thực hiện Nghị quyết của Chính phủ và Chỉ thị này để kịp thời báo cáo Thủ tướng Chính phủ các đề án liên quan đến việc triển khai Chỉ thị này.

17. Các Bộ trưởng, Thủ trưởng cơ quan ngang Bộ, Thủ trưởng cơ quan thuộc Chính phủ, Chủ tịch Uỷ ban nhân dân các tỉnh, thành phố trực thuộc Trung ương tổ chức thực hiện nghiêm chỉnh, đầy đủ Chỉ thị này. Trường hợp phát sinh những vấn đề vượt quá thẩm quyền cần báo cáo Thủ tướng Chính phủ xem xét, cho ý kiến chỉ đạo để thực hiện.

DIRECTIVE

OF THE PRIME MINISTER ON ORGANIZING THE IMPLEMENTATION OF THE GOVERNMENT�S RESOLUTION No. 09/2001/NQ-CP OF AUGUST 28, 2001 ON FURTHER ATTRACTING AND RAISING THE EFFICIENCY OF FOREIGN DIRECT INVESTMENT IN THE 2001-2005 PERIOD

In order to materialize the Government’s Resolution No. 09/2001/NQ-CP of August 28, 2001 on further attracting and raising the efficiency of foreign direct investment in the 2001-2005 period, the Prime Minister hereby instructs the ministries, the ministerial-level agencies, the agencies attached to the Government and the People’s Committees of the provinces and centrally-run cities (hereafter called the ministries and the provincial-level People’s Committees) to perform the following tasks:

1. The Ministry of Planning and Investment shall assume the prime responsibility in elaborating the following projects:

- The project on elaboration and finalization of legal documents on foreign direct investment, which is carried out along the direction of creating a legal ground and major policies for domestic investment and foreign direct investment;

- The list of national projects calling for foreign direct investment in the 2001-2005 period.

In 2001, the Ministry of Planning and Investment shall submit to the Government and the Prime Minister:

- The project on broadening the attraction of foreign direct investment; the experimental conversion of foreign-invested enterprises into joint-stock companies; the amendment of a number of stipulations for speeding up the formation and implementation of BOT projects;

- The Regulation on coordination in the management of foreign direct investment activities, including the establishment of an inter-branch working team to systematically revise all permits and stipulations relating to foreign direct investment, annul unnecessary permits and stipulations, and build up the ‘one-door, one-coordinator’ management mechanism at central and local levels.

2. The Ministry of Trade shall promulgate the regulations on foreign direct investment in the domains of import service and domestic distribution service according to the Government’s Decree No. 24/2000/ND-CP of July 31, 2000 detailing the implementation of the Law on Foreign Investment in Vietnam; submit to the Government the project on shortening the list of goods not purchased for export by foreign-invested enterprises.

3. The Ministry of Construction shall submit to the Government the draft decree amending and supplementing the Government’s Decree No. 60/CP of July 5, 1994 on dwelling house ownership and residential land use right in urban areas and Decree No. 61/CP of July 5, 1994 on purchase, sale of and dealing in dwelling houses.

4. The Ministry of Education and Training, the Ministry of Science, Technology and Environment and the Ministry of Labor, War Invalids and Social Affairs shall guide the implementation of the Government’s Decree No. 06/2000/ND-CP of March 6, 2000 on investment cooperation with foreign countries in the domains of medical examination and treatment, education and training as well as scientific research.

5. The Government Pricing Committee shall submit to the Prime Minister the project on the adjustment of prices and charges to the common level for domestic and foreign investment; announce the prices and charges which can be uniformly applied right in 2001.

6. Vietnam Electricity Corporation shall complete before June 2002 the refund to foreign-invested enterprises of the conformable and actual capital amounts already spent by them on the construction of electric projects outside their perimeter.

7. The State Bank of Vietnam shall:

- Elaborate the project on reforming the monetary policy relating to foreign direct investment activities;

- Promulgate in 2001 the regulations guiding the implementation of the Government’s decrees on loan security, pledge, mortgage and guarantee for foreign-invested enterprises in order to create favorable conditions for them to borrow credit capital at credit institutions operating in Vietnam;

8. The Ministry of Finance shall:

- Elaborate the project on reforming the tax system relating to foreign direct investment activities;

- Promulgate in 2001 the policy on encouraging activities of foreign investment funds operating in Vietnam, and the regulations on tax declaration and payment and final tax settlement based on the auditing results.

9. The General Land Administration shall complete in 2001 the guidance on granting the land use right certificates for enterprises in industrial parks and export processing zones; elaborate the research project for permitting individuals to experimentally sublease land to foreign investors; guide the handling of land contributed as capital to joint ventures in case of bankruptcy, dissolution or conversion of investment forms.

10. The Ministry of Justice shall promulgate in 2001 the documents guiding secured transaction registration and establish a national agency for secured transaction registration; assume the prime responsibility for revising documents and stipulations relating to foreign direct investment, which have been issued by ministries or provincial-level People’s Committees in order to overcome any overlapping or contradiction among documents or stipulations, as well as to annul inappropriate stipulations.

11. The ministries and provincial-level People’s Committees shall make lists of projects calling for foreign direct investment of the ministries, branches and localities, reach agreement with the Ministry of Planning and Investment thereon and announce them in 2001 for use as basis for investment mobilization and promotion; simplify and make public the administrative procedures relating to foreign direct investment.

12. Economic and technical ministries and branches shall work out, adjust and announce their branch plannings and major products in the first 6 months of 2002, which clearly determine the domestic capital source, ODA capital and foreign direct investment capital for use as basis for determining the investment undertakings.

13. The investment licensing agencies shall regularly revise and classify foreign direct investment projects already granted the investment licenses in order to promptly remove difficulties and support projects so that they can soon operate and conduct business with efficiency.

For projects which are deemed feasible though they are not materialized yet, the Ministry of Planning and Investment shall coordinate with the concerned ministries, branches and provincial-level People’s Committees to take initiative in exchanging ideas with investors to accelerate the implementation within a given period of time and settle problems, including the adjustment of the project’s objectives and operation scale.

The Ministry of Finance shall arrange funding for investment promotion activities within the annual budget of regular spendings of the ministries, branches and localities.

15. In 2001, the Government Commission for Organization and Personnel shall work out the Regulation on Vietnamese officials’ participation in the Managing Boards and in the management of joint-venture enterprises; the Ministry of Education and Training shall assume the prime responsibility for elaborating the project on organization of training of officials engaged in the work of foreign direct investment; and the Ministry of Labor, War Invalids and Social Affairs shall assume the prime responsibility for elaborating the project on job training for foreign-invested enterprises.

16. The Ministry of Planning and Investment shall coordinate with the Government Office in monitoring and summing up the implementation of the Government’s Resolution and this Directive in order to promptly report to the Prime Minister on the projects relating to the implementation of this Directive.

17. The ministers, the heads of the ministerial-level agencies, the heads of the agencies attached to the Government and the presidents of the People’s Committees of the provinces and centrally-run cities shall organize the strict and full implementation of this Directive. Any problems arising beyond their respective competence should be reported to the Prime Minister for consideration and direction of implementation.
