IMPLEMENTATION OF SOME ARTICLES OF THE LAW ON TRADE UNION ON FINANCE OF TRADE

Chapter
I
GENERAL
PROVISIONS
Article
1. Scope
1. This Decree elaborates:
a) Methods, deadlines for
payment of trade union contributions, and sources thereof; case of failing to pay
or late-payment of trade union contributions as specified in clause 2 of
Article 29 of the Law on Trade Union; public service providers not fully funded
by the state budget; and the content of state budget subsidies as specified in
Clause 2 of Article 29 of the Law on Trade Union amended by Clause 8 of Article
2 of Law No. 97/2025/QH15.
b) Exemption, reduction,
suspension of payment of trade union contributions in accordance with Clause 4
of Article 30 of the Law on Trade Union.
c) Management and use of
trade union contributions of internal employee organizations at enterprises in
accordance with Clause 6 of Article 31 of the Law on Trade Union.
2. Guidance on issuance of
standards, norms, policies for expenditures, management, and use of trade union
finances in accordance with Clause 5 of Article 31 of the Law on Trade Union.

2. Agencies,
organizations, trade unions at all levels, and individuals involved in the
management and use of trade union finance are in accordance with the Law on
Trade Union.
3. Internal employee
organizations at enterprises registered in accordance with Article 172 of the
Labor Code 2019.
Article
3. Principles for management and use of trade union funds
1. Trade union finance
shall be managed and used in accordance with the principles and tasks specified
in Clauses 1 and 2 of Article 31 of the Law on Trade Union.
2. Trade union organizations
assigned with the management and use of trade union funds may open accounts at
the State Treasury to reflect state budget subsidies; and may open deposit
accounts at banks to reflect revenue and expenditure of the trade union
specified in the Law on Trade Union.
3. At the end of the
budget year, any unused trade union funds shall be carried forward to the
following year for further use as prescribed; for state budget subsidies, the
provisions of the Law on State Budget and its guiding documents on year-end
budget closing shall apply.

REGULATIONS
ON TRADE UNION CONTRIBUTIONS

a) Monthly payment of
trade union contributions made at the same time as payment of compulsory social
insurance premiums for employees shall apply to:
Public service providers
service providers not fully funded by the state budget (public service
providers without state budget coverage for both recurrent and investment
expenses, and public service providers without state budget coverage for
recurrent expenses).
Public service providers
with partial state budget coverage for recurrent expenses.
Foreign agencies and
organizations, and international organizations operating in Vietnam that are
involved in the organization and operation of trade unions, or the executive
offices of foreign parties in business cooperation contracts in Vietnam that
employ Vietnamese workers.
Other agencies,
organizations, units, enterprises, cooperatives, and cooperative unions.
b) Monthly payment and
quarterly payment (once every 03 months) of trade union contributions at the
same time as paying compulsory social insurance premiums for employees based on
registration with the trade union organization shall apply to:
Agricultural, forestry,
fishery, and salt-production organizations and enterprises paying salaries
according to the production and business cycle.
2. Deadline for paying
trade union contributions
a) The deadline for paying
trade union contributions is no later than the last day of the following month
for agencies, organizations, units, enterprises, cooperatives, and cooperative
unions that pay trade union contributions monthly as prescribed in Clause 1 of
this Article.

Article
5. Sources for payment of trade union contributions
1. For public service providers
with partial state budget coverage for recurrent expenses: Trade union
contributions shall be funded from the state budget, revenue from operations,
and other legitimate sources of revenue (if any), and shall be accounted into
cost of the unit.
2. For public service
providers without state budget coverage for both recurrent and investment
expenses, public service providers without state budget coverage for recurrent
expenses: Trade union contributions shall be covered using revenue from
operations, and other legitimate sources of revenue (if any), and are accounted
into cost of the unit.
3. For other agencies,
units, and organizations, enterprises, cooperatives, and cooperative unions.
Trade union contributions shall be funded from the financial resources of other
agencies, units, organizations, enterprises, cooperative unions, and
cooperatives, and are accounted into cost for production, business, and service
provision during the period in accordance with the law.
Article
6. Late payment of or failure to pay trade union contributions
1. Late payment of trade
union contributions refers to the act of a trade union contribution payer
failing to pay or paying insufficient amounts according to the rates prescribed
in point b of clause 1 of Article 29 of the Law on Trade Union after the
deadline for payment of trade union contribution as prescribed in clause 2 of
Article 4 of this Decree.
2. Failure to pay trade
union contributions refers to the act of a trade union contribution payer
falling into one of the following cases:
a) Failure to withhold or
pay trade union contributions.
b) Failure to pay or fully
pay the amount due according to the rates prescribed in point b of clause 1 of
Article 29 of the Law on Trade Union within 60 days from the expiration of the
deadline stipulated in clause 2 of Article 4 of this Decree.

3. Cases of suspension or
reduction of trade union contribution payments do not fall under the cases of
late payment or failure to pay trade union contributions as prescribed in
Clauses 1 and 2 of this Article.
Chapter
III
STATE
BUDGET SUBSIDIES
Article
7. Central government budget subsidies for the Vietnam General Confederation of
Labor
1. Funding for payment of
yearly dues of the Vietnam General Confederation of Labor to international
organizations.
2. Funding for operation
of public service providers under the Vietnam General Confederation of Labor,
as determined by the competent authority's decision on the functions, tasks,
and organizational structure of the Vietnam General Confederation of Labor: The
central government budget subsidies shall comply with laws on the financial
autonomy of public service providers.
3. Funding for scientific
and technological tasks, innovation, and digital transformation carried out by
the Vietnam General Confederation of Labor.
4. Funding for training
and refresher training for cadres, civil servants, and public employees of the
Vietnam General Confederation of Labor and its affiliated units established
according to regulations of competent authorities: Central government budget
subsidies shall comply with laws on training and refresher training for civil
servants and public employees.
5. Funding for national
target programs (if any), programs, schemes, and projects of the Vietnam
General Confederation of Labor approved by competent authorities.

7. Funding for projects
with foreign capital, which are implemented by the Vietnam General
Confederation of Labor and approved by competent authorities.
8. Funding for organizing
delegations going abroad and coming to Vietnam of the Vietnam General
Confederation of Labor as approved by the competent authority when performing
its duties as the sole representative of workers at the national level in labor
relations and international trade union relations.
9. Development investment
expenditures of the Vietnam General Confederation of Labor according to
projects approved by the competent authority.
Article
8. Local government budget subsidies for the Vietnam General Confederation of
Labor
1. Funding for operation
of public service providers under the Provincial Labor Federation, as
determined by the competent authority's decision on the functions, tasks, and
organizational structure of the Provincial Labor Federation: The local
government budget subsidies shall comply with laws on the financial autonomy of
public service providers.
2. Funding for scientific
and technological tasks, innovation, and digital transformation carried out by
the Provincial Labor Federation.
3. Funding for training
and refresher training for cadres, civil servants, and public employees of the
Provincial Labor Federation and its affiliated units established according to
regulations of competent authorities: Local government budget subsidies shall
comply with laws on training and refresher training for civil servants and
public employees.
4. Funding for national
target programs (if any), programs, schemes, and projects of the Provincial
Labor Federation approved by competent authorities.
5. Funding for tasks commissioned
by competent state agencies to the Provincial Labor Federation.

7. Development investment
expenditures of the Provincial Labor Federation according to projects approved
by the competent authority.
Article
9. State budget subsidies for operation of the Vietnam Trade Union
The state budget shall
provide subsidies for operation of the Vietnam Trade Union according to the
principle of ensuring a balance in the operating funding of the Vietnam Trade
Union and delegation of the state budget in cases where the revenue sources of
the trade union specified in points a, b, and d of Clause 1, Article 29 of the
Law on Trade Unions, cannot cover the recurrent operating funding of the
organizational system of the Vietnam Trade Union and the activities to exercise
the rights and responsibilities of the trade union.
Article
10. Management and use of state budget subsidies
1. Subsidies from budget
of which level of government shall be allocated to the agencies and units under
that level of the trade union for implementation; central government budget
subsidies shall not be used for agencies and units under subordinate trade unions.
2. Agencies and units
receiving state budget subsidies must use their funds in accordance with the
regulations, standards, and norms prescribed by competent state authorities;
ensuring that the funds are used for the intended purpose, economically,
effectively, and with complete payment records and receipts; and shall be
placed under inspection and control by the financial agency and the State
Treasury during the implementation of the allocated budget.
3. The preparation,
execution, accounting, and statement of state budget subsidies shall comply
with laws on the state budget, laws on public investment, and accounting and
statistics.
Chapter
IV
EXEMPTION,
REDUCTION, OR SUSPENSION OF PAYMENT OF TRADE UNION CONTRIBUTIONS

1. Enterprises,
cooperatives, and cooperative unions undergoing dissolution in accordance with
the Law on Enterprises and the Law on Cooperatives may be exempted from paying
the outstanding trade union contributions by the Vietnam General Confederation
of Labor or the provincial Labor Federation in accordance with the delegation
of the Vietnam General Confederation of Labor when their trade unions
participate in the debt settlement plan (including trade union dues) of the dissolving
enterprises, cooperatives, or cooperative unions.
2. Enterprises,
cooperatives, and cooperative unions undergoing bankruptcy procedures in
accordance with the Law on Enterprises, Law on Cooperatives, Law on Bankruptcy,
and Law on Bankruptcy and Rehabilitation may be exempted from paying the
outstanding trade union contributions by the Vietnam General Confederation of
Labor or the provincial Labor Federation in accordance with the delegation of
the Vietnam General Confederation of Labor when their trade unions participate
in the debt settlement plan (including trade union dues) of the dissolving
enterprises, cooperatives, or cooperative unions.
Article
12. Reduction of trade union contributions
Reduction of trade union
contributions specified in clause 2 of Article 30 of the Law on Trade Union:
1. Reduction of trade
union contributions will be considered when the suspension period for
trade union contributions under Article 13 hereof has expired, and the employer
must continue to cut down the number of existing employees by 30% or more, or
by 30 or more employees for enterprises, cooperatives, and cooperative unions
with fewer than 200 employees and for cooperatives with 30 or more official
members or contributing members; or by 50 or more employees for employers
employing between 200 and 1000 employees and for cooperatives with 50 or more
official members or contributing members; or by 100 or more employees for
employers with more than 1000 employees and for cooperatives with 100 or more
official members or contributing members (the above cases do not include the
recruitment of 20% of the number of laid-off employees within 3 months from the
date of layoff).
2. Duration of reduction
of trade union contributions:
a) The duration of
reduction of monthly trade union contributions shall not exceed 6 months.
b) After the reduction
period specified in point a of this clause, the enterprise, cooperative, or
cooperative union shall continue to pay trade union contributions at the rate
specified in point b of clause 1 of Article 29 of the Law on Trade Union.
3. The maximum reduction
in trade union contributions shall be 20% of the amount specified in point b of
clause 1 of Article 29 of the Law on Trade Union.

a) The authority to
consider reducing trade union contributions rests with the Vietnam General
Confederation of Labor or the provincial Labor Federation according to the
delegation of the Vietnam General Confederation of Labor.
b) Enterprises,
cooperatives, and cooperative unions mentioned in Clause 1 of this Article
shall submit an application including an application form (according to the
Form in Appendix I attached hereto) for reduction of trade union contributions,
along with a report on the employment situation and a list of existing
employees subject to layoffs as specified in Clause 1 of this Article, and the
total number of existing employees before the layoffs, to the Vietnam General
Confederation of Labor or the provincial Labor Federation.
Based on the actual
situation, the Vietnam General Confederation of Labor shall specify the form of
submission: in person, online, or by post
c) Within 15 working days
from the date of receiving applications from enterprises, cooperatives, and/or
cooperative unions, along with the documents mentioned in point b of this
clause, based on the financial capacity of the trade union (excluding state
budget subsidies), the Vietnam General Confederation of Labor or the provincial
Labor Federation shall issue the written approval for the reduction of trade
union contributions for enterprises, cooperatives, and/or cooperative unions
that satisfy the conditions specified in clauses 1 and 2 of this Article (in
case of refusal, the reasons must be clearly stated).
Article
13. Suspension of payment of trade union contributions
Suspension of trade union
contributions specified in clause 3 of Article 30 of the Law on Trade Union:
1. Suspension of payment of
trade union contributions will be considered in the following cases:
a) Facing difficulties due
to structural or technological changes, economic crisis or recession, or the
implementation of State policies during economic restructuring.
b) Facing difficulties due
to natural disasters, fires, epidemics, or crop failures.

Enterprises, cooperatives,
and cooperative unions falling under one of the cases specified in Clause 1 of
this Article and satisfying one of the following conditions may be considered
for suspension of payment of trade union contributions:
a) Having to suspend
production and business for 30 days or more and being unable to provide
employment for employees, among whom at least 50% of the total existing
employees before the suspension of production and business are compulsory
social insurance participants who are temporarily laid off and under
application for suspension of payment of compulsory social insurance premiums to
the pension and survivorship fund;
b) Suffering damage
exceeding 50% of the total value of assets due to natural disasters, fires,
epidemics, or crop failures (excluding the value of land assets).
3. Duration of suspension
of payment of trade union contributions:
a) The duration of
suspension of monthly trade union contributions shall not exceed 12 months.
b) After the suspension
period specified in point a of this clause, the enterprise, cooperative, or
cooperative union shall continue to pay trade union contributions at the rate
specified in point b of clause 1 of Article 29 of the Law on Trade Union
(except in cases where the trade union contributions are reduced according to
Article 12 hereof).
4. Authority and
procedures for considering suspension of trade union contributions
a) The authority and
procedures for determining the number of employees participating in compulsory
social insurance who temporarily laid off and under application for suspension
of compulsory social insurance premiums to the pension and survivorship fund,
and the value of damaged assets as specified in clause 2 of this Article, shall
comply with Article 10 of Decree No. 158/2025/ND-CP dated June 25, 2025 of the
Government, elaborating and providing guidance on the implementation of the Law
on Social Insurance on compulsory social insurance.
In cases where
enterprises, cooperatives, or cooperative unions already have a list of
employees prior to the suspension of production and business activities, or a
document from a competent authority determining the value of damaged assets, at
the time of requesting a list of employees participating in compulsory social
insurance who are temporarily laid off and under application for suspension of
premium payment to the pension and survivorship fund, they may use this list or
document to carry out the procedure for suspending payment of trade union fee
contributions.

The authority to consider
suspension of payment of trade union contributions rests with the Vietnam
General Confederation of Labor or the provincial Labor Federation according to
the delegation of the Vietnam General Confederation of Labor.
Enterprises, cooperatives,
and cooperative unions shall submit an application including an application
form (according to the form in Appendix II attached hereto) for suspension of
payment of trade union contributions, along with a report on the employment
situation and a list of employees participating in compulsory social insurance
participants who are temporarily laid off and under application for suspension
of payment of compulsory social insurance premiums (the number of such
employees are at least 50% of the total existing employee before the suspension
of production and business activities) or a report on damage exceeding 50% of
the total value of assets due to natural disasters, fires, epidemics, or crop
failures (excluding the value of land assets) to the Vietnam General
Confederation of Labor or the provincial Labor Federation.
Based on the actual
situation, the Vietnam General Confederation of Labor shall specify the form of
submission: in person, online, or by post
Within 15 working days
from the date of receiving applications from enterprises, cooperatives, and/or
cooperative unions, along with the documents mentioned above, based on the
financial balance of the trade union (excluding state budget subsidies), the
Vietnam General Confederation of Labor or the provincial Labor shall issue a
written approval for the suspension of payment of trade union contributions for
enterprises, cooperatives, and/or cooperative unions that satisfy the
conditions specified in clauses 1, 2 and 3 of this Article (in case of refusal,
the reasons must be clearly stated). If the enterprise, cooperative, or
cooperative union is granted suspension of payment of trade union
contributions, the suspension period shall begin from the month the enterprise,
cooperative, or cooperative union submit the application to the Vietnam General
Confederation of Labor or the provincial Labor Federation.
Article
14. Responsibilities of the Vietnam General Confederation of Labor in
implementing exemption, reduction, or suspension of payment of trade union
contributions
1. Provide guidance and
organize the implementation of reduction of trade union contributions,
exemption or suspension of payment thereof as specified in Articles 11, 12, and
13 hereof.
2. Annually, disclose
cases eligible for exemption, reduction, and suspension on the web portal of
the Vietnam General Confederation of Labor or the provincial Labor Federations
according to the delegation the Vietnam General Confederation of Labor.
3. Consolidate the result
of exemption, reduction, and suspension in the report to the National Assembly
on revenue, expenditure, and management of trade union finances as specified in
Clause 4, Article 33 of the Law on Trade Unions.
4. Provide subsidies for
trade union activities and the implementation of tasks as specified in Clause 2
of Article 31 of the Law on Trade Unions at enterprises, cooperatives, and
cooperative unions that have been granted exemptions or suspensions of payment
of trade union contributions.

Chapter
V
MANAGEMENT
AND USE OF TRADE UNION FUNDS OF INTERNAL EMPLOYEE ORGANIZATIONS AT ENTERPRISES
Article
15. Regarding the distribution of trade union funds of internal employee
organizations at enterprises
1. The internal employee
organization at an enterprise must be registered in accordance with Article 172
of the Labor Code 2019, and the enterprise where the internal employee
organization is registered and operates must fulfill its obligation to pay
trade union contributions as specified in point b of clause 1 of Article 29 of
the Law on Trade Union.
2. Within 15 working days
from the date of receiving the application for the distribution of trade union
funds for the grassroots level of the internal employee organization at the
enterprise, along with a copy of the registration issued by the competent state
authority, the Provincial Labor Federation shall send a written notification of
the method, time limit, and grounds for calculating the distribution of funds.
The distribution to the internal employee organization at the enterprise shall
begin the month the Provincial Labor Federation issues the notification.
3. Monthly, the internal
employee organization at the enterprise shall send a notification of the total
amount of trade union contributions actually paid by the enterprise based on
the salary fund of employees who are members of this organization and are
participating in compulsory social insurance as prescribed to the grassroots
trade union at the enterprise (if any) or the Provincial Labor Federation,
using the notification form prescribed by the Vietnam General Confederation of
Labor. The deadline for sending the notification shall be no later than the
last day of the month following the enterprise's monthly contribution payment
period.
If the internal employee
organization fails to submit the notification within the prescribed time limit
without a valid reason, the Provincial Labor Federation shall suspend the
distribution of funds to that organization for the following month.
4. Trade union funds
allocated to the grassroots level shall comply with the regulations of the
Vietnam General Confederation of Labor. The amount of trade union funds
allocated to the grassroots level for distribution to internal employee
organization at the enterprise shall be determined in accordance with the
following regulations:

insurance participants as prescribed

5. When an internal
employee organization at the enterprise ceases operation or has its license
revoked as prescribed in Article 172 of the 2019 Labor Code, all unused trade
union funds allocated to the grassroots level for distribution to such internal
employee at the enterprise must be returned to the grassroots trade union at
the enterprise (if any) or the Provincial Labor Federation as prescribed by the
General Confederation of Labor Vietnamese.
Article
16. Management and use of trade union funds by internal employee organizations
at enterprises
1. Internal employee
organizations in enterprises shall use trade union funds in accordance with
points a, b, c, g, and h of Clause 2, Article 31 of the Law on Trade Union. The
revenue and expenditure of trade union funds must be monitored and logged
according to the guidance of the Vietnam General Confederation of Labor and
annually disclosed to members of the organization in the forms prescribed in
Article 34 of the Law on Trade Union.
2. Internal employee
organizations at enterprises shall provide full details on the use of trade
union funds upon written request from the trade union organization, so that the
trade union organization can report and publicly disclose the management and
use of trade union finances in accordance with Articles 33 and 34 of the Law
Trade Union or as required by competent authorities as prescribed by law.

Article
17. Implementation responsibility
1. Public service
providers not fully funded by the state budget, enterprises, cooperatives,
cooperative unions, agencies, organizations, and other units as mentioned in
Article 4 shall:
a) Pay trade union
contributions in full and on time to the trade union organization in accordance
with the regulations in this Decree and the regulations of the Vietnam General
Confederation of Labor on the delegation of powers for contribution collection
and distribution of trade union funds;
b) Provide complete and
accurate information and documents related to the responsibility of paying
trade union contributions upon request by the trade union organization or
competent state authorities.
2. Vietnam General
Confederation of Labor shall:
a) Provide for delegation
of powers for collection, distribution, and management of trade union
contributions, and the authority to consider and decide the reduction of trade
union contributions, and exemption/suspension of payment thereof as specified
in Articles 11, 12 and 13 hereof for implementation within the organizational
system of the Vietnam Trade Union.
b) Direct trade union
organizations at all levels to manage and use trade union contributions as
prescribed; cooperate with state regulatory authorities in inspecting and
supervising the payment of trade union contributions as specified in Article 4
hereof; submit petitions to relevant agencies for action against violations
against laws on payment of trade union contributions.
c) Take charge and
cooperate with relevant ministries, agencies, and People's Committees of
provinces/cities in implementing regulations in Article 9 of this Decree as
follows: Develop estimates for the revenue sources specified in points a, b,
and d of Clause 1 of Article 29 of the Law on Trade Union and estimates for
expenditures to carry out the tasks specified in Clause 2 of Article 31 of the
Law on Trade Union according to the policies, standards, and norms issued by
the Vietnam General Confederation of Labor as specified in Clause 5 of Article
31 of the Law on Trade Union; determine the deficit in trade union financial
sources of the Vietnam Trade Union and trade unions at all levels to serve as a
basis for submitting requests to competent authorities for trade union financial
support according to the delegation of the state budget.
d) Formulate and issue
standards, norms, and policies for expenditures of trade union finance in

For standards, norms, and
policies for expenditures for performance of tasks of Vietnam Trade Union that
have not yet been issued by state authorities or competent authorities:
Based on the trade union's
financial capacity and actual expenditures, the Vietnam General Confederation
of Labor shall develop and propose the content and levels of expenditure. To be
specific:
Expenditures for the
development, replacement, or amendment to resolutions and decisions of the
Presidium and Standing Committee of the Presidium of the Vietnam General
Confederation of Labor, and resolutions and decisions of the Executive
Committee of the Vietnam General Confederation of Labor on the management and
use of trade union finances; expenditure levels based on the financial balance
capacity of the trade union (excluding state budget subsidies) and not
exceeding the expenditure levels for formulating Circulars in Appendix II
issued with Resolution No. 197/2025/QH15 of the National Assembly.
The Vietnam General
Confederation of Labor shall, based on Decree No. 289/2025/ND-CP dated November
6, 2025 of the Government, providing guidance on the implementation of
Resolution No. 197/2025/QH15, develop guiding documents (resolutions or
decisions) and report to the Presidium of the Vietnam General Confederation of
Labor for consideration and decision, ensuring appropriateness, economy, and
effectiveness.
Provide subsidies to
encourage collective and individuals outside the Vietnam General Confederation
of Labor system to cooperate in directing trade union activities; develop trade
union members, establish grassroots trade unions, and organize the collection
of trade union contributions and distribution of trade union funds; and
cooperate with state regulatory authorities in inspecting, supervising, and
urging the recovery of funds in cases of failure to pay trade union
contributions, late payment thereof, or payment thereof in amounts not in accordance
with the prescribed rates, or failure to pay trade union contributions for the
required people; manage and use trade union funds against regulations. The
subsidy level for individuals shall not exceed 3 times the statutory pay rate
per instance, and for collectives shall not exceed 15 times the statutory pay
rate per instance; the number of subsidies per year shall not exceed 4.
3. The Ministry of Finance
shall:
a) Balance and submit
proposal to the competent authority for allocation of central government budget
subsidies for trade union finances specified in Articles 7 and 9 of this Decree
in accordance with laws on state budget and laws on public investment.
b) Take charge and
cooperate with relevant ministries and agencies in reporting to the Government
when the Vietnam General Confederation of Labor requests for the Government's
opinion on the draft Regulations on standards, norms, and policies for
expenditure for trade union finances as specified in point d of clause 2 of
this Article.
4. The People's Committees
of provinces/cities shall balance and allocating local government budget
subsidies for the Provincial Labor Federations specified in Articles 8 and 9
hereof in accordance with the laws on state budget and laws on public
investment.

1. This Decree comes into
force from May 16, 2026.
2. Decree No.
191/2013/ND-CP dated November 21, 2013 of the Government, elaborating trade
union finance shall ceases to be in effect from the date this Decree comes into
force.
3. Ministers, Heads of
ministerial agencies, Heads of Government agencies, Presidents of People's
Committees of provinces/cities are responsible for implementing this Decree.
