DECISION

TASK ASSIGNMENT OF THE MANAGEMENT OF STATE BANK OF VIETNAM

THE GOVERNOR OF STATE BANK OF VIETNAM

Pursuant to the Law on the State bank of Vietnam No. 46/2010/QH12 dated June 16^th 2010;

Pursuant to the Government’s Decree No. 123/2016/ND-CP dated September 1^st 2016 on functions, duties, powers and organizational structure of Ministries and ministerial agencies, and the Government’s Decree No. 101/2020/ND-CP dated August 28^th 2020 on amendments to Decree No. 123/2016/ND-CP ;

Pursuant to the Government’s Decree No. 102/2022/ND-CP dated December 12^th 2022 on functions, duties, powers and organizational structure of State Bank of Vietnam (SBV);

Pursuant to the Government’s Decree No. 39/2022/ND-CP dated June 18^th 2022 promulgating the working regulations of the Government of Vietnam;

In consideration of the requirements for operation of State Bank of Vietnam;

DECIDES:

Article 1. Assignment and work relationship between the Governor and Deputy Governors of State Bank of Vietnam (SBV):

1. Rules for assignment:

a. Ensure performance of all functions, duties and powers of SBV in accordance with applicable regulations of law.

b. Ensure performance of responsibilities and entitlements of the Governor and Deputy Governors in accordance with the Working Regulation of the Government, SBV, and other regulations of SBV.

c. Ensure the uniformity, professionalism, initiative and accountability of each member of SBV's management within their scope of operation; enable SBV's management to grasp the overall operation and specific aspects of SBV and the banking industry. Each task shall only be assigned to a specific SBV's management member.

d. Ensure concentration, democracy, transparency, reasonability, effectiveness, efficiency and convenience during task performance.

e. Duty assignment of SBV' management in other documents must comply with the principles and assignment in the Decisions on Duty Assignment of SBV's Management, which will be considered the basis, unless otherwise decided by the Governor or competent authorities.

2. Work relationship between the Governor and Deputy Governors

b. The Governor shall assign Deputy Governors to assist the Governor in regularly and comprehensively monitoring, directing, handling the works of State Bank of Vietnam in each area of work, in each unit, and handle other works within the jurisdiction of the Governor when necessary. Where necessary, the Governor shall directly oversee the tasks that have been assigned to specific Deputy Governors.

The Deputy Governors shall, within their jurisdiction, in the name of the Governor, exercise the entitlements of the Governor to handle, monitor, expedite, inspect the performance of the tasks within the assigned areas and units, and other specifically assigned tasks. Discuss, study, follow other areas, tasks and units of State Bank of Vietnam.

In case an issue occurs during task performance of a Deputy Governor in relation to an area of work or unit of another Deputy Governor, both Deputy Governors shall discuss and reach a consensus on how to handle the issue. In case of dissenting opinions, major or complicated issues, the presiding Deputy Governor shall decide or directly report to the Governor if necessary.

c. With regard to duties that are relevant to multiple Deputy Governors, the Governor shall consider assigning one of them to preside over in the following order of priority: (i) area of work; (ii) unit under management.

d. In the absence of the Governor and where necessary, the Governor shall authorize the Standing Deputy Governor or another Deputy Governor (if the Standing Deputy Governor is also absent) to administer the operation of SBV and handle the Governor's works on behalf of the Governor. The authorized Deputy Governor shall report the results of works handled during the authorization period to the Governor.

e. In case a Deputy Governor is absent, he/she shall inform the Governor, who will directly or appoint another Deputy Governor to handle his/her works in his/her absence.

f. In consideration of actual works, in order to ensure performance of overall duties and entitlements of SBV, the Governor shall consider adjusting the assignment of tasks to the Governor and Deputy Governors prescribed in Article 3 of this Decision and assigning certain tasks to the Deputy Governors in addition to the duties prescribed in this Decision.

g. The Governor and Deputy Governors shall maintain periodic and ad hoc briefings of SBV' management to cooperate in task performance.

Article 2. Responsibilities and entitlements of Deputy Governors:

1. With regard to assigned areas:

a. Direct, instruct relevant units to develop the strategies, programs, plans, schemes, mechanisms, policies, legislative documents and other types of documents (if necessary) to serve management, administration, handling of works in their assigned areas for promulgation within their jurisdiction, or for proposal to the Governor or competent authorities for promulgation, approval, monitoring, and inspection of implementation; promptly resolve any difficulties and issues that arise.

b. Frequently monitor and handle issues within their jurisdiction and issues being debated among Ministries, central authorities, local authorities, relevant organizations, agencies and units of SBV; actively cooperate with other organizations and trade associations in activities within their assigned areas.

c. Promptly submit reports to the Governor on major, important, strategic, sensitive issues; major issues being debated between SBV and Ministries, central authorities and local governments; issues directly raised by the Prime Minister, Deputy Prime Ministers, leaders of the Communist Party of Vietnam or the State; new and unregulated issues.

2. With regard to units of SBV, credit institutions, financial institutions, enterprises under the management of SBV (hereinafter referred to as "units"):

a. Cooperate with other relevant Deputy Governors in overseeing the works of units under their management.

b. Cooperate with the Deputy Governor in charge of the unit in directing relevant units in their assigned areas in order to form connection, ensure close and effective cooperate between the units in each area.

3. Act on behalf of the Governor to sign documents under the jurisdiction of the Governor, documents of SBV within the fiends and tasks assigned or authorized by the Governor (including legislative documents and administrative documents). In the absence of the Governor, the authorized Deputy Governor is entitled to sign the documents under the jurisdiction of the Governor.

Article 3. Specific duty assignment:

- Perform the entitlements and responsibilities of the head of SBV; direct and administer the overall operation of the banking industry.

- Take charge of the following areas: Development of law and institution; strategy for development of the banking industry; administrative reform; banking modernization; construction and development of Electronic Government with an aim to Digital Government of SBV; organization, personnel and HR development; audit of SBV's operation; office works.

- Oversee the representation of state ownership at credit institutions, credit institutions, and state-invested enterprises the state ownership in which is represented by SBV.

- Hold the position of Vietnamese Governor at international financial and monetary organizations: World Bank (WB), International Monetary Fund (IMF); Asia Development Bank (ADB), Asia Infrastructure Investment Bank (AIIB); Bank for International Settlements (BIS), International Investment Bank (IIB), International Bank for Economic Co-operation (IBEC).

- Hold the position of President of Banking Award Council.

- Hold the position of Party Committee Secretary of the Central Bank.

2. Deputy Governor Dao Minh Tu has the following duties:

- Hold the position of Standing Deputy Governor, who will operate SBV in the absence of the Governor (unless the Standing Deputy Governor is also absent).

- Assist the Governor in handling the tasks that are assigned or authorized. Directly oversee works in the following areas:

+ Inspection, supervision, licensing, formulation and promulgation of legislative documents on Cooperative Bank of Vietnam, people's credit funds, microfinance institutions; deposit insurance, operation of Vietnam Association of People's Credit Funds; technical assistance projects of international organizations and international cooperation in terms of cooperative banks, people's credit funds, microfinance, deposit insurance.

+ Oversee the implementation of the Government's Resolutions on carrying on primary duties and solutions for improvement of business operation and national competitiveness; Resolutions on enterprise support and development.

+ Implement the contents and duties specified in the “Restructuring of credit institutions associated with bad debt settlement in 2021 – 2025 period” Scheme (hereinafter referred to as "Scheme 689") promulgated together with the Prime Minister’s Decision No. 689/QD-TTg dated June 8^th 2022 within his jurisdiction; the formulation, guidance, commenting, execution of debt restructuring and bad debt settlement plans of Cooperative Bank of Vietnam, people's credit funds and microfinance institutions.

+ Construction and development of Electronic Government with an aim to Digital Government of SBV.

+ Perform the duties of the representative of state ownership in credit institutions, financial institutions and state-invested enterprises the state ownership in which is represented by SBV within the assigned areas and units; Approval for financial plans, business plans, labor plans, salary plans of these credit institutions, financial institutions and enterprises (except labor plans and salary plans of Vietnam Asset Management Company (VAMC) and National Payment Corporation of Vietnam (NAPAS)

+ Some duties relevant to personnel management, emulation, award and commendation, internal audit, administrative reform, office administration, etc. as specifically assigned by the Governor.

- Hold the position of President of Trade Union of the Banking Industry of Vietnam.

- Hold the position of Head of the Committee for the Advancement of Women in the Banking Industry.

- Hold the position of Spokesperson of SBV.

3. Deputy Governor Doan Thai Son:

- Assist the Governor in handling the tasks that are assigned or authorized. Directly oversee works in the following areas:

+ Legal works; works related to administrative inspection, banking safety policies and mechanisms, settlement of complaints, denunciations, anti-corruption; technical assistance projects of international organizations and international cooperation in banking safety policies and mechanisms, settlement of complaints, denunciations, anti-corruption; scientific research.

+ Development and submission of the Scheme for restructuring of Saigon Joint Stock Commercial Bank (SCB) and DongA Joint Stock Commercial Bank (DongA Bank), and implementation thereof.

+ Implementation of the Strategy for Development of the Banking Industry by 2025 with an orientation towards 2030 and the National Financial Inclusion Strategy.

+ The contents and duties specified in Scheme 689 within his areas of work.

- Hold the position of President of Banking Science and Technology Council.

- Directly oversee and take charge of the following units: Legal Department; Bank Supervision and Inspection Agency (according to assigned areas and tasks); Banking Strategy Institute.

4. Deputy Governor Pham Tien Dung has the following duties:

+ Payment, information technology, digital transformation of the banking industry; credit information activities; licensing payment services; anti-money laundering and combating the financing of terrorism; technical assistance projects of international organizations and international cooperation in anti-money laundering; operation of banking associations (except Vietnam Association for People's Credit Funds); Youth Union Work.

+ The contents and duties specified in Scheme 689 within his areas of work.

+ Perform the duties of the representative of state ownership in credit institutions, financial institutions and state-invested enterprises the state ownership in which is represented by SBV within assigned areas and units; approval for labor plans and salary plans of VAMC and NAPAS.

+ Execution of the project for information system serving supervision of the people's credit funds, microfinance institutions and anti-money laundering solution projects.

- Hold the position of President of Payment and Technology Council of SBV.

- Hold the position of Chief of Management Board of Inter-bank Electronic Payment System.

- Directly oversee and take charge of the following units: Payment Department; Information Technology Department; Bank Supervision and Inspection (according to assigned areas and tasks); Vietnam Credit Information Center (CIC), VAMC; NAPAS.

- Take charge of certain activities in Ho Chi Minh City, including:

+ Directly supervise the HCMC branch of SBV following economic financial developments and banking activities in the city; report to the Governor for timely settlement of major banking and monetary issues and difficulties in the city.

5. Deputy Governor Pham Thanh Ha has the following duties:

- Assist the Governor in handling the tasks that are assigned or authorized. Directly oversee works in the following areas:

+ Monetary policy-making; monitoring of domestic and foreign monetary market developments; foreign exchange management, foreign exchange activities; gold trade; central banking operations; monetary and financial stabilization; forecasting, statistics production; international payment balance.

+ The contents and duties specified in Scheme 689 within assigned areas.

+ The duties of the representative of state ownership at credit institutions, credit institutions, and state-invested enterprises the ownership in which is represented by SBV within the assigned areas and units.

- Hold the position of Chief of Open Market Operation Board.

- Hold the position of Chief of State Foreign-exchange Reserve Management Board.

- Directly oversee and take charge of the following units: the Monetary Policy Department; Forecast and Statistics Department; Monetary and Financial Stabilization Department, Foreign Exchange Department, State Foreign-exchange Reserve Departments, Exchanges.

6. Deputy Governor Pham Quang Dung has the following duties:

+ International cooperation.

+ Oversee the execution, update the progress and results of Scheme 689 for reporting to competent authorities; oversees the contents and duties in Scheme 689 within the assigned areas, the guidance and supervision of implementation of the plans for restructuring and bad debt settlement of credit institutions (except the credit institutions under the jurisdiction of other Deputy Governors).

+ Oversee the development and submission of the schemes for mandatory purchase of banks and credit institutions placed under special control/enhanced supervision (except banks put under special control under the jurisdiction of Deputy Governor Doan Thai Son) and the implementation thereof.

+ + Perform the duties of the representative of state ownership at credit institutions, credit institutions, and state-invested enterprises the ownership in which is represented by SBV within the assigned areas and units.

- Perform the role of Stand-in Vietnamese Governor at international financial and monetary organizations: World Bank (WB), International Monetary Fund (IMF); Asia Development Bank (ADB), Asia Infrastructure Investment Bank (AIIB); Bank for International Settlements (BIS), International Investment Bank (IIB), International Bank for Economic Co-operation (IBEC).

- Take charge of certain activities in Hanoi, including:

+ Directly supervise the Hanoi branch of SBV following economic financial developments and banking activities in the city; report to the Governor for timely settlement of major banking and monetary issues and difficulties in the city.

+ Represent SBV's management in cooperation with the People’s Committee of Hanoi in resolving banking issues in the city.

- Directly oversee and take charge of the following units: International Cooperation Department; Bank Supervision and Inspection Agency (according to assigned areas and tasks).

Article 5. Members of SBV's Management; heads of units of SBV; President of the Board of Directors (Board of Members) and General Directors (Directors) of credit institutions, financial institutions and enterprises under the management of SBV are responsible for the implementation of this Decision./.
