Pursuant to this Circular, public companies may consult sample Statutes given in Appendix 1 to set their internal statutes and ensure compliance with provisions laid down in the Law on Enterprises, the Law on Securities and the Decree No.71.
The sample Statutes are composed of preface and 21 sections that fully meet regulations set out in Article 25 of the 2014 Law on Enterprises and other contents, including:
- Public company’s business objectives;
- Rights to audit public company’s accounting books and records;
- Employees and trade unions;
- Regulations on annual reports, financial statements and responsibilities for information disclosure.
Additionally, the Circular 95/2017/TT-BTC (set to enter into force from November 6, 2017) provides the sample Statutes concerning administration of public companies, given in Appendix 2, for the purpose of meeting other enterprises’ demands for reference and application.
