Under Decree No. 288/2026/ND-CP what is the maximum fine for violations involving declarations in enterprise registration applications?
On July 21, 2026, the Government of Vietnam promulgated Decree No. 288/2026/ND-CP amending and supplementing several articles of Decree No. 122/2021/ND-CP dated December 28, 2021 of the Government of Vietnam on administrative penalties in the field of planning and investment.
Accordingly, Decree No. 288/2026/ND-CP amends Article 43 of Decree No. 122/2021/ND-CP concerning violations involving declarations in enterprise registration applications and applications for registration of operations of branches, representative offices, and business locations as follows:
A fine ranging from VND 30.000.000 to VND 70.000.000 shall be imposed for making untruthful or inaccurate declarations in: applications for registration of the establishment of enterprises or registration of operations of branches or representative offices; applications for registration of changes to enterprise registration information or information concerning the operations of branches, representative offices, or business locations; notices of changes to enterprise registration information or notices of establishment of business locations; applications for enterprise dissolution; information on beneficial owners or information used to identify beneficial owners in enterprise registration applications; notices of changes to information on beneficial owners of enterprises or information used to identify beneficial owners.
Previously, Article 43 of Decree No. 122/2021/ND-CP prescribed a fine ranging from VND 20.000.000 to VND 30.000.000 for making untruthful or inaccurate declarations in an enterprise registration application or an application for registration of changes to enterprise registration information to obtain an Enterprise Registration Certificate or a Certificate of Changes to Enterprise Registration Information.
The above fine applies to organizations. For the same administrative violation, the fine imposed on an individual is one-half of that imposed on an organization.
