- The investor must open 1 foreign-currency payment account at 1 licensed bank to carry out receipt and payment transactions related to the transfer of foreign currency abroad prior to being granted the certificate of outward investment registration, to cover expenses for activities related to the formation of the overseas investment project as prescribed in Clause 2 Article 13 of Decree No. 132/2024/ND-CP (hereinafter referred to as “the pre-investment foreign-currency account”).
- The investor must open 1 pre-investment foreign-currency account for each overseas investment project. In cases where an overseas investment project has multiple participating investors, each investor must open 1 pre-investment foreign-currency account to carry out related transactions.
All receipt and payment transactions related to the transfer of foreign currency before being granted the certificate of outward investment registration, as prescribed in Article 5 of Circular No. 40/2025/TT-NHNN must be conducted through the pre-investment foreign-currency account.
- When the investor wishes to change the type of foreign currency of the pre-investment foreign-currency account to another type of foreign currency at the same licensed bank, or to change the licensed bank where the pre-investment foreign-currency account is opened (including changing the type of foreign currency), within 10 working days from the date of opening the new pre-investment foreign-currency account, the investor must convert the foreign currency and transfer the balance on the previously opened pre-investment foreign-currency account to the new pre-investment foreign-currency account, and simultaneously close the previously opened account. The investor may only carry out receipt and payment transactions related to pre-investment foreign-currency transfer on the newly opened pre-investment foreign-currency account after closing the previously opened pre-investment foreign-currency account.
- Where the overseas investment project is not formed or the investor is not granted a certificate of outward investment registration, the investor must transfer back to Vietnam (if any) the unused foreign currency previously transferred abroad through the pre-investment foreign-currency account and must close the pre-investment foreign-currency account that has already been opened.
- After the project is granted the certificate of outward investment registration, the pre-investment foreign-currency account prescribed in this Article shall be used as the investment capital account, as prescribed in Clause 3 Article 14 of Decree No. 132/2024/ND-CP The investor must also register foreign exchange transactions with the State Bank of Vietnam’s Branch in the Region (hereinafter referred to as the “Regional Branch of the State Bank of Vietnam”) in accordance with Article 10 of Circular No. 40/2025/TT-NHNN.
