NGHỊ QUYẾT

 VỀ VIỆC THI HÀNH BỘ LUẬT DÂN SỰ

 QUỐC HỘI NƯỚC CỘNG HOÀ XÃ HỘI CHỦ NGHĨA VIỆT NAM

Căn cứ vào Hiến pháp nước Cộng hoà xã hội chủ nghĩa Việt Nam năm 1992 đã được sửa đổi, bổ sung theo Nghị quyết số 51/2001/QH10 ngày 25 tháng 12 năm 2001 của Quốc hội khóa X, kỳ họp thứ 10;

QUYẾT NGHỊ

1. Bộ luật dân sự được Quốc hội nước Cộng hoà xã hội chủ nghĩa Việt Nam khoá XI, kỳ họp thứ 7 thông qua ngày 14 tháng 6 năm 2005, có hiệu lực từ ngày 01 tháng 01 năm 2006.

Bộ luật dân sự này thay thế Bộ luật dân sự được Quốc hội thông qua ngày 28 tháng 10 năm 1995.

Pháp lệnh hợp đồng kinh tế ngày 29 tháng 9 năm 1989 hết hiệu lực kể từ ngày Bộ luật dân sự có hiệu lực.

2. Đối với giao dịch dân sự được xác lập trước ngày Bộ luật dân sự có hiệu lực thì việc áp dụng pháp luật được quy định như sau:

a) Giao dịch dân sự đang được thực hiện mà có nội dung và hình thức phù hợp với quy định của Bộ luật dân sự thì áp dụng các quy định của Bộ luật dân sự;

b) Giao dịch dân sự đang được thực hiện mà có nội dung và hình thức khác với quy định của Bộ luật dân sự hoặc giao dịch dân sự được thực hiện xong trước ngày Bộ luật dân sự có hiệu lực mà có tranh chấp xảy ra thì áp dụng quy định của Bộ luật dân sự năm 1995 và các văn bản pháp luật hướng dẫn áp dụng Bộ luật dân sự năm 1995 để giải quyết;

c) Thời hiệu hưởng quyền dân sự và thời hiệu miễn trừ nghĩa vụ dân sự được áp dụng theo quy định của Bộ luật dân sự.

3. Thời hiệu yêu cầu Toà án tuyên bố giao dịch dân sự vô hiệu đối với những giao dịch dân sự được xác lập sau ngày Bộ luật dân sự được công bố được áp dụng theo quy định của Bộ luật dân sự.

4. Chính phủ, Toà án nhân dân tối cao, Viện kiểm sát nhân dân tối cao trong phạm vi chức năng, nhiệm vụ của mình có trách nhiệm:

a) Tự mình hoặc phối hợp với các cơ quan hữu quan tổ chức việc rà soát các quy định của pháp luật về dân sự hiện hành để huỷ bỏ, sửa đổi, bổ sung, ban hành văn bản mới hoặc đề nghị Quốc hội, Uỷ ban thường vụ Quốc hội huỷ bỏ, sửa đổi, bổ sung hoặc ban hành văn bản mới cho phù hợp với quy định của Bộ luật dân sự, bảo đảm hiệu lực của Bộ luật dân sự từ ngày 01 tháng 01 năm 2006;

b) Phối hợp với Uỷ ban trung ương Mặt trận Tổ quốc Việt Nam và các tổ chức thành viên của Mặt trận tuyên truyền, phổ biến rộng rãi Bộ luật dân sự trong cán bộ, công chức và nhân dân nhằm góp phần tăng cường pháp chế xã hội chủ nghĩa, phát huy tác dụng của Bộ luật dân sự trong bảo vệ lợi ích của Nhà nước, quyền và lợi ích hợp pháp của cá nhân, cơ quan, tổ chức.

5. Uỷ ban thường vụ Quốc hội, Chính phủ, Toà án nhân dân tối cao, Viện kiểm sát nhân dân tối cao trong phạm vi chức năng, nhiệm vụ của mình hướng dẫn thi hành Nghị quyết này.

Nghị quyết này đã được Quốc hội nước Cộng hoà xã hội chủ nghĩa Việt Nam khoá XI, kỳ họp thứ 7 thông qua ngày 14 tháng 6 năm2005.

RESOLUTION

ON IMPLEMENTATION OF THE CIVIL CODE

THE NATIONAL ASSEMBLY OF THE SOCIALIST REPUBLIC OF VIETNAM

Pursuant to the 1992 Constitution of the Socialist Republic of Vietnam, which was amended and supplemented under Resolution No. 51/2001/QH0 of December 25, 2001, of the Xth National Assembly, the 10th session,

RESOLVES:

1. The Civil Code was passed on June 14, 2005, by the XIth National Assembly of the Socialist Republic of Vietnam, at its 7th session, and takes effect as from January 1, 2006.

This Civil Code shall replace the Civil Code passed on October 28, 1995, by the National Assembly.

The September 29,1989 Ordinance on Economic Contracts shall cease to be effective as from the effective date of the Civil Code.

Code, the application of law shall be provided as follows:

a/ For civil transactions which are being performed and have their contents and forms compatible with the provisions of the Civil Code, the provisions of the Civil Code shall apply;

b/ For civil transactions which are being performed and have their contents and forms variant with the provisions of the Civil Code, or civil transactions completely performed before the effective date of the Civil Code but entailing disputes, the provisions of the 1995 Civil Code and the documents guiding the implementation of the 1995 Civil Code shall apply to the settlement thereof;

c/ The statute of limitations for enjoyment of civil rights and the statute of limitations for exemption from civil obligations shall comply with the provisions of the Civil Code.

3. The statute of limitations for requesting the court to declare null and void civil transactions established after the date the Civil Code is promulgated shall comply with the provisions of the Civil Code.

4. The Government, the Supreme People's Court and the Supreme

People's Procuracy shall, within the ambit of their respective functions and tasks, have the responsibilities:

a/ To review by themselves or in coordination with the concerned agencies the current provisions of civil law in order to annul, amend, supplement them or promulgate new documents or propose the National Assembly or the National Assembly Standing Committee to annul, amend or supplement them or to promulgate new documents to suit the provisions of the Civil Code, ensuring the effect of the Civil Code as from January 1, 2006;

b/ To coordinate with the Vietnam Fatherland Front Central Committee and the Front's member organizations in propagating and disseminating the Civil Code widely among public servants and people so as to contribute to enhancing socialist legality, promoting the effect of the Civil Code in the protection of the interests of the State, legitimate rights and interests of individuals, agencies and organi­zations.
