CIRCULAR
REGULATIONS ON SCHOOL BOARDS OF
PRIVATE HIGHER EDUCATION INSTITUTIONS AND PRIVATE VOCATIONAL EDUCATION
INSTITUTIONS
Pursuant to the Law on Education No. 43/2019/QH14 amended by the Law No.
123/2025/QH15;
Pursuant to the Law on Higher Education No. 125/2025/QH15;
Pursuant to the Law on Vocational Education No. 124/2025/QH15;
Pursuant to the Government’s Decree No. 279/2026/ND-CP dated July 12,
2026 on functions, tasks, powers and organizational structure of the Ministry
of Education and Training of Vietnam;
At the request of the Director of the Department of Organization and
Personnel;
The Minister of Education and Training promulgates Circular on
regulations on school boards of private higher education institutions and
private vocational education institutions.

GENERAL PROVISIONS
Article 1. Scope
This
Circular provides for:
1.
Structure, standards applicable to members of school boards, tasks, powers,
term of office, and procedures for election, appointment, and dismissal of
presidents and members of private school boards; and operation and supervision
mechanisms applicable to university councils of private universities, and
school boards of private higher education institutions (hereinafter referred to
as school boards of private higher education institutions).
2.
Structure, standards applicable to members, tasks, powers, term of office,
election or appointment, and dismissal of presidents and members of school
boards; operation and supervision mechanisms applicable to school boards; and
relationship between investors and school boards, and principals of private
vocational education institutions (hereinafter referred to as school boards of
private vocational education institutions).
Article 2. Regulated entities
1.
Private higher education institutions and non-profit private higher education
institutions (hereinafter referred to as “private higher education
institutions”).
2.
Private vocational education institutions.
3.
Investors, school boards, principals, and organizations and individuals
involved in organization and operation of school boards specified in clauses 1
and 2 of this Article.

SCHOOL BOARDS OF
PRIVATE HIGHER EDUCATION INSTITUTIONS
Article 3. Tasks and powers
1.
Perform tasks and exercise powers specified in clause 1, Article 17 of the Law
on Higher Education No. 125/2025/QH15 and other relevant laws;
2.
Propose and determine specific mission and development strategies for private
higher education institutions, and submit them to investors for approval in
accordance with regulations.
3.
Decide to appoint or dismiss directors, principals, deputy directors, and vice
principals of private higher education institutions after receipt of written
approvals of personnel plans from investors in accordance with regulations of
law.
4.
Supervise the implementation of strategies, development plans, and resolutions
of school boards, accountability and management by principals in accordance
with regulations of law.
5.
Request principals, units, organizations, and individuals at private higher
education institutions to fully and promptly provide information and documents
serving performance of tasks and exercise of powers of school boards.
6.
Perform other tasks and powers in accordance with the law and regulations
on organization and operation of private higher education institutions.
Article 4. Structure and standards applicable to members of school boards

2.
A member of the school board shall meet the following minimum standards:
a)
He/she has moral qualities, prestige, capacity, and experience suitable for
his/her tasks; complies with guidelines and lines of the Communist Party, and
the State’s policies and laws;
b)
He/she has full civil capacity; and is not declared by a Court that he/she is
lost or has restricted civil capacity, or has difficulties in cognition and
behavior control;
c)
He/she does not serve a prison sentence or is not subject to an administrative
measure of sending him/her to a compulsory detoxification center or a
compulsory educational institution, or a compulsory medical treatment measure;
d)
He/she meets conditions and standards applicable to participants they represent
in the school board in accordance with regulations of law and regulations on
organization and operation of the educational institution.
3.
The president of the school board shall meet the standards applicable to
members as prescribed in clause 2 of this Article, have the capacity to
organize and manage the operations of the school board, and must not
concurrently act as principal of the private higher education institution.
4.
Based on regulations of this Circular, the private higher education institution
shall be responsible for specifying the number, ratio, structure, and standards
applicable to members and the president of the school board in its regulations
on organization and operation after obtaining approval from the investor;
specific standards shall not be less stringent than those prescribed in this
Article.
Article 5. Term of office of member of school board
1.
The term of office of school board member shall be specified by regulations on
organization and operation of the private higher education institution, but
shall not exceed 05 years.

3.
When a school board member has his/her membership terminated or is dismissed,
the investor shall be responsible for designating, additionally appointing, or
replacing members within his/her jurisdiction, ensuring that the number,
structure, and standards applicable to school board members comply with
regulations. The replacement of one or several school board members must not
terminate the term of office or tenure of the principal, unless otherwise
prescribed by law or regulations on organization and operation of the private
higher education institution.
Article 6. Procedures for electing and appointing president and members
of school board
1.
Procedures for electing and appointing president and members of the school
board of the private higher education institution shall be followed as follows:
a)
The investor shall determine the number and structure of school board members
in accordance with regulations of law and regulations on organization and
operation; and request relevant representative organizations and groups to
recommend, elect, or appoint personnel based on the specified structure;
b)
The investor shall review documents, conditions, and standards applicable to
personnel; organize meetings and issue decisions on appointment of school board
members. Such meetings must be recorded in the minutes, which contain all
opinions, voting results, and the content of the decisions.
c)
The investor shall be responsible for convening and presiding over the meeting
for school board members to elect the president of the school board among the
members who meet the standards. The election of the president shall be held by
secret ballot and must be approved by more than 50% of total number of school
board members;
d)
On the basis of the election result, the investor shall issue a decision on
appointment of the president of the school board.
2.
The additional appointment of school board members shall be based on the
determined structure and the procedures specified in points a and b, clause 1
of this Article. In case of designation of the president of the school board,
the corresponding procedures specified in points c and d, clause 1 of this
Article shall be followed.
3.
Within 05 working days from the date of issuance of the decision on
establishment, appointment, additional appointment, or replacement of the
president or members of the school board, the private higher education
institution shall send the decision to the Ministry of Education and Training
and the People's Committee of province where its head office, campus, or
training location is located for monitoring and management within their
jurisdiction.

Article 7. Termination of status and dismissal of president and members
of school board
1.
The status of president or member of the school board shall be terminated in
one of the following cases:
a)
His/her term of office expires;
b)
He/she dies or is declared by a Court that he/she is deceased, is lost or has
restricted civil capacity, or has difficulties in cognition and behavior
control;
c)
He/she no longer belongs to the representative component according to the
school board structure, and the competent representative organization or group
requests a replacement;
d)
He/she submits an application to cease participation in the school board and
the investor grants a written approval;
dd)
He/she is dismissed as prescribed in clause 2 of this Article;
e)
Other cases as provided for by law and regulations on organization and
operation of the educational institution.
2.
The president or members of the school board shall be considered for dismissal
when they no longer meet the standards and conditions; commit serious
violations or repeatedly fail to perform their tasks; abuse their positions and
jurisdiction to cause damage to the legitimate rights and interests of the
educational institution or relevant organizations and individuals; or fall
under other cases as provided for by law.

4.
In case the president of the school board has his/her status terminated or is
dismissed, the investor shall assign a school board member who is not the
principal of the higher education institution to temporarily perform the tasks
of the president until a new president is appointed, within 06 months from the
date the president’s status is terminated or the dismissal decision takes
effect.
5.
When the president or a member of the school board has their status terminated
or is dismissed, the investor shall organize the designation of the school
board in accordance with the regulations of clause 2, Article 6 of this
Circular. The designation of the position of school board president must be
completed within the time limit specified in clause 4 of this Article
6.
Within 05 working days from the date of issuance of the decision on the dismissal
of the president or member of the school board of the private higher education
institution, the private higher education institution is responsible for
sending the decision to the Ministry of Education and Training and the People's
Committee of province where the private higher education institution's head
office, campus, or training location is located for monitoring and management
within their jurisdiction.
7.
The private higher education institution is responsible for specifying
documents, and procedures for termination of status, suspension of performance
of tasks, and dismissal of the president and members of the school board in its
regulations on organization and operation, according to regulations of this
Article, other relevant laws, and actual conditions of the private higher
education institution.
Article 8. Inspection and supervision mechanism
1.
The school board of a private higher education institution shall operate in
accordance with regulations of clause 2, Article 17 of the Law on Higher Education
No. 125/2025/QH15 and other relevant laws.
2.
The president of the school board shall convene and preside over periodic or ad
hoc meetings of the school board; and sign resolutions, decisions, records, and
documents within the jurisdiction of the school board. In case the president is
unable to perform tasks, such meetings shall be convened and presided over in
accordance with regulations on organization and operation.
3.
A school board meeting shall be valid when more than 50% of total number of members
attend. The time and methods of organization of school board meetings shall be
specified in regulations on organization and operation of the private higher
education institution.
4.
Resolutions and decisions shall be adopted when approved by more than 50% of
total number of school board members, unless a higher percentage is prescribed
by law or regulations on organization and operation. Each school board member
shall have 01 (one) vote, and the votes of all members shall have the equal
value. After being adopted, the resolutions and decisions of the school board
must be publicly disclosed within the private higher education institution and
reported to the investor and management authorities in accordance with the law.

6.
The school board shall proactively apply digital technology, artificial
intelligence, and other advanced technologies under the control to its
management and operations, according to the principles of data safety, information
security, and electronic record storage in accordance with the actual
conditions of the private higher education institution and relevant laws.
7.
Pursuant to regulations of this Article and other relevant regulations, the
private higher education institution shall specify the operational mechanism,
meetings, and the public disclosure of resolutions, decisions, and supervision
results in the regulations on organization and operation of the private higher
education institution.
Chapter III
SCHOOL BOARD OF
PRIVATE VOCATIONAL EDUCATION INSTITUTION
Article 9. Tasks and powers
1.
Perform tasks and exercise powers specified in clause 1, Article 13 of the Law
on Vocational Education No. 124/2025/QH15 and other relevant laws.
2.
Appoint and dismiss the principal and vice-principals in accordance with
regulations of law and the regulations on the organization and operation of the
private vocational education institution.
3.
Supervise the implementation of resolutions of school boards, strategies,
development plans, and accountability and management by principals.
4.
Request principals, organizations, and individuals at private vocational
education institutions to provide information and documents serving performance
of tasks and exercise of powers of school boards.

Article 10. Structure and standards applicable to members of school
boards
1.
The school board shall consist of an odd number of members. It includes no more
than 15 members and its composition shall comply with regulations of clause 3,
Article 13 of the Law on Vocational Education No. 124/2025/QH15.
2.
Members of the school board shall meet the standards corresponding to those
specified in clause 2 Article 4 of this Circular.
3.
The president of the school board shall meet the standards applicable to
members as prescribed in clause 2 of this Article, have the capacity to
organize and manage the operations of the school board, and must not
concurrently act as principal of the private vocational education institution.
4.
Based on regulations of this Circular, the private vocational education
institution shall be responsible for specifying the number, ratio, structure,
and standards applicable to members and the president of the school board in
its regulations on organization and operation after obtaining approval from the
investor; specific standards shall not be less stringent than those prescribed
in this Article.
Article 11. Term of office of member of school board
1.
The term of office of school board member shall be specified by regulations on
organization and operation of the private vocational education institution, but
shall not exceed 05 years.
2.
The school board of a private vocational education institution is a governing
body that operates continuously. The expiration of a term of office,
termination of status, dismissal of a member, or the addition or replacement of
one or several members must not terminate the operation of the school board.
3.
When a school board member has his/her membership terminated or is dismissed,
the investor shall be responsible for designating, additionally appointing, or
replacing members within his/her jurisdiction, ensuring that the number,
structure, and standards applicable to school board members comply with
regulations. The replacement of one or several school board members must not
terminate the term of office or tenure of the principal, unless otherwise prescribed
by law or regulations on organization and operation of the private vocational
education institution.

1.
Procedures for electing and appointing president and members of the school
board of the private vocational education institution shall be followed as
follows:

c)
In case of election of the president of school board, the investor shall be
responsible for convening and presiding over the meeting for school board
members to elect the president of the school board among the members who meet
the standards and issue a decision. The election of the president shall be held
by secret ballot and must be approved by more than 50% of total number of
school board members;
d)
In case of appointment of the president of school board, the investor shall
consider selecting a school board member who fully meets the standards to be
appointed to the position of the president of the school board and issue a
decision. The appointment of the president of the school board must be recorded
in the minutes, which contain bases, the review process, and the personnel
selection results.
2.
The additional appointment or replacement of members, or the designation of the
president of the school board during the term of office, shall be consistent
with the determined structure and the corresponding procedures specified in
clause 1 of this Article.
3.
The private vocational education institution is responsible for specifying
documents and procedures for recommendation, election, appointment, additional
appointment, replacement, designation of the president and members of the
school board in its regulations on organization and operation, in accordance
with this Article, other relevant laws, and actual conditions of the private
vocational education institution.
4.
Within 05 working days from the date of issuance of the decision on election or
appointment of the president or members of the school board, the private
vocational education institution shall send the decision to the Ministry of
Education and Training and the People's Committee of province where its head
office, campus, or training location is located for monitoring and management
within their jurisdiction.
Article 13. Termination of status and dismissal of president and members
of school board

2.
The dismissal of the president or a member of the school board shall comply
with regulations in clause 2 and clause 3 Article 7 of this Circular.
3.
In case the president of the school board has his/her status terminated or is
dismissed, the investor shall assign a school board member who is not the
principal of the vocational education institution to temporarily perform the
tasks of the president until a new president is appointed or elected, within 06
months from the date the president’s status is terminated or the dismissal
decision takes effect.
4.
When the president or a member of the school board has their status terminated
or is dismissed, the investor shall organize the designation of the school
board in accordance with the regulations of clause 2, Article 12 of this
Circular. The designation of the position of school board president must be
completed within the time limit specified in clause 3 of this Article.
5.
Within 05 working days from the date of issuance of the decision on the
dismissal of the president or member of the school board of the private
vocational education institution, the private vocational education institution
is responsible for sending the decision to the Ministry of Education and
Training and the People's Committee of province where the private vocational
education institution's head office, campus, or training location is located
for monitoring and management within their jurisdiction.
6.
The private vocational education institution is responsible for specifying
documents, and procedures for termination of status, suspension of performance
of tasks, and dismissal of the president and members of the school board in its
regulations on organization and operation, according to regulations of this
Article, other relevant laws, and actual conditions of the private vocational
education institution.
Article 14. Inspection and supervision mechanism
1.
The school board of a private vocational education institution shall operate in
accordance with regulations of clause 2, Article 13 of the Law on Higher
Education No. 124/2025/QH15.

Article 15. Relationship between investor, school board, and principal
1.
The investor shall exercise their rights and responsibilities towards the
private vocational education institution in accordance with regulations of law
and regulations on organization and operation; and respect the autonomy,
accountability, and jurisdiction of the school board and the principal.
2.
The investor shall elect, appoint, replace, terminate the status of, or dismiss
the president and members of the school board in accordance with regulations of
law and the regulations on the organization and operation of the private
vocational education institution.
3.
The investor shall exercise the supervision right through the school board and
other lawful supervision mechanisms; maintain operation conditions for the
school board and the educational institution; and must not obstruct the
implementation of lawful resolutions and decisions of the school board and the
lawful management and administration by the principal.
4.
The school board shall perform the functions of governance, resolution, and
supervision within its jurisdiction; and shall not directly interfere in
management and administration by the private vocational education institution,
which fall under the responsibility of the principal.
5.
The principal shall organize the implementation of lawful resolutions and
decisions of the school board; directly manage and administer the operations of
the vocational education institution; and be responsible for reporting and
explaining to the investor and the school board on strategies, plans,
organization, personnel, finance, assets, and other contents in accordance with
regulations.
6.
Pursuant to regulations of this Article and other relevant regulations, the
private vocational education institution shall specify the relationship between
the investor, the school board, and the principal in regulations on
organization and operation of the private vocational education institution as
prescribed by law.
Chapter IV
IMPLEMENTATION
CLAUSES

1.
The school board of a private higher education institution that was lawfully
established or recognized prior to the effective date of this Circular and
whose term of office has not yet expired may continue its operations until the
end of its term of office, unless it is improved, reorganized, or terminated in
accordance with regulations of law and this Circular. Tasks, powers,
operational mechanism, additional appointment, replacement, termination of
status, and dismissal of the president and members of the school board shall
comply with the regulations of this Circular.
2.
The Board of Directors of a private vocational education institution lawfully
recognized prior to January 01, 2026, shall continue to perform its tasks and
powers in accordance with clause 10, Article 45 of the Law on Vocational
Education No. 124/2025/QH15. Documents lawfully issued by the Board of
Directors or the sole individual or organization owning the private vocational
education institution shall continue to be applied in accordance with clause
11, Article 45 of the Law on Vocational Education No. 124/2025/QH15.
3.
Within 30 days from the date the investor issues the decision on the establishment
of the school board of the private vocational education institution, the Board
of Directors is responsible for handing over to the school board all relevant
documents, tasks, finances, assets, rights, and obligations. The handover must
be recorded in writing, clearly specifying the handed-over contents, the
contents currently being processed, and the responsibilities of relevant
organizations and individuals.
4.
In case regulations on organization and operation of the private higher
education institution or private vocational education institution have not yet
been issued or amended in accordance with this Circular, the investor, the
school board, and the institution shall conduct the establishment, improvement,
recommendation, selection, election, appointment, additional appointment,
replacement, termination of status, and dismissal of the president and members
of the school board in accordance with this Circular and other relevant laws.
5.
Within 06 months from the effective date of this Circular, the educational
institution governed by this Circular shall be responsible for issuing or
reviewing and amending its regulations on organization and operation and other
relevant internal regulations to be consistent with this Circular.
Article 17. Effect
This
Circular takes effect from August 27, 2026.
Article 18. Responsibilities for implementation
Ministers,
Heads of ministerial-level agencies, Chairpersons of People's Committees of
provinces and cities; heads of private higher education institutions and
private vocational education institutions; investors, presidents, and members
of the school boards of private higher education institutions and private
vocational education institutions; and relevant organizations and individuals
shall be responsible for the implementation of this Circular./.
