LÝ MUA BÁN HÀNG HOÁ VỚI NƯỚC NGOÀI
Để thi hành các quy định tại
mục II Chương III Nghị định số 57/1998/NĐ-CP ngày 31/7/1998 của Chính phủ quy định
chi tiết thi hành Luật Thương mại về hoạt động xuất khẩu, nhập khẩu, gia công
và đại lý mua bán hàng hoá với nước ngoài.
Căn cứ Thông tư số 18/1998/TT-BTM ngày 28/8/1998 của Bộ Thương mại hướng dẫn
thực hiện Nghị định số 57/1998/NĐ-CP ngày 31/7/1998 của Chính phủ về hoạt động
xuất khẩu, nhập khẩu, gia công và đại lý mua bán hàng hoá với nước ngoài;
Bộ Thương mại hướng dẫn bổ sung mục 6 (đặt gia công hàng hoá ở nước ngoài) tại
phần II (về gia công với thương nhân nước ngoài) của Thông tư số 18/1998/TT-BTM
nói trên như sau:
6- Đặt gia công
hàng hoá ở nước ngoài:
a/ Thương nhân Việt Nam thuộc mọi
thành phần kinh tế đều được đặt gia công hàng hoá ở nước ngoài phù hợp với quy
định của pháp luật Việt Nam và pháp luật của nước đặt gia công.
b/ Sản phẩm đặt
gia công ở nước ngoài chủ yếu dùng để xuất khẩu hoặc tiêu thụ tại nước đặt gia
công. Trường hợp sản phẩm gia công nhập khẩu trở lại Việt Nam thì thương nhân
chỉ được đặt gia công những công đoạn sản xuất mà Việt Nam chưa thực hiện được
hoặc chưa đảm bảo các yêu cầu về chất lượng.
c/ Hàng hoá xuất khẩu để đặt gia
công ở nước ngoài (bao gồm máy móc thiết bị, vật tư, nguyên liệu, phụ liệu), nếu
thuộc danh mục hàng hoá cấm xuất khẩu, hoặc xuất khẩu phải có giấy phép của Bộ
Thương mại, trước khi ký hợp đồng gia công phải được Bộ Thương mại chấp thuận bằng
văn bản.
d/ Hàng hoá tạm xuất khẩu để thực
hiện hợp đồng gia công (bao gồm máy móc thiết bị, vật tư, nguyên liệu, phụ liệu)
và nhập khẩu trở lại Việt Nam các sản phẩm gia công thì được miễn thuế xuất khẩu,
thuế nhập khẩu. Trường hợp các sản phẩm gia công nói trên không nhập khẩu trở lại
Việt Nam thì phải chịu thuế xuất khẩu đối với hàng hoá đã xuất khẩu để gia
công.
đ/ Trường hợp sản phẩm gia công
được nhập khẩu trở lại Việt Nam có phần vật tư, nguyên liệu, phụ liệu mua ở nước
ngoài để gia công thì phần vật tư, nguyên liệu, phụ liệu này phải chịu thuế nhập
khẩu.
Thông tư này có hiệu lực sau 15
ngày kể từ ngày ký.

CIRCULAR SUPPLEMENTING THE TRADE MINISTRY’S CIRCULAR
NO. 18/1998/TT-BTM OF AUGUST 28, 1998 GUIDING THE IMPLEMENTATION OF THE
GOVERNMENT’S DECREE NO. 57/1998/ND-CP OF JULY 31, 1998 WHICH DETAILS THE
IMPLEMENTATION OF THE COMMERCIAL LAW REGARDING THE GOODS IMPORT, EXPORT,
PROCESSING AS WELL AS SALE AND PURCHASE AGENCY ACTIVITIES WITH FOREIGN
COUNTRIES To realize the provisions in Section II, Chapter
III of the Government’s Decree No. 57/1998/ND-CP
detailing the implementation of the Commercial Law regarding the goods import,
export, processing as well as sale and purchase agency activities with foreign
countries; Pursuant to Circular No. 18/1998/TT-BTM of
August 28, 1998 of the Ministry of Finance guiding the implementation of the
Government’s Decree No. 57/1998/ND-CP of July 31, 1998, which
details the implementation of the Commercial Law regarding the goods import,
export, processing as well as sale and purchase agency activities with foreign
countries; The Ministry of Trade hereby guides the
supplement to Section 6 (ordering goods processing overseas), Part II (on
processing activities with foreign traders) of the above-mentioned Circular No.
18/1998/TT-BTM as follows: 6. Ordering goods processing abroad: a) Vietnamese traders of all economic sectors
may order the overseas processing of goods according to the provisions of
Vietnamese legislation and law of the goods-processing countries. b) Overseas processed products are mainly for
export or consumption at the goods-processing countries. In cases where the
processed products shall be re-imported into Vietnam, the traders are entitled
to order the processing only of parts which have not yet been made in Vietnam
or which have been produced in Vietnam but fail to meet the quality

performance of processing contracts (including machinery, equipment, supplies,
raw materials and auxiliary materials) and the processed products shall be
re-imported into Vietnam shall be exempt from import and export tax. In cases
where the above-said processed products are not re-imported into Vietnam, the
export tax on goods already exported for processing must be paid. e) In cases where the processed products
re-imported into Vietnam partly consist of supplies, raw materials and
auxiliary materials bought overseas for the processing, such part of supplies,
raw materials and auxiliary materials must be subject to import tax. This Circular takes effect 15 days after its
