PROMULGATING
FORMS USED IN REGISTRATION OF ENTERPRISES AND HOUSEHOLD BUSINESSES
Pursuant to the Law on Enterprises dated June
17, 2020; the Law on amendments to the Law on Enterprises dated June 17, 2025;
Pursuant to the Government’s Decree No.
168/2025/ND-CP dated June 30, 2025 on enterprise registration;
Pursuant to the Government’s Decree No.
29/2025/ND-CP dated February 24, 2025 defining functions, tasks, powers and
organizational structure of the Ministry of Finance of Vietnam;
Pursuant to the Government’s Decree No. 166/2025/ND-CP
dated June 30, 2025 providing amendments to the Government’s Decree No.
29/2025/ND-CP dated February 24, 2025 defining functions, tasks, powers and
organizational structure of the Ministry of Finance of Vietnam;
At the request of the Director of the Sole
Proprietorship and Collective Economy Development Department;
The Minister of Finance of Vietnam promulgates a
Circular promulgating forms used in registration of enterprises and household
businesses.

1. This Circular introduces the forms used in
registration of enterprises and household businesses.
2. This Circular applies to the entities specified
in Article 2 of the Government’s Decree No. 168/2025/ND-CP dated June 30, 2025
on enterprise registration.
Article 2. Forms used in
registration of enterprises and household businesses
1. Forms used in enterprise registration are
provided in Appendix I enclosed herewith.
2. Forms used in household business registration are
provided in Appendix II enclosed herewith.
Article 3. Effect
1. This Circular comes into force from July 01,
2025.
2. The forms provided in Appendix I enclosed with
the Circular No. 43/2025/TT-BTC dated June 17, 2025 of the Minister of Finance
of Vietnam promulgating forms used in state management of household businesses,
artels, cooperatives and cooperative unions upon organization of 02-level local
governments are abrogated.
3. The following Circulars shall cease to have
effect from the effective date of this Circular:

b) The Circular No. 02/2023/TT-BKHDT dated April
18, 2023 of the Minister of Planning and Investment providing amendments to
Circular No. 01/2021/TT-BKHDT dated March 16, 2021 providing guidance on
enterprise registration.
4. Provincial-level business registration
authorities, commune-level business registration authorities, enterprises,
household businesses, and other organizations and individuals involved in
registration of enterprises and household businesses are responsible for the
implementation of this Circular./.

3 In case an enterprise is granted the
Enterprise Registration Certificate after the declared business commencement
date, the business commencement date will fall on the day on which the
enterprise is granted the Enterprise Registration Certificate.
4 - If the accounting period is
the calendar year, the period from January 01 to December 31 shall be
specified.
- If the accounting period is the financial year
other than the calendar year, the starting day and month of the accounting
period shall fall on the first day of the quarter; the ending day and month of
the accounting period shall be the last day of the quarter.
- Total period of time ranging from the starting
date to the ending date of the accounting period must be 12 months or four
consecutive quarters in full.
5 This section is required only if the
sole proprietorship is newly established. The enterprise applying for
registration shall consult legislative regulations on value added tax and its
proposed business activities to select one out of four VAT calculation methods
in this section, except an enterprise that engages in trading and/or processing
of gold, silver and precious stones, and thus is allowed to select the “direct
calculation based on the value added” option in addition to the selected option
(if any).
6 This section is not required if the
enterprise is established from conversion of the business type.
7 The sole proprietor shall directly
sign this section.
- If a Court or Arbitral Tribunal appoints a person
to follow enterprise registration procedures, the appointee may sign directly
in this section.
