CIRCULAR
PROVIDING
SOME FORMS USED IN THE ORGANIZATION AND OPERATION OF ARBITRATION
Pursuant to the Law on Commercial Arbitration
June 17th 2010;
Pursuant to the Government's Decree No.
63/2011/NĐ-CP dated July 28th 2011, detailing and guiding the
implementation of a number of articles of the Law on Commercial Arbitration;
Pursuant to the Government's Decree No.
93/2008/NĐ-CP dated August 22nd 2008, defining the functions, tasks,
powers and organizational structure of the Ministry of Justice.
For the purpose of uniformly managing and using
the forms for arbitration, the Ministry of Justice provides and guides the use
of the forms for the organization and operation of arbitration as follows:

Vietnamese citizens qualified for being arbitrators
that apply for establishing arbitration centers.
The Services of Justice of central-affiliated
cities and provinces (hereinafter referred to as Services of Justice)
Arbitration centers, branches of arbitration
centers, foreign arbitral institutions, branches and representative offices of
foreign arbitral institutions in Vietnam that carry out administrative
procedures relevant to the arbitral practice in Vietnam.

2. The forms provided in Clause 1 this Article are
designed on A4 paper, 05 forms of logbooks are designed on A3 paper.
Article 4. The sample charter
of an arbitration center
The charter of an arbitration center is compiled
based on Article 7 of the Government's Decree No. 63/2011/NĐ-CP dated July 28th
2011, detailing and guiding the implementation of a number of articles of the
Law on Commercial Arbitration; the structures of chapters, articles, clauses,
points, and the document format are provided in Form No. 01/TP-TTTM enclosed
with this Circular.
The draft charter of the arbitration center
approved by the Ministry of Justice shall be issued together with the Decision
of the Minister of Justice, and bear the Minister’s stamp.

1. The forms provided in Article 3 of this Circular
shall posted on the website of the Ministry of Justice.
2. Services of Justice, arbitration centers,
branches of arbitration centers, foreign arbitral institutions, branches and
representative offices of foreign arbitral institutions in Vietnam, the
individuals that shall enter the website of the Ministry of Justice
(www.moj.gov.vn) to print and use the form provided in Article 3 of this
Circular.
Article 6. The rules for
filling logbooks, using forms, depositing reports, documents, and logbooks
The forms provided in Clause 1 Article 3 of this Circular
must be used properly, the information requested in the form must be
completely, clearly, and accurately provided. It is prohibited to change the
content and structure of the forms.
The logbooks are made every year. The logbooks made
on computers must be monthly printed, and each page thereof must bear the stamp
of the arbitral institution. The legal representative of the arbitral
institution shall sign and put on the stamp at the end of the logbook.
The information must be accurate, the writing must
be clear, without abbreviating and erasing, and written using the same kind of
ink. The information may be entered on a computer.
The logbook must be written continuously without
blank pages, all pages must bear the overlapping stamps.
The logbook must be numbered from 01 until the end
of the year; if a new logbook is used before the year’s end, it must be
numbered from the last ordinal number of the previous book, not from 01.
The reports, documents, and logbooks must be
deposited as prescribed by law.

1. Annually, the arbitration centers, branches and
representative offices of foreign arbitral institutions in Vietnam shall report
the organization and operation of arbitration to the Services of Justice where
their offices are situated, using the form No. 20/TP-TTTM, and the form No.
21/TP-TTTM enclosed with this Circular. The reports must be sent before October
10th every year. The annual report starts from October 01st
of the previous year to September 30th of the succeeding year.
2. Annually, Services of Justice shall report the
local organization and operation of arbitration to the People’s Committees of
central-affiliated cities and provinces and the Ministry of Justice, using the
form No. 22/TP-TTTM enclosed with this Circular. The reports must be
periodically sent before October 15th every year. The annual report
starts from October 01st of the previous year to September 30th
of the succeeding year.
Apart from the periodic reports, Services of Justice
may send irregular reports on the local organization and operation of
arbitration at the request of the People’s Committees of central-affiliated
cities and provinces and the Ministry of Justice.
Article 8. Effects
This Circular takes effect on December 25th
2012.
Organizations and individuals are recommended to
send feedbacks on the difficulties arising during the course of implementation
to the Ministry of Justice for guidance and settlement./.

ORGANIZATIONAL STRUCTURE
This Chapter deals with the Executive Board
(including the President, the Vice President(s), and may be a General Secretary
appointed by the President of the arbitration center), the Secretary Board of
the arbitration center, the legal representative of the arbitration center, the
rights and obligations of the legal representative; the establishment of
branches and representative office of the arbitration center; the mechanism for
managing and settling internal dispute of the arbitration center; its
restructuring, dissolution, and shutdown..
Chapter III
THE ARBITRATORS
This Chapter deals with the list of founders of the
arbitration center, the method of changing the founders of the arbitration
center; the standards and conditions for employing arbitrators; the rights and
obligations of arbitrators, the code of ethics for arbitrators; the regime for
commendation and disciplinary actions; the exclusion of arbitrators.
Chapter IV
THE FINANCE
This Chapter deal with the facilities, the
financial resources (specify the method of mobilizing contributed capital (if
any), the proportion of contributed capital, and capital transfer); the method
for announcing and posting the arbitration fee of the arbitration center: the
financial regime of the arbitration center.

THE PROCEDURES
FOR ANNOUNCING THE ARBITRAL PROCEEDINGS AND OTHER REGULATIONS
This Chapter deals with the regulations on the
procedures for announcing the rules for arbitral proceedings of the arbitration
center; the regime for depositing documents, papers and other issues related to
the organization and operation of the center.
Chapter VI
IMPLEMENTATION
PROVISIONS
This Chapter deals with the procedure for
ratifying, amending, and supplementing the charter, and the conditions of
validity of the Charter. The Meeting that ratifies the Charter must be
recorded in writing. The adopted Charter must be signed by the founders of the
arbitration center.
The Charter does not bear the position and
signature of the legal representative of the arbitration center.
Write this sentence at the end of the Charter:
“This Charter has been adopted by all founders of the arbitration center on ….
and takes effect after it is approved by the Ministry of Justice.”
Notes:
- The format of the chapter” the font, font size,
style, and layout must comply with the Circular No. 01/2011/TT-BNV dated
January 19th 2011 of the Ministry of Internal Affairs, guiding the
format and layout of administrative documents. Example: The ordinal numbers and
names are in lower cases, the font size is 13 or 14, the text is bold and
straight. The Chapter names are in upper cases, the font size is 13 or 14, the
text is bold and straight.
