ON ISSUANCE OF GUIDELINES ON CONNECTION TO THE TERMINAL-BASED GATEWAY FOR PROFESSIONAL OPERATIONS OF VIETNAM SECURITIES DEPOSITORY AND CLEARING CORPORATION

Pursuant to the Law on Securities dated November 26, 2019;

Pursuant to the Law on amendments to Law on Securities, Law on Accounting, Law on Independent Audit, Law on State Budget, Law on Management and Use of Public Property, Law on Tax Administration, Law on Personal Income Tax, Law on National Reserves, and Law on Penalties for Administrative Violations dated November 29, 2024;

Pursuant to Decree No. 155/2020/ND-CP dated December 31, 2020 of the Government on elaboration of some Articles of the Law on Securities;

Pursuant to Decision No. 26/2022/QD-TTg dated December 16, 2022 of the Prime Minister on establishment, organizational structure and operation of Vietnam Securities Depository and Clearing Corporation;

Pursuant to Decision No. 1275/QD-BTC dated June 14, 2023 of the Minister of Finance on the Charter of organizational structure and operation of Vietnam Securities Depository and Clearing Corporation;

Pursuant to Resolution No. 104/NQ-HDTV dated April 29, 2025 of the Board of Directors on issuance of Guidelines on connection to the ISO-message based gateway for professional operations of Vietnam Securities Depository and Clearing Corporation;

At the request of the head of Information and Technology Department.

HEREBY DECIDES:

Article 1. The “Guidelines on connection to the terminal-based gateway for professional operations of Vietnam Securities Depository and Clearing Corporation” is promulgated together with this Decision.

Article 2. This Decision comes into force from the day on which it is signed and replaces Decision No. 72/QD-VSDC dated August 11, 2023 of the General Director of Vietnam Securities Depository and Clearing Corporation on issuance of Guidelines on connection to the terminal-based gateway for professional operations of Vietnam Securities Depository and Clearing Corporation.

Article 3. The Director of the branch in Ho Chi Minh city, heads of departments of Vietnam Securities Depository and Clearing Corporation, relevant organizations and individuals are responsible for implementation of this Decision. /.

GUIDELINES

ON CONNECTION TO THE TERMINAL-BASED GATEWAY FOR PROFESSIONAL OPERATIONS OF VIETNAM SECURITIES DEPOSITORY AND CLEARING CORPORATION

Chapter I

GENERAL REGULATIONS

Article 1. Scope

This document regulates requirements, procedure, rights and obligations of members of Vietnam Securities Depository and Clearing Corporation (hereinafter referred to as “VSDC”) upon connection to the terminal-based gateway for professional operations of VSDC in order to ensure the compliance with the law, stability, and transparency in operations for all members during implementation of professional operations on the terminal-based gateway.

Article 2. Definitions

For the purposes of this document, the terms below shall be construed as follows:

2. Terminal-based gateway is a software used for conduction of professional operations between Members and VSDC via workstations at the headquarter or branches of Members.

3. Officials participating in the terminal-based gateway are officials in the list of professional staff registered with VSDC, designated by Members to conduct professional operations via the terminal-based gateway of VSDC.

4. Login information consists of a username and password used to access the terminal-based gateway of VSDC which is provided by VSDC to each official of Members to conduct professional operations via the terminal-based gateway.

5. Digital certificate is a electronic folder used for verifying the identity of an individual, a server or a company, etc. in computer network.

6. Digital signature is a type of signature as prescribed by law on electronic transactions used by competent persons of VSDC or organizations having connection to the professional system of VSDC via the ISO-message based gateway/terminal-based gateway to authenticate data that they transmit.

7. Certification authority (hereinafter referred to as “CA”) is an organization providing certification service of digital signatures for authorities, organizations, individuals for public use. Providing public certification service of digital signatures is a conditional business line as prescribed by law.

Chapter II

SPECIFIC REGULATIONS

Article 3. Requirements for establishment of points of interconnection and use of digital certificates via the terminal-based gateway

2. Requirements for technical infrastructure:

2.1. Members shall establish 02 connection lines to VSDC including 01 MPLS line with a speed of 03 Mbps provided by the VNPT-Vinaphone Business Customer Company and 01 MPLS line with a speed of 03 Mbps provided by FPT International Telecom Company Limited - Ha Noi Branch.

2.2. Members shall have the following IT devices for establishment of points of interconnection:

- 02 routers with 02 Ethernet ports with a minimum configuration equivalent to the Cisco ISR 1000 Series;

- 01 switching hub with a minimum configuration equivalent to the Cisco Catalyst 1000 Series;

- 02 fiber optic media converters with a minimum configuration of FastEthernet 10/100Mbps;

- Workstations with the following minimum configuration: CPU Intel® Core™ i5-10400 (Memory: 8GB; Storage: 256GB Solid-State Drive; 02 Ethernet 10/100/1000).

2.3. All devices connected to the terminal-based gateway shall be completely isolated from the computer systems of Members. They must be inspected and sealed by VSDC before being put into use.

2.4. Workstations of Members shall not be used for purposes other than their designated tasks and shall not have any other software installed except for the following ones:

- Antivirus program: Kaspersky EndPoint Security 11 or newer version;

- Vietnamese keyboard: Vietkey or Unikey;

- Office utilities: Office 2016 or newer version;

- File archiver: Winrar;

- Intermediate software: AVA Java: JDK version 8 or higher (newest version), Visual C++ Redistributable Package, Microsoft Office 2010 or higher (if needed).

- Professional software: Client – VSDC.

2.5. Members shall have backup devices for all workstations, network devices, electrical systems, and other IT devices related to the terminal-based gateway.

3. Requirements for personnel :

3.1. Members shall have at least 02 professional officials (01 official responsible for creating transactions and 01 official responsible for approving transactions) participating in the terminal-based gateway, and 01 expert in computer networking (having CCNA certificate or equivalent) who act as a liaison and cooperate with VSDC in technical issues.

4. Members are eligible to establish the second point of interconnection when they meet the following requirements:

4.1. They have 15.000 transaction accounts on VSDC system.

4.2. They satisfy requirements for technical infrastructure and personnel as prescribed in clauses 2 and 3 of this Article.

5. 5. Members may change their points of interconnection to the terminal-based gateway if the new point of interconnection satisfies all requirements prescribed in clauses 1, 2 and 3 of this Article.

6. Members are not allowed to assign officials who have not registered with VSDC to conduct professional operations on the terminal-based gateway. Members shall notify to VSDC in writing 01 working day in advance if there is any change of registered officials.

Article 4. Application for registration for connection to the terminal-based gateway

The application for registration of the first/second point of interconnection, and change of point of interconnection to the terminal-based gateway include:

1. The registration form for connection to the terminal-based gateway for the first point of interconnection (using template in Appendix 01), for the second point of interconnection (using template in Appendix 02), or the registration form for change of point of interconnection (using template in Appendix 03).

2. The list of officials participating in the terminal-based gateway and IT officials (using template in Appendix 05), and eligibility documents of officials as prescribed in clause 3 Article 3 of this document.

1. Members are eligible to establish backup points of interconnection when they meet the following requirements:

1.1. The backup points of interconnection to VSDC's terminal-based gateway must be located geographically independent from the main point of interconnection of Members.

1.2. Requirements for technical infrastructure:

1.2.1. Members shall establish 01 MPLS line with a speed of 03 Mbps provided by FPT International Telecom Company Limited - Ha Noi Branch.

1.2.2. Members shall have the following IT devices for establishment of backup points of interconnection:

- 01 Routers with 02 Ethernet ports with a minimum configuration equivalent to the Cisco ISR 1000 Series;

- 01 switching hub with a minimum configuration equivalent to the Cisco Catalyst 1000 Series;

- 01 fiber optic media converters with a minimum configuration of FastEthernet 10/100Mbps;

- Workstations (PCs) with the following minimum configuration: CPU Intel® Core™ i5-10400 (Memory: 8GB; Storage: 256GB Solid-State Drive; 02 Ethernet 10/100/1000).

2. Use of backup points of interconnection

The use of backup points of interconnection shall only be used if the main point encounters an issue. When the main point encounters an issue, the Members shall submit a written request to VSDC to use the backup points. The Members shall inform VSDC to transfer professional data to the main point after the issue is resolved.

3. The application for registration of backup points of interconnection to the terminal-based gateway include:

3.1. The registration form for connection to the terminal-based gateway (using template in Appendix 04).

3.2. The list of officials participating in the terminal-based gateway and IT officials at backup points of interconnection (using template in Appendix 05), and eligibility documents of officials as prescribed in clause 3 Article 3 of this document.

Article 6. Process of application and provision of support for connection of VSDC

1. Within 05 working days from the receipt of full and valid application according to the postmark or the date of receipt recorded in the official dispatch register at VSDC, VSDC shall conduct a practical survey of the technical infrastructure conditions of the Members.

2. Within 03 working days after the survey, VSDC shall send an approval of connection to the terminal-based gateway to the Members. In cases of disapproval, VSDC shall send an notification stating the reasons.

3. Within 01 working day after approval, VSDC shall guide the Members to conduct the connection, installation of softwares in accordance with guidelines of VSDC, and handover login information to officials participating in the terminal-based gateway.

Article 7. Rights and obligations of Members

1. Rights of Members:

1.1. Connect to VSDC’s terminal-based gateway when they satisfy all requirements; and conduct all professional operations prescribed by VSDC on the terminal-based gateway from 8 am to 5 pm every working day.

1.2. Be provided with login accounts to the software system to create transactions and accounts for approving transactions according to the list of delegation of officials registered for participation in VSDC’s terminal-based gateway.

1.3. Receive security measures for login information and professional information on the terminal-based gateway.

1.4. Participate in training programs and test the functions of the terminal-based gateway organized by VSDC.

1.5. Receive technical support from VSDC during connection to the terminal-based gateway.

1.6. Use digital signatures to confirm data exchanged between two parties regarding a number of professional operations prescribed by VSDC.

1.7. Receive instruction manual for professional operations on VSDC's terminal-based gateway.

2.1. Comply with guidelines on connection to the terminal-based gateway, security policies, regulations on professional operations issued by VSDC, and relevant laws.

2.2. Do not perform any actions affecting VSDC's terminal-based gateway, and affecting the connection to the terminal-based gateway of other Members.

2.3. Secure login information provided by VSDC and do not use login information of other Members to log in the terminal-based gateway.

2.4. Only use workstations registered with VSDC to connect and use digital certificates on the terminal-based gateway, and notify to VSDC in writing 02 working days in advance on the plan for maintenance, repair, and replacement of IT devices and computer connected to the terminal-based gateway.

2.5. Use IP in accordance with the plan of VSDC and do not make changes of the system.

2.6. Respond to inquiries; cooperate and provide original documents related to professional operations conducted on the terminal-based gateway at the request of VSDC.

2.7. Store folders that are digitally signed during the transaction creation, or reports on the system of the terminal-based gateway. These files shall be used in case of reconciling the digitally-signed data with VSDC.

2.8. Subject to VSDC's inspection and supervision regarding issues related to Members’ activities on the terminal-based gateway.

Article 8. Implementation clause

1. Members who fail to comply with regulations in this document during connection to VSDC's terminal-based gateway shall be handled depending on the level of violation in accordance with Charter of Depository members of Vietnam Securities Depository and Clearing Corporation issued by VSDC.

2. Shall any difficulties arise during the implementation, contact VSDC for instruction and resolution.

3. If the referenced documents in the “Decision on issuance of Guidelines on connection to the ISO-message based gateway for professional operations of Vietnam Securities Depository and Clearing Corporation” are amended or replaced, the newer documents shall prevail.

3. The amendment of this document shall be decided by the General Director of VSDC and approved by the Board of Members of VSDC.
