Trong khuôn khổ Hiệp định Đối tác Toàn diện và Tiến bộ xuyên Thái Bình Dương (CPTPP), nguyên tắc Ratchet, còn được gọi là nguyên tắc “không đi lùi”, là một nguyên tắc quan trọng áp dụng cho việc mở cửa thị trường trong lĩnh vực dịch vụ - đầu tư. Nguyên tắc này được quy định tại Khoản 1(c) Điều 9.12 Chương 9 (Đầu tư) và Khoản 1(c) Điều 10.7 Chương 10 (Thương mại dịch vụ xuyên biên giới). Nguyên tắc này áp dụng đối với tất cả các biện pháp được nêu tại Phụ lục I về Danh mục các biện pháp không tương thích với nghĩa vụ chính của chương Đầu tư và chương Thương mại dịch vụ xuyên biên giới (còn gọi là Danh mục NCM).

Nguyên tắc Ratchet được hiểu là các nước có quyền đơn phương sửa đổi^[1] các nội dung đã được bảo lưu trong Danh mục NCM theo hướng thuận lợi hơn nhưng khi đã sửa đổi rồi thì không được quyền rút lại nội dung đã được sửa đổi đó. Các nước CPTPP đồng ý dành linh hoạt cho Việt Nam chỉ thực hiện nguyên tắc này sau 3 năm kể từ khi Hiệp định chính thức có hiệu lực với Việt Nam.

Như vậy, với việc Hiệp định CPTPP có hiệu lực chính thức với Việt Nam vào ngày 14 tháng 01 năm 2019, kể từ ngày 14 tháng 01 năm 2022 nguyên tắc Ratchet sẽ chính thức được áp dụng đối với Việt Nam trong lĩnh vực dịch vụ và đầu tư. Điều này đòi hỏi Bộ, ngành và địa phương cần lưu ý trong việc ban hành, sửa đổi hay thực thi các văn bản quy phạm pháp luật, chính sách hay cấp phép đối với các hoạt động đầu tư, cung ứng dịch vụ, đặc biệt đối các nội dung có liên quan đến các nước CPTPP để bảo đảm phù hợp với định hướng quản lý và phát triển lĩnh vực dịch vụ và đầu tư của Việt Nam, tránh xảy ra tranh chấp với các nhà cung cấp dịch vụ hoặc nhà đầu tư nước ngoài.

Do tầm quan trọng của vấn đề này, Bộ Công Thương trân trọng thông báo tới quý Cơ quan để tham khảo, lưu ý trong việc xây dựng, sửa đổi các văn bản quy phạm pháp luật hoặc cấp phép trong lĩnh vực dịch vụ và đầu tư đối với các nhà đầu tư, nhà cung cấp dịch vụ đến từ các nước thành viên Hiệp định CPTPP.

[1] Sửa đổi ở đây bao gồm sửa đổi về mặt luật pháp (de jure) hoặc trên thực tế (de facto). Ví dụ, nếu điều chỉnh một văn bản quy phạm pháp luật theo hướng thuận lợi hơn cam kết thì là sửa đổi thuận lợi hơn về luật pháp còn nếu cấp một giấy phép hay thực hiện một biện pháp thuận lợi hơn cam kết thì là sửa đổi trên thực tế. Việc áp dụng nguyên tắc Ratchet chỉ dành cho các nước CPTPP.

Under the Comprehensive and Progressive Agreement for Trans-Pacific Partnership (CPTPP), the Ratchet Principle, also known as the principle of “no backwardness”, is an important principle applied to market opening in the service-investment sector. This principle is prescribed in clause1c Article 9.12 Chapter 9 (Investment) and clause 1c Article 10.7 Chapter 10 (cross-border trade in services). This principle applies to all measures specified in Appendix I on the List of measures incompatible with the primary obligation of the chapter on Investment and Chapter on Cross-border trade in services (also known as List of non-confirming measures-NCMs).

The Ratchet principle means that countries have the right to unilateral amendments[1] to the contents that have been reserved in the NCM List in a more favorable way but they are not entitled to withdraw the amended contents after being amended. Countries participating in the CPTPP Agreement have agreed to give flexibility to Vietnam to be able to implement this principle after 3 years since the Agreement officially came into effect in Vietnam.

Thus, after the CPTPP agreement officially had come into force with Vietnam on January 14, 2019, the Ratchet principle will be officially applied to Vietnam in the service and investment sector from January 14, 2022. Thus, Ministries, central and local authorities are required to pay attention in promulgating, amending or implementing legislative documents and policies or issuing licenses for investment and service provision activities, especially for contents related to countries participating in the CPTPP Agreement to ensure conformity with the orientation of management and development of the service and Investment sector in Vietnam and avoid disputes with service providers or foreign investors.

Due to the importance of this issue, the Ministry of Industry and Trade would like to inform you of the above contents to understand and pay attention to the formulation and amendment of legislative documents or issuance of licenses in the service and investment sector for investors and service providers from member countries of the CPTPP Agreement.

For example, if a legislative document is amended in a more favorable way than that in the commitment, it is the more favorable de jure amendment; however, if a license is granted or a measure is taken in a more favorable way than that in the commitment, it is the more de facto amendment. The Ratchet principle is only applied to countries participating in the CPTPP Agreement.
